## Pricing

from $9.12 / 1,000 funding signal returneds

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.
Since this Actor supports Apify Store discounts, the price gets lower the higher subscription plan you have.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Signals: New Private Raises

**New SEC Form D private-fundraising filings, as they're filed — by industry, state or minimum amount.** Every Form D and Form D/A notice an SEC-registered issuer files for a private securities offering, pulled straight from EDGAR's own full-text search API: company, amount raised, industry, state, and a link to the real filing. Turn on monitoring to get only the filings that are new since your last run, so it becomes a VC/sales-intelligence funding alert instead of a one-off pull.

### How to use

1. **In the Apify Console.** Open the actor page and click **Start** — the `industryKeywords` field is already pre-filled with a working example. Results land in the run's dataset as soon as each item is found.
2. **Via the API.** Call it directly with a POST request — no Console needed once you have an API token:
   ```bash
   curl "https://api.apify.com/v2/acts/accountable_eel~sec-form-d-funding-signals/run-sync-get-dataset-items?token=<YOUR_TOKEN>" \
     -X POST \
     -H "Content-Type: application/json" \
     -d '{"industryKeywords":["Pooled Investment Fund"]}'
   ```
3. **On a schedule.** Save this actor as an Apify **Task** with the input you want, then add a **Schedule** (hourly, daily, weekly) so it runs on its own — no server of your own required.

### Input

```json
{
  "industryKeywords": [
    "Pooled Investment Fund"
  ]
}
```

Optional. One industry name or company-name fragment per line, matched against SEC's own industry group (e.g. "Biotechnology", "Pooled Investment Fund", "Other Energy") or the filer's name. Leave empty to get every new Form D in the date window below. Accepted formats: Biotechnology, Pooled Investment Fund, Other Energy.

```json
{
  "sinceDays": 7,
  "industryKeywords": ["Biotechnology"],
  "states": ["CA", "NY"],
  "minAmountUsd": 1000000,
  "onlyNewSinceLastRun": true
}
```

This actor is one search over a date window, not a per-line lookup: `sinceDays` sets how far back to
search (default 7, up to 90), `industryKeywords`/`states`/`minAmountUsd` are optional filters applied
before you're billed, and `maxResults` (default 100, up to 1,000) is what actually caps the run's cost
— SEC files hundreds of Form D filings a day across all industries. Turn on `onlyNewSinceLastRun` to
get only filings this watchlist hasn't returned before, charged nothing on a quiet day.

### Output

One row per item, for example:

| query | found | status | filingCount | cik | companyName | accessionNumber | formType | filingDate | dateOfFirstSale | state | stateOfIncorporation | entityType | industryGroup | totalOfferingAmount | totalAmountSold | totalRemaining | isAmendment | secFilingUrl | detailFetchFailed | isNew | scrapedAt |
| --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- | --- |
| Pooled Investment Fund | true | OK | <filings returned> |
| \<company (issuer)> | <accession number> | <form type> | <filed on> | <date of first sale> | <business state> | \<state/country of incorporation> | <entity type> | <industry group> | \<total offering amount (usd)> | \<total amount sold so far (usd)> | \<amount remaining to be sold (usd)> | \<is this an amendment?> |
| <offering details unavailable> | \<is this new since the last run?> | 1970-01-01T00:00:00.000Z |

A miss comes back as a row with `"found": false` and is never charged.

### Pricing

- **Funding signal returned**: $12 per 1,000 filings

Plus a $0.003 start fee per run. Each event above is billed independently, only when it actually returns data — misses (`found:false`) are never charged.

### Use it from Clay, n8n, Make, or an AI agent

This actor runs synchronously over plain HTTP — call it directly from a script, a workflow tool, or an AI agent, no Apify Console needed once you have an API token.

```bash
curl "https://api.apify.com/v2/acts/accountable_eel~sec-form-d-funding-signals/run-sync-get-dataset-items?token=<YOUR_TOKEN>" \
  -X POST \
  -H "Content-Type: application/json" \
  -d '{"industryKeywords":["Pooled Investment Fund"]}'
```

**n8n.** Add an HTTP Request node: Method `POST`, URL `https://api.apify.com/v2/acts/accountable_eel~sec-form-d-funding-signals/run-sync-get-dataset-items?token=<YOUR_TOKEN>`, Body Content Type `JSON`, JSON Body `{"industryKeywords":["Pooled Investment Fund"]}` (swap in an expression from an earlier node for a real value).

**Clay.** Add an "HTTP API" column: Method `POST`, URL `https://api.apify.com/v2/acts/accountable_eel~sec-form-d-funding-signals/run-sync-get-dataset-items?token=<YOUR_TOKEN>`, Body `{"industryKeywords":["{{industry filter (optional)}}"]}`, mapping the row's industry filter (optional) into the `industryKeywords` array.

**MCP.** In Claude, Cursor, or any MCP client with the Apify MCP server, ask for "sec form d funding signals: new private raises" — the agent will find and run this actor.

### What this is not

This is not a real-time funding-announcement feed. Form D is a legal notice an issuer files **after**
starting a private offering, and SEC rules give issuers up to 15 days after the first sale of
securities to file it — so a round you read about in the press today may not show up here until up
to two weeks later, and a round that never gets press coverage at all will still show up here once
its Form D is filed. This actor reports the filing, not the announcement.

# Actor input Schema

## `industryKeywords` (type: `array`):

You're only charged for the ones we actually find — a miss costs nothing.

## `sinceDays` (type: `integer`):

How far back to search for Form D / Form D/A filings, in days. Up to 90. SEC files hundreds of these a day across all industries, so this sets the search window — "Stop after this many results" below is what actually caps how many you get (and pay for).

## `testRun` (type: `boolean`):

Turn this on to test your input on a small sample before running the full list. Turn it off to process everything.

## `onlyFound` (type: `boolean`):

Only keep rows where something was actually found. Misses are always free, whether or not you show them here.

## `includeKeywords` (type: `array`):

Optional. Only keep results that mention at least one of these words (e.g. a job title, a city, a product name). Leave empty to keep everything.

## `excludeKeywords` (type: `array`):

Optional. Drop any result that mentions one of these words. Leave empty to skip nothing.

## `maxResults` (type: `integer`):

Up to 1,000. Caps how many filings this run fetches offering details for (and bills you for) out of everything matching the date window — SEC can return hundreds of Form D filings per day across all industries, so this is the real cost control, not the date window above.

## `states` (type: `array`):

Optional. Two-letter US state codes (e.g. CA, NY, TX), matched against the issuer's business address. Leave empty to keep every state.

## `minAmountUsd` (type: `integer`):

Optional. Only keep filings reporting a total offering amount at or above this. A filing reporting "Indefinite" or whose offering details could not be fetched can't be confirmed to meet this, so it is dropped whenever this is set.

## `onlyNewSinceLastRun` (type: `boolean`):

Turns this into a funding alert: a filing counts as new when this watchlist has not returned it before. Filings already seen are dropped before you are billed, so a quiet run returns one summary row and costs only the start fee. A filing is forgotten 90 days after its own filing date.

## `deltaName` (type: `string`):

Leave empty to use the one shared watchlist for this account — changing your industry/state/amount filters between runs still narrows the SAME watchlist, it does not start a new one. Type a name to keep two separate schedules (e.g. two different industries you want alerted on independently) from marking each other's filings as already seen.

## `columns` (type: `array`):

Choose which pieces of information to include in each result row. All are included by default.

## `expandRows` (type: `boolean`):

When on, each filing found gets its own row instead of being grouped under its industry filter (optional). You're still only charged once per industry filter (optional), no matter how many rows it produces.

## `maxConcurrency` (type: `integer`):

Parallel requests. Keep conservative — this target has no browser fallback, so getting blocked costs more than slow-and-steady.

## `proxyConfiguration` (type: `object`):

Apify Proxy config. Residential recommended for anti-bot-sensitive targets.
