## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Rounds — Newly Funded Startups · $0.03/round

Newly funded US startups from official SEC Form D filings: company, state, industry, amount raised and sold, first sale date, investors and filing link. Filter by date, industry, state, size; schedule weekly. No round stage or people data. Failed runs pay only the start fee. Not affiliated with SEC.

Find recent startup funding rounds from official SEC Form D filings (Regulation D private placements): company, state, industry group, offering amount, amount sold, first sale date, investor count and the filing link. Filter by date, industry, state and size; funds are excluded by default. Company-level only: no officers, directors or other persons are returned.

### What you get

Structured JSON for each run, ready for spreadsheets, alerts and AI agents.

### Input

| Field | Type | Default | Description |
|---|---|---|---|
| `since` | string | | First filing date (YYYY-MM-DD). Default: 7 days ago. Use the date of your last run for new rounds only. |
| `until` | string | | Last filing date (YYYY-MM-DD). Default: today. At most 14 days after since. |
| `industries` | array | | Keep filings whose Form D industry group contains one of these words (for example Technology, Biotechnology, Computers, Health). Default: all except funds. |
| `states` | array | | Issuer state or country codes (for example CA, NY, TX). |
| `minAmountUsd` | integer | | Minimum total offering amount in USD. |
| `includeFunds` | boolean | false | Also return pooled investment funds, REITs and similar vehicles (excluded by default). |
| `includeAmendments` | boolean | false | Also return Form D/A amendments (default: new filings only). |
| `limit` | integer | 25 | Maximum rounds returned. Each returned round is one billable result. |
| `maxSeconds` | integer | 25 | Time budget for reading filings. A weekly scheduled run over many filings should use 300 or more; the result says whether every filing in range was read (complete) and gives nextSince for the next run. |

### Pricing

| Event | Price |
|---|---|
| round (each successful result) | $0.03 |
| Actor start (minimum per run) | $0.01 |

**Failed runs pay only the $0.01 start fee; there is no per-result charge when nothing is returned.** Free trial credits from Apify cover your first runs.

### FAQ

**Is a result guaranteed to be complete?** Each result carries the date it was read. If the upstream service is down the run fails with a clear message and no per-result charge is made.

**Can I call it from code or an AI agent?** Yes: run it through the Apify API, schedule it, or use it from MCP clients that support Apify Actors.

**Is this affiliated with the data source?** No. Source names are used descriptively; each result keeps its source attribution and licence line.

**Where do I report a problem?** Open an issue on this Actor's page; replies are written by the Ambolt service team, usually within a day.
