## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Scraper: Startup Funding & Fund Raises

See which companies and funds just raised money privately, the day the notice is filed. Every US private placement under Regulation D files a Form D. This Actor turns the daily filing index into a clean feed: issuer, industry, offering size, amount already sold, minimum investment, exemption used and a link to the filing.

### Who uses it

- **Sales and BD teams** selling to freshly funded startups and new funds (law, banking, payroll, software, recruiting).
- **VCs and analysts** tracking deal flow in a sector or state.
- **Service providers** watching for new pooled funds and real-estate syndications.
- **Journalists and researchers** following private capital markets.

### What you get

One item per Form D: `issuerName`, `issuerEntityType`, `issuerState`, `issuerCity`, `industryGroup`, `totalOfferingAmountUsd`, `amountSoldUsd`, `amountRemainingUsd`, `minimumInvestmentUsd`, `investorsAlreadyInvested`, `exemptions`, `dateOfFirstSale`, `filedDate`, `filingUrl`.

Sample:

```json
{"issuerName":"ADA Payments Technologies, Inc.","industryGroup":"Other Technology","issuerState":"CA","totalOfferingAmountUsd":500000,"amountSoldUsd":35000,"minimumInvestmentUsd":25000,"exemptions":["Rule 506(b)"],"filedDate":"2026-10-15"}
```

### Input

| Field | Meaning |
|---|---|
| lookbackDays | Business days to read (1-30) |
| states | Issuer state codes |
| industries | Industry text to match (Technology, Biotechnology, Pooled Investment Fund...) |
| minOfferingUsd / maxOfferingUsd | Offering size band |
| includeAmendments | Include D/A filings |
| onlyNewSinceLastRun | Delta mode: only filings you have not received |
| maxResults | Cap per run (max 2000) |

Schedule it daily with delta mode on and you get a new-raises alert feed.

### Quick start

Press **Start** with the prefilled input (last 3 business days, Technology issuers, 25 results). You get a table of fresh raises in seconds. Then widen the filters, or switch on **Only new since my last run** and schedule it daily.

### How much does it cost?

Pay per event: $0.005 per run plus $0.003 per delivered Form D filing. You can set a maximum cost per run, and runs that find nothing new cost only the start fee.

| Run | Filings | Cost |
|---|---|---|
| Daily alert, one state, new only | ~10 | about $0.035 |
| Weekly tech-startup sweep | 100 | about $0.305 |
| Backfill of 30 business days, all industries | 2,000 | about $6.005 |

### FAQ

**Does it need an SEC API key or login?** No. It reads the public EDGAR daily filing indexes and Form D documents.

**Can I get founders' or executives' names and phone numbers?** No. By design only company-level data is output.

**How fresh is it?** The daily index for a day appears after that filing day ends, so yesterday is the newest complete day.

**Is this a Crunchbase alternative?** For US private raises reported on Form D, yes: it is first-party filing data, straight from the SEC, with the amount sold and exemption used. Many seed rounds and non-US raises never file a Form D.

**How do I get only new filings?** Keep "Only new since my last run" on. Delivered filing numbers are remembered per filter set in your own account.

### Privacy and good to know

- People are never output: no related persons (directors, executives, promoters), no signers, no phone numbers. Issuer data is company-level only.
- Data comes from public filings. Filings are self-reported by issuers and may contain errors; this is not investment advice.
- The Actor stores nothing about you except the list of filing numbers already delivered, in your own account, for delta mode.
- Independent tool, not affiliated with or endorsed by any government agency.
- Weekends and holidays have no index; the daily index for today appears after the filing day ends, so yesterday is the newest reliable day.
