## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Feed: Newly Funded Companies

Get a **daily list of companies that just raised money**, straight from the U.S. SEC. Every startup, private company and fund raising capital under Regulation D must file a **Form D**. This Actor turns those filings into clean, structured leads: **amount raised, offering size, number of investors, industry, state, year founded, executives and directors**, plus a link to the filing.

Same signal as paid funding databases, **direct from the official source**, the day it's filed. No API key, no news scraping.

### Why use it

- **Sales & business development:** companies that just raised money are buying tools, services and hires. Reach them first.
- **Recruiting:** freshly funded startups are about to hire.
- **VC / investors / M\&A:** track new rounds by industry, state and size.
- **Service providers:** accountants, law firms, insurance, banking and PEO/HR firms targeting new rounds.
- **Market research:** monitor capital flowing into an industry or region.

### Features

- **Daily or historical:** scan the last N days or any date range (up to a year per run).
- **Filters:** industry (e.g. Other Technology, Biotechnology, Health Care), issuer state, minimum amount raised, minimum offering size, founded within N years, equity-only, company-name keywords.
- **Operating companies only:** investment funds (VC/PE/hedge/real-estate funds) are excluded by default.
- **Only new since last run:** schedule it daily and get just the new filings. You only pay for new ones.
- **Executives & directors** with roles, from the filing.

A run summary (days scanned, filings checked, matched, saved) is saved as `OUTPUT` in the key-value store.

### Good to know

- **Timing:** SEC publishes each business day's index in the evening (ET). Schedule daily runs for the next morning.
- **Amounts** are what the company reported: `totalAmountSold` is raised so far, `totalOfferingAmount` is the target (`offeringIndefinite` when unlimited).
- **Year founded** is reported when the company was incorporated within the last five years (or stated).
- Data comes from SEC EDGAR public filings, accessed within SEC's fair-access guidelines. This tool isn't affiliated with the SEC.

### Pricing

Pay per result: you pay only for filings that match your filters. With **Only new since last run**, repeat runs charge only for new filings. Set a maximum cost per run and it stops cleanly.

### FAQ

**Is every startup round here?** Most U.S. private raises use Regulation D and file a Form D within 15 days of the first sale, but some companies file late or use other exemptions.

**Something wrong?** Open an issue and it will be fixed quickly.
