## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## EDGAR Filings & Insider Trades Scraper by Birds Nest Data

Pull SEC EDGAR filings (10-K, 10-Q, 8-K) and Form 4 insider trades as JSON or CSV. An easy way to use SEC EDGAR data without writing API code. Filter by ticker, CIK, form and date.

> Unofficial tool. Not affiliated with or endorsed by the U.S. Securities and Exchange Commission (SEC). Data provided as-is from https://www.sec.gov/edgar.

> Not investment advice.

### What it does

Lists new SEC filings from EDGAR (annual and quarterly reports, current reports, registrations, proxies) and, for Form 4, one row per insider transaction. Built for investors and equity analysts, compliance and IR teams monitoring peers, and financial journalists.

### What you get

| Field | Type | Example |
|---|---|---|
| record_type | string | `"filing"` |

| primary_document_url | string or null | `null` |
| source | string | `"SEC EDGAR (sec.gov)"` |

Filing rows (`record_type: filing`) leave the insider fields empty. Form 4 rows (`record_type: insider_transaction`) cover officers and directors acting in that role, and 10% owners that are companies or funds. Form 4 filings by any other individual are skipped. Reporting-person addresses, signatures, footnotes and remarks are never copied. Forms 3 and 5 are not offered. In joint Form 4 filings, names, roles and titles are listed in the same order, separated by `; `.

### Use cases

- Watch new 10-K, 10-Q and 8-K filings for a list of tickers.
- Track Form 4 insider buying and selling by officers and directors.
- Get SEC filing links into a spreadsheet, database or alert through the Apify API.
- Collect filings for a company and date range for equity research or compliance review.

### How to use

1. Leave the defaults to get the 5 newest 10-K, 10-Q and 8-K filings for Apple (`AAPL`, `maxResults` 5). Clear the company field to get all companies' newest filings, or enter another ticker/CIK, a start date, or pick a form type (e.g. Form 4). For Form 4 runs, open the **Insider trades** view.
2. Click **Run**.
3. Export the dataset as JSON, CSV or Excel, or read it through the Apify API.

### Input example

```json
{
  "company": "AAPL",
  "formType": "CORE",
  "maxResults": 5
}
```

### Output example

Two records from real runs on 2026-10-17 (PT): a 10-K from an all-companies run (company cleared), and a Form 4 transaction from an Apify platform run with `{"formType": "4"}` (run xOnHdeNbTtdzM7dXe).

### Pricing (pay-per-event)

- **Result:** $4.00 per 1,000 results ($0.004 for each filing or insider-transaction row saved to the dataset).
- No start fee. Runs that save nothing are not charged for results.
- Estimate: the default run (5 rows) costs about $0.02 in result fees; 50 rows cost about $0.20.

### Limits

- Follows SEC's fair-access rules: declared User-Agent `Birds Nest Data birds.nest.apify@gmail.com`, at most 2 requests per second (SEC's limit is 10), and only the files needed.
- Up to 5,000 rows per run. Without a company, it reads EDGAR's daily form indexes for up to the last 45 days.
- EDGAR daily indexes are published each business evening; filings made after the cut-off appear the next business day.
- If the source refuses access (HTTP 403 or a block page), the run stops with a clear message. It never changes its identity, uses proxies, or retries from other IP addresses.

### Data source & legality note

> This actor reads public data from SEC EDGAR (https://www.sec.gov/edgar) via its public API. It does not log in or bypass access controls. It does not collect personal contact data: addresses, phone numbers and emails are dropped at parse time. Form 4 mode returns the insider's name and title as reported to the SEC in their role at the issuer, as required by Section 16 of the Securities Exchange Act. Filings by individuals who are not company insiders are excluded. Not affiliated with or endorsed by the U.S. Securities and Exchange Commission. Output is provided as-is, without warranty; it may be incomplete or delayed, so verify against SEC EDGAR before relying on it. Not investment advice. Not legal, medical, or safety advice. You are responsible for how you use the output and for complying with applicable laws and the source's terms.
