## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Leads: Startups Raising Money

Find **companies that just raised private funding** from **SEC Form D filings** on EDGAR. Every Form D is a legal notice that a company sold (or is selling) securities in a private round under Regulation D. This Actor turns each filing into one clean row: **company, industry, amount raised, offering size, number of investors, date of first sale, address, phone, executives and directors, exemption (506(b)/506(c)), broker/placement agent**. Use it as a **startup funding tracker**, a **newly funded companies lead list**, a **venture deal-flow feed**, or a **Form D API**.

Data comes straight from **SEC EDGAR** (official filings), read within the SEC's fair-access rules (declared User-Agent, at most 8 requests/second, below the SEC's 10/s limit). No API key, no login, no third-party data vendor, no scraping of private sites.

### Who uses it

- **B2B sales and agencies:** companies that just raised money have budget. Pitch them in the week the round closes.
- **Recruiters:** funded startups hire next.
- **VCs, analysts, journalists:** a daily feed of new rounds, fund launches and SPVs by industry and state.
- **Service providers:** law firms, fund admins, accountants and banks looking for new funds and issuers.

### Modes

- **Date range** (default): every Form D and D/A filed on the chosen business days (EDGAR daily index, published after each day closes; typically 100-250 filings per day).
- **Latest filings:** newest Form Ds as they hit EDGAR's real-time feed.
- **Specific companies (CIKs):** the Form D history of the companies you list.

### Filters

**Exclude pooled funds** (drop VC/PE/hedge/real-estate fund vehicles and SPVs to get operating companies), **startups only** (incorporated within 5 years), **minimum amount raised**, **minimum offering size**, **industry** (Technology, Biotechnology, Health Care, Real Estate, Energy…), **issuer state**, **company name words**, **exemption** (e.g. 506(c) general solicitation), **new offerings only** (skip amendments), and **only new since last run** for scheduled alerts.

### Input examples

Funded tech and health startups this week, $500k+ raised, no funds:

```json
{"mode": "dateRange", "lastNDays": 7, "excludePooledFunds": true, "industryContains": ["technology", "biotech", "health"], "minAmountSoldUsd": 500000, "maxFilings": 1500}
```

Daily alert for new California rounds (schedule it once a day):

```json
{"mode": "dateRange", "lastNDays": 2, "states": ["CA"], "excludePooledFunds": true, "onlyNewSinceLastRun": true, "alertStateName": "ca-rounds"}
```

New venture and private-equity funds (for fund service providers):

```json
{"mode": "dateRange", "lastNDays": 7, "industryContains": ["venture capital fund", "private equity fund"], "newOfferingsOnly": true}
```

### Output fields

`accessionNumber, formType (D|D/A), isAmendment, filedDate, acceptedAt (ET), cik, companyName, entityType, jurisdictionOfInc, yearOfInc, incorporatedWithin5Years, street, city, state, zip, phone, industryGroup, investmentFundType, revenueRange, federalExemptions[], federalExemptionsDescribed[], dateOfFirstSale, durationMoreThanOneYear, securityTypes[], minimumInvestmentUsd, totalOfferingAmountUsd, totalOfferingIndefinite, totalAmountSoldUsd, totalRemainingUsd, investorCount, hasNonAccreditedInvestors, salesCommissionsUsd, findersFeesUsd, proceedsToInsidersUsd, relatedPersons[] (name, relationships, city, state), executives, salesCompensation[] (broker name, CRD, states), otherIssuers[], signerName, signerTitle, signatureDate, filingUrl, edgarCompanyUrl, retrievedAt`

Real samples are in `samples/`. Amounts are as reported by the issuer; "Indefinite" offering sizes (common for funds) are flagged with `totalOfferingIndefinite`.

### Pricing

Pay per offering row delivered. Filings removed by your filters are free. Cap spend with **Max offerings**.

### Notes

Not investment advice. Not affiliated with the SEC. A Form D is a notice, not proof of a closed round: check `totalAmountSoldUsd` and `dateOfFirstSale`. Related-person names and the issuer phone are published by the SEC on the filing itself; use them in line with anti-spam and privacy laws that apply to you. **Contact email (optional):** add `contactEmail` to include your own email in the User-Agent sent to SEC EDGAR only.

# Actor input Schema

## `mode` (type: `string`):

Date range: every Form D and D/A filed on those business days (EDGAR daily index, published after each day closes; about 100-250 per day). Latest: newest Form Ds as they hit EDGAR. CIKs: Form D history for the companies you list.

## `lastNDays` (type: `integer`):

Used when Start date is empty (Date range and CIK modes).

## `startDate` (type: `string`):

Optional.

## `endDate` (type: `string`):

Optional, defaults to today.

Drops hedge, VC, PE and real-estate fund vehicles (SPVs) so you get operating companies. Recommended for B2B sales leads.

## `youngCompaniesOnly` (type: `boolean`):

Keep issuers that ticked 'within last five years' or 'yet to be formed'.

## `minAmountSoldUsd` (type: `integer`):

Total amount sold so far, as reported on the Form D.

## `minOfferingAmountUsd` (type: `integer`):

Total offering amount. 'Indefinite' offerings always pass.

## `industryContains` (type: `array`):
