## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC 8-K Item 5.02 Executive Changes — departures, interim CEOs and CFOs, new hires

Every public-company **8-K that reports Item 5.02** for a date range: officer and director departures, appointments, board elections and compensation arrangements, filed within four business days of the event. Each record carries the company, ticker and exchange, filer category, the **Item 5.02 section as filed**, rule-based event detection (role, event type, interim, successor status, search underway, person name where it can be isolated) and two deterministic **0–100 scores**: one for executive search (is the seat open?) and one for B2B sales (is there a new budget owner?).

### What you get per filing

| Field | Example |
|---|---|
| `companyName`, `ticker`, `exchange`, `cik`, `filerCategory`, `sizeTier` | `FOX FACTORY HOLDING CORP`, `FOXF`, `Nasdaq`, `0001424929`, `Large accelerated filer`, `large` |
| `accessionNo`, `filedDate`, `submissionType`, `periodOfReport`, `items` | `0001424929-26-000123`, `2026-10-16`, `8-K`, `2026-10-15`, `["5.02","9.01"]` |
| `topEventType`, `topRole`, `topPerson` | `departure`, `CEO`, `Michael C. Dennison` |
| `leadScore`, `recruiterScore`, `salesScore`, `vacancy` | `95`, `95`, `0`, `true` |
| `events[]` | `{ eventType, role, roleRaw, person, interim, successorStatus, searchUnderway, searchFirmMentioned, reason, effectiveDate, externalHire, compSummary, severance, evidence, recruiterScore, salesScore, flags }` |
| `flags`, `personas` | `["no_successor_named","interim_in_place","effective_within_30d","principal_officer"]`, `["exec_search","interim_exec"]` |
| `item502Text`, `edgarUrl` | the section as filed (plain text, up to 12,000 characters), link to the filing folder |

### How the scores work

Deterministic rules. **Recruiter score** (open seat): role weight (CEO 30, CFO 25, COO/President 20, other C-level 15, director 5), +25 when no permanent successor is named, +20 when an interim is in place, +15 when a search is described, −15 when a search firm is already named, +10 when no reason is given or the departure is a termination, +10 when effective within 30 days, size by filer category. **Sales score** (new budget owner): appointments of CFO/CIO/CTO/CHRO/CMO/CRO/COO/CEO/GC start at 40, +20 external hire, +10 newly created role. Board elections and compensation-only filings score zero. Registered funds and BDCs are penalised because their officers are the adviser's staff.

Event detection is **heuristic** (regular expressions over the filing's sentences) and every record says so (`heuristic: true`). It is reliable for the role and the event type, good for interim / search / successor language, and approximate for the person's name. The hosted FormDSignal feed runs a language model over the same text; this Actor stays model-free so it is cheap and fully deterministic. Read `item502Text` before acting.

### Input

- **From / To date** — filing dates (US Eastern). Default: the most recent EDGAR business day. Up to 31 days per run.
- **Roles**, **Event types**, **Open seats only**, **Minimum lead score**, **Include Item 5.02 text**, **Maximum filings** (cost control).
- **SEC User-Agent** — EDGAR asks for a contact string; optional.

### Pricing

Pay per event. The first 25 filings of every run are free. After that, a per-filing charge (`Lead`), with a higher charge for filings scoring 70+ (`premium-lead`). 8-Ks without Item 5.02 are never charged. A typical business day has 60–120 Item 5.02 filings, of which 10–25 are open C-level seats.

### Source and limits

Public SEC EDGAR data (daily form index, each filing's index-headers page and submission), fetched under the SEC fair-access policy (< 10 requests/second, declared User-Agent). Item 5.02 covers principal officers and directors only; private companies do not file 8-Ks. Not investment, legal or tax advice.

### Using it from an AI agent

This Actor is available as an MCP tool through Apify's MCP server; the input schema above is the tool contract. Ask your agent for "CFO departures with no successor named filed this week at Nasdaq companies".

# Actor input Schema

## `dateFrom` (type: `string`):

First filing date to include (YYYY-MM-DD, US Eastern). Leave empty for the most recent EDGAR business day.

## `dateTo` (type: `string`):

Last filing date to include (YYYY-MM-DD). Defaults to From date. Up to 31 days per run.

## `roles` (type: `array`):

Keep filings whose principal event concerns these roles (empty = all).

## `eventTypes` (type: `array`):

departure, appointment, retirement_announced, election_director, comp_only (empty = all).

## `openSeatsOnly` (type: `boolean`):

Keep only departures with no permanent successor named (executive search).

## `minScore` (type: `integer`):

0–100. 40 is the default feed floor; 70+ is roughly 'call this week'.

## `includeText` (type: `boolean`):

Include the Item 5.02 section as filed (up to 12,000 characters) in each record.

## `maxLeads` (type: `integer`):

Stop after this many filings (cost control; you are charged per filing returned).

## `userAgent` (type: `string`):

EDGAR fair-access policy asks for a contact in the User-Agent (e.g. 'Acme Research jane@acme.com'). Optional.

# Actor output Schema

## `filings` (type: `string`):

One item per 8-K with Item 5.02: company, ticker, exchange, filer category, filing date, items, heuristic events (role, event type, person when detectable, interim, successor status, search underway), lead/recruiter/sales scores, flags, personas, the Item 5.02 text and the EDGAR link.

## `filingsCsv` (type: `string`):

The same items as a CSV download.

## `summary` (type: `string`):

Date window, 8-Ks scanned, Item 5.02 filings found, pushed and charged.
