## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Leads — new private funds and Reg D raises, scored for B2B sales

Every **SEC Form D** filing for a date range, parsed field by field and turned into a structured lead with a deterministic **0–100 lead score**. A Form D is filed when a private fund launches or a company closes a Regulation D round — often before any press. The firms that sell to those issuers (fund administrators, auditors, fund-formation lawyers, custodians, placement agents, recruiters, B2B sales teams, commercial banks, D\&O brokers) use this as a trigger list.

### What you get per filing

| Field | Example |
|---|---|
| `entityName`, `cik`, `accessionNo`, `filedDate` | `8VC DSS III, L.P.`, `0002156237`, `0002156237-26-000001`, `2026-10-22` |
| `leadKind` | `fund_launch` · `company_raise` · `real_estate_raise` · `fund_amendment` · `company_amendment` · `real_estate_amendment` · `spv` |
| `leadScore`, `personas`, `flags` | `97`, `["fund_admin","audit_tax",…]`, `["3c7_institutional","pre_first_close","repeat_fund_numeral"]` |
| `strategy`, `stage`, `sizeBucket`, `vehicle` | `venture`, `pre_first_close`, `large`, `standard` / `feeder` / `parallel` |
| `fundType`, `industryGroup`, `exemptions`, `qualifiedPurchasersOnly`, `isRule506c` | `Venture Capital Fund`, `Pooled Investment Fund`, `["06b","3C","3C.7"]`, `true`, `false` |
| `totalOffering`, `totalSold`, `minimumInvestment`, `investorsCount`, `firstSaleYetToOccur` | `$400M`, `$0`, `0`, `0`, `true` |
| `relatedPersons` | `[{ name: "Joseph Lonsdale", roles: ["Executive Officer"], title: "Managing Member of the General Partner" }]` |
| `placementAgents` | `[{ name: "H.C. Wainwright & Co., LLC", crd: "000000375", state: "NY" }]` |
| `phone`, `street1`, `city`, `state`, `zip` | the issuer's filing contact |
| `signer`, `edgarUrl` | who signed, link to the source filing |

### How the score works

Deterministic rules, no black box:

- **Fund launches** start at 55. +12 for 3(c)(7) (qualified-purchaser fund), +8 / +15 / +20 for $25M+ / $100M+ / $500M+ offerings, −10 under $5M, +10 when the first sale has not yet occurred (pre-first-close), +5 hedge funds and digital-asset funds (need a prime broker), −20 feeder/access vehicles, −10 offshore/parallel/currency sleeves. Indefinite offerings earn no size bonus. A fund numbered II or higher is flagged `repeat_fund_numeral`.
- **Fund amendments (D/A)** start at 22, half the size bonus, +10 when $100M+ has been sold, +5 for 3(c)(7).
- **Company raises** start at 35: +5 for $2M+, +12 for $10M+, +20 for $50M+, −10 under $500K, +5 with a placement agent.
- **Real-estate raises** start at 30 plus the size bonus, +5 with a placement agent; `accredited_syndication` flag at a $100K+ minimum.
- **SPV / series vehicles** ("a Series of …", "… SPV", platform series) score 8 and are off by default.

`personas` lists who the filing is relevant to: `fund_admin`, `audit_tax`, `fund_formation_law`, `custodian_prime_broker`, `compliance`, `placement_agent` for funds; `recruiting`, `b2b_sales`, `banking_treasury`, `insurance_do`, `accounting` for companies; `lender`, `title_escrow`, `property_mgmt` for real estate.

### Input

- **From / To date** — filing dates (US Eastern). Default: the most recent EDGAR business day. Up to 31 days per run.
- **Lead kinds** — default: new funds, company raises, real-estate raises (amendments and SPVs off).
- **Minimum lead score**, **Issuer states**, **Maximum leads** (cost control).
- **SEC User-Agent** — EDGAR asks for a contact string; optional.

### Pricing

Pay per event. The first 25 leads of every run are free. After that, a per-lead charge for each item returned (`Lead`), with a higher charge for items scoring 70+ (`premium-lead`). Filtered-out filings are never charged, and an empty day costs only Apify's start fee. Filter by kind, score and state to pay only for what you use. A typical business day has 100–150 fund launches, 50–80 company raises and 10–25 real-estate raises.

### Source and limits

Public SEC EDGAR data (daily form index + each submission's XML), fetched under the SEC fair-access policy (< 10 requests/second, declared User-Agent). Form D is a notice, not a prospectus: amounts are what the issuer stated, "Indefinite" is common for open-ended funds, and amounts sold lag until the next amendment. The filing contact is a phone number and address — no email addresses are provided or inferred. Not investment, legal or tax advice.

### Using it from an AI agent

This Actor is available as an MCP tool through Apify's MCP server; the input schema above is the tool contract. Ask your agent for "new 3(c)(7) venture funds filed yesterday in NY with score over 70".

# Actor input Schema

## `dateFrom` (type: `string`):

First filing date to include (YYYY-MM-DD, US Eastern). Leave empty for the most recent EDGAR business day.

## `dateTo` (type: `string`):

Last filing date to include (YYYY-MM-DD). Defaults to From date. Up to 31 days per run.

## `kinds` (type: `array`):

Which filings to return. fund_launch = new pooled fund (not SPV/feeder), company_raise = operating company, real_estate_raise = real-estate offering; \*\_amendment = D/A updates; spv = series/SPV vehicles.

## `minScore` (type: `integer`):

0–100. 40 is the default feed floor; 70+ is roughly 'call this week'.

## `states` (type: `array`):
