## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC EDGAR Filings Monitor — 8-K, 10-K, Form D

> Built by Cranewell. Maintained on a best-effort basis by automated checks; **no custom support, consulting, or SLA is offered.** Report issues via the Store's Issues tab.

### What does SEC EDGAR Filings Monitor do?

It gets **new SEC EDGAR filings** as clean JSON from **official, keyless SEC sources**. Run it on a schedule with **Only new items** on, and each run returns only filings you haven't seen yet. That gives you an EDGAR alert feed you can send to email, Slack, Google Sheets or your own endpoint with Apify integrations and webhooks.

Two modes:

- **Market-wide:** every new filing of the form types you choose, e.g. all 8-Ks or all Form D filings, from EDGAR's daily form indexes.
- **Watchlist:** filings by specific companies (tickers or CIKs), from the `data.sec.gov` submissions API. The SEC updates it in real time as filings are disseminated. This mode adds tickers, 8-K item numbers and a direct document link.

Features:

- **No API key, no login, no website scraping.** The SEC's fair-access rules are followed: a declared User-Agent and no more than 4 requests per second (the SEC limit is 10).
- **Webhook-ready run summary** (counts plus up to 50 new items) saved as `SUMMARY` in the run's key-value store.

#### Who uses SEC filing alerts?

Investors and analysts watching 8-Ks from companies they follow, deal and fundraising researchers tracking new Form D filings, journalists, and compliance teams.

### How to monitor SEC filings

1. Choose **form types** (`8-K`, `10-K`, `10-Q`, `D`, `S-1`, `SC 13D`, `4`...), and optionally **tickers** or **CIKs**.
2. Run once to check results.
3. Save the input as a **Task** and add a **Schedule** (e.g. daily at 07:00 ET).
4. Leave **Only new items** on. Each run returns only new filings.

"Only new" state is kept in a named key-value store, keyed by a hash of your filters, so different Tasks keep separate state. Use **Reset state** to start over.

### Input example

```json
{ "forms": ["8-K"], "daysBack": 3, "maxItems": 20 }
```

Watchlist example: `{ "tickers": ["AAPL", "MSFT"], "forms": ["8-K", "10-K", "10-Q"], "daysBack": 14 }`

| Field | What it does |
|---|---|
| `forms` | Exact EDGAR form types (default `8-K`). Empty = all forms |
| `includeAmendments` | Also match amendments such as `8-K/A` (default on) |
| `tickers` / `ciks` | Watchlist mode, up to 200 companies. Unknown tickers are logged and skipped |
| `companyNameContains` | Market-wide mode: company-name filter |
| `daysBack` | Look-back window, 0–30 days (default 3) |
| `maxItems` | Per-run cap (default 20) |
| `onlyNew`, `resetState`, `webhookSummary` | Monitoring state and run summary |

### Output example (real record from a test run, 2026-10-30)

```json
{
  "id": "0001193125-26-437823",
  "source": "sec-edgar",
  "cik": "712034",
  "companyName": "ACCO BRANDS Corp",
  "tickers": null,
  "form": "8-K",
  "filingDate": "2026-10-29",
  "accessionNumber": "0001193125-26-437823",
  "items": null,
  "primaryDocDescription": null,
  "filingIndexUrl": "https://www.sec.gov/Archives/edgar/data/712034/000119312526437823/0001193125-26-437823-index.htm",
  "documentUrl": null,
  "isNew": true,
  "fetchedAt": "2026-10-30T12:25:13.746Z"
}
```

**Fields:** `id, source, cik, companyName, tickers, form, filingDate, accessionNumber, items, primaryDocDescription, filingIndexUrl, documentUrl, isNew, fetchedAt`.

- `tickers`, `items` (8-K item numbers such as `2.02,9.01`), `primaryDocDescription` and `documentUrl` are filled in **watchlist mode** only.
- The output is filing metadata and links. It does not include parsed financial statements or full filing text.

### Form D: new private placements feed

Set `forms` to `["D"]` with no `tickers` or `ciks` to get new Form D notices market-wide each day.

### 8-K alerts for a ticker watchlist

Add `tickers` or `ciks` and set `forms` to `["8-K"]`. Each scheduled run returns only filings you have not seen.

### Fair access

The Actor follows the SEC fair-access policy: it sends a declared User-Agent and stays well under 10 requests per second (https://www.sec.gov/os/accessing-edgar-data).

### How much does it cost?

| Event | Price |
|---|---|
| Actor start | $0.005 per run |
| Result | $0.002 per filing written to the dataset ($2 per 1,000) |

Example: a daily run returning 20 new filings costs $0.005 + $0.04 = $0.045. With **Only new** on, you pay only for new filings. Set a **maximum total charge** on the run to cap spend; the Actor stops cleanly when it's reached. Platform compute is billed by Apify as usual.

### Limits

- **Market-wide mode** uses EDGAR daily indexes, which appear after each business day. Results can lag by up to about one business day, and weekends or holidays have no file. For same-day alerts, use watchlist mode.
- **Watchlist mode** reads each company's recent-filings list (at least the last year or 1,000 filings).
- Filings beyond **Max items** aren't marked as seen, so later runs deliver them.

### FAQ

#### Do I need an SEC API key?

No. The SEC's `data.sec.gov` APIs and EDGAR archives need no key. Automated access must follow the SEC's fair-access policy, which this Actor does.

#### Can I get alerts in Slack or email?

Yes. Schedule a Task and attach an Apify integration, or a webhook that reads the `SUMMARY` record.

#### Is this investment advice?

**No.** This is a data tool, not investment, legal or tax advice. Always check the filing on sec.gov. Not affiliated with or endorsed by the U.S. Securities and Exchange Commission.
