## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Leads & EDGAR Filings Search

Get **fresh funding leads every day** from **SEC Form D** filings: startups and private companies that just raised money, with **amount raised, offering size, industry, address, phone number, executives & directors, investor count and date of first sale**. The Actor also includes a **full-text search over all EDGAR filings** (8-K, 10-K, 10-Q, S-1, Form 4, 13F, SC 13D…) with company, ticker, 8-K item descriptions and direct links.

The data comes straight from the **official SEC EDGAR** system. No API key, no login, no proxies. The Actor follows the SEC's fair-access rules (declared User-Agent, well under 10 requests/second).

### Why Form D?

Companies raising money through Reg D private placements must file a Form D with the SEC within 15 days of their first sale. That makes Form D one of the **earliest public signals that a company just raised capital**, often weeks before a press release. It's the raw data behind many "recently funded companies" lead lists.

### Who is it for?

- **B2B sales & agencies**: freshly funded companies have budget. Reach the CEO with the phone and address from the filing.
- **VCs, angels, investment bankers, fund admins**: track private raises by industry, state and size
- **Lenders, insurers, accountants, lawyers, recruiters**: find newly funded clients
- **Analysts, journalists**: monitor private capital formation; search 8-Ks for cyber incidents, executive changes, M\&A
- **AI agents & CRMs**: structured, deduplicated SEC data on a schedule

### Features

**Form D mode (default)**

- Every new Form D (optionally D/A amendments) in your date window, newest first
- Parsed fields: company, entity type, state & year of incorporation, address, **phone**, **industry group**, revenue range, exemptions (Rule 506(b)/(c)…), **date of first sale**, securities offered, minimum investment, **total offering amount, amount sold, remaining**, number of investors, non-accredited investors, sales commissions & finders' fees, **executives/directors/promoters with roles**, broker-dealers paid, signer name & title
- Filters: **industry groups**, **US states**, **minimum offering amount**, **minimum amount raised**, full-text keyword. Pooled investment funds are excluded by default so you get operating companies.

**Filings mode**

- EDGAR full-text search (phrases supported) across any **form types**, **companies (tickers/CIKs)**, **states** and dates
- One row per filing (deduplicated by accession number) with company, tickers, form, filed date, period, **8-K items with plain-English descriptions**, SIC, location, state of incorporation, other entities (e.g. Form 4 reporting persons), links to the filing index and the matched document

**Both modes:** retries with backoff on SEC throttling, and a clean stop at your **Maximum cost per run**.

### How to use it

1. Click **Try for free**.
2. Pick **Form D funding leads** (or **EDGAR filings search**).
3. Set *Filed within last N days* and any filters.
4. Run it, or **schedule it daily** with *Filed within last N days = 1* and connect Google Sheets, HubSpot, Slack, Zapier, Make or n8n.

### Pricing

Pay per event:

- **$0.005 per Form D funding lead** ($5 per 1,000), fully parsed with contact, amounts and executives
- **$0.002 per filing** in Filings mode ($2 per 1,000)

You only pay for results saved to your dataset. Filters are applied before charging, so filtered-out filings cost nothing. Set a *Maximum cost per run* and the Actor stops cleanly when it's reached.

### Tips

- Filtering by industry or amount means the Actor must parse every Form D in the window (about 300–500 per business day). Expect roughly 1 minute per day of filings.
- Common industry groups: Other Technology, Biotechnology, Pharmaceuticals, Other Health Care, Commercial, Residential, REITS and Finance, Restaurants, Retailing, Manufacturing, Energy (Other Energy), Other.
- `federalExemptions` `06b` = Rule 506(b), `06c` = Rule 506(c) (general solicitation allowed), `04` = Rule 504.

### FAQ

**Is this legal?** Yes. Form D and EDGAR filings are public records published by the US SEC for public use. The Actor accesses EDGAR politely according to the SEC's fair-access guidelines. Use contact data in line with applicable laws (e.g. CAN-SPAM, TCPA, GDPR).

**Is it affiliated with the SEC?** No. This Actor is independent and not endorsed by the U.S. Securities and Exchange Commission.

**Feedback?** Open an issue in the **Issues** tab.
