## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Filings & Insider Signals: 8-K, Form 4 & 10-Q API

**One clean, evidence-linked research report per company, built only from official SEC EDGAR data.** Give it tickers or CIKs (or let it find companies for you). For each company you get:

- **8-K events in plain English.** Every item code (2.02, 5.02, 4.02…) is translated ("Earnings release", "Auditor changed", "Past financial statements can no longer be relied on") and the text is scanned for **buybacks, raised / lowered / withdrawn guidance, dividend increases, share offerings, going-concern doubt and restructuring**, with the exact quote and link.
- **Form 4 insider trades parsed from the XML.** Who, role (CEO, Director, 10% owner…), shares, price, USD value, shares owned after, direct or indirect, and flags for **open-market buy**, open-market sale, **10b5-1 plan** and **sell-to-cover** (tax) sales. Includes cluster-buy and CEO/CFO-buy detection.
- **10-Q / 10-K key facts with QoQ and YoY changes.** Revenue, gross / operating / net margin, diluted EPS, **diluted share count (dilution)**, operating and free cash flow, cash spent on buybacks, cash, long-term debt and shares outstanding. Missing Q4s are derived as FY minus 9 months and labelled.
- **A transparent evidence score (0–100)** with every rule, its points and the filing links behind it, plus a ready-made **bear case** and a list of **data gaps**.

**Every number links to its source filing.** Each value carries the accession number, form, filed date, period, XBRL concept and a `sourceUrl` that opens the filing on sec.gov.

**$2 per 1,000 company reports** ($0.002 per report). Errors and unknown tickers are free. No API key, no proxies and no scraping of paid sites: only `data.sec.gov`, `efts.sec.gov` and `www.sec.gov/Archives`.

> **Not financial advice.** This Actor summarizes public filings for research and education. It does not predict prices, does not recommend buying or selling anything and never trades. Always open the linked filing before relying on a number.

### Why this one?

| | This Actor | Typical SEC Actors on the Store |
| --- | --- | --- |
| What you get per row | **A full company report**: 8-K + Form 4 + 10-Q/10-K facts + score | One filing or one trade per row, so you assemble it yourself |
| Price for a company with 25 insider trades and 5 8-Ks | **$0.002** | $0.06 at $0.002/trade, $0.75 at $0.025/row, $0.30 per "company analyzed" |
| Insider data | Parsed XML: role, price, value, open-market buy flag, 10b5-1, sell-to-cover | Often only filing links or titles |
| Fundamentals | QoQ + YoY, margins, dilution, debt, derived Q4, every value sourced | Raw XBRL dumps, or none |
| 8-K | Plain-English item labels + buyback/guidance quotes with links | Item codes only |
| Score | Rule-by-rule, points and evidence links, bear case | None, or a black box |
| Agents | Flat summary fields, compact mode, stable field names, MCP-ready | Large nested raw output |

### Use cases

- **AI agents and research copilots (MCP):** "Give me the SEC evidence on NVDA and SOUN" is one call. The agent gets flat fields to reason with and links to cite.
- **Overnight research workflows:** run a scan (`insider-buys`, `buybacks`, `guidance-raised`) every evening, rank by `evidenceScore`, read the evidence in the morning.
- **Analysts, newsletters and journalists:** insider-buying roundups, dilution watchlists, 8-K red-flag monitors (4.02 restatements, 3.01 delisting notices, 4.01 auditor changes).
- **Fintech apps and dashboards:** a clean JSON feed of fundamentals and insider activity without parsing EDGAR yourself.
- **Compliance / due diligence:** quick, sourced background on any SEC registrant by CIK.

### How to use it

1. Enter tickers or CIKs in **Companies**, for example `AAPL`, `NVDA`, `BRK.B`, `320193`.
2. Or choose a **Scan mode**:
   - `insider-buys`: reads recent Form 4 XML and keeps companies whose insiders **bought on the open market**.
   - `buybacks`: 8-Ks announcing share repurchase programs.
   - `guidance-raised`: 8-Ks saying guidance or outlook was raised.
   - `full-text`: any SEC full-text query, e.g. `"strategic alternatives" OR "going private"`.
3. Click **Start**. Use the **Overview**, **Fundamentals** or **Errors** view, or export JSON / CSV / Excel. The `OUTPUT` record holds a ranking by score.

### Evidence score rules

Starts at 50, adds the points below when the filings support them, and clamps to 0–100. Every fired rule appears in `score.signals` with its links.

| Evidence | Points |
| --- | --- |
| Insider open-market buys (code P) | +6 per distinct buyer (max +18) |
| Cluster buy (3+ insiders) / CEO, CFO, President or Chair bought | +8 / +5 |
| Open-market sales outside a 10b5-1 plan and not sell-to-cover | −2 per seller (max −8) |
| Revenue YoY ≥ +15% / ≥ +5% / ≤ −5% / ≤ −15% | +8 / +4 / −4 / −8 |
| Operating margin YoY up ≥ 2 pp / down ≥ 2 pp | +5 / −5 |
| Share count YoY ≥ +5% / ≥ +2% / ≤ −2% | −8 / −4 / +4 |
| Long-term debt YoY ≥ +25% · net loss in the latest quarter | −4 · −4 |
| 8-K text: buyback · guidance raised · dividend increase | +5 · +6 · +3 |
| 8-K text: guidance lowered · withdrawn · share offering · going-concern · restructuring | −8 · −6 · −5 · −15 · −2 |
| 8-K items: 1.03 bankruptcy · 4.02 non-reliance · 3.01 delisting notice · 2.04 debt acceleration | −30 · −15 · −12 · −10 |
| 8-K items: 1.05 cyber incident · 2.06 impairment · 4.01 auditor change · 3.02 unregistered equity sale | −6 · −5 · −5 · −3 |

The score measures how much public evidence points one way. It cannot see valuation, prices, news outside SEC filings or anything a company hasn't filed yet.

### Use it from AI agents (MCP)

Add the Apify MCP server with this Actor as a tool:

```
https://mcp.apify.com?tools=actors,dodiabak/sec-filings-insider-signals
```

Claude Desktop / Cursor / VS Code config:

```json
{
  "mcpServers": {
    "sec-signals": {
      "url": "https://mcp.apify.com?tools=actors,dodiabak/sec-filings-insider-signals",
      "headers": { "Authorization": "Bearer <APIFY_TOKEN>" }
    }
  }
}
```

Tips for agents: send `{"companies": ["TICKER"], "outputDetail": "compact"}` for small rows (every number still keeps its `sourceUrl`). Read `evidenceScore`, `topSignals` and `score.bearCase` first, and cite `sourceUrl` links in your answer. Treat `dataGaps` as unknowns, not as negatives.

API (synchronous, returns the dataset):

```bash
curl -X POST "https://api.apify.com/v2/acts/dodiabak~sec-filings-insider-signals/run-sync-get-dataset-items?token=<APIFY_TOKEN>" \
  -H "Content-Type: application/json" -d '{"companies":["AAPL","NVDA"],"outputDetail":"compact"}'
```

### Pricing

- **$0.002 per company report** (event `company-report`), which is $2 per 1,000.
- Free: error rows, unknown tickers, duplicates (the same company entered twice is charged once) and the `OUTPUT` ranking.
- The Actor checks your **Max cost per run** before starting each company and stops cleanly when the budget is reached.

### Data sources and fair access

- `https://data.sec.gov/submissions/CIK##########.json`: filing index, 8-K items and Form 4 list
- `https://data.sec.gov/api/xbrl/companyfacts/CIK##########.json`: XBRL financial facts from 10-Q / 10-K
- `https://efts.sec.gov/LATEST/search-index`: EDGAR full-text search (scan modes)
- `https://www.sec.gov/Archives/edgar/data/...`: Form 4 XML and 8-K documents
- `https://www.sec.gov/files/company_tickers_exchange.json`: ticker to CIK map

Requests carry a descriptive User-Agent with a contact email, as SEC asks, and are rate limited across the whole run (default 5 per second, never more than 9, under SEC's 10 per second limit). 429 and rate-limit responses are retried with backoff.

### Limits and honest notes

- Quarterly numbers come from the company's own XBRL tags. Some companies (banks, insurers, funds, foreign 20-F/40-F filers, very new filers) tag differently, and some fields may be empty. `dataGaps` and `financials.notes` say so.
- Q4 values are usually derived (FY minus the 9-month figure) and are marked `derived` with both source filings.
- Form 4s are limited to the newest `maxForm4PerCompany` filings in the window. Mega-caps file many, so raise it if you need all of them.
- Keyword hits are pattern matches with the quoted text. Forward-looking-statement boilerplate is skipped, but read the quote before you rely on it.
- Data is as fresh as EDGAR: filings usually appear within minutes of acceptance.

## `includeFinancials` (type: `boolean`):

Revenue, gross/operating/net margin, EPS, diluted shares, cash flow, buybacks, cash, debt and shares outstanding with QoQ and YoY changes, from XBRL company facts.

## `quartersOfHistory` (type: `integer`):

Length of each metric's history array.

## `maxTransactionsInOutput` (type: `integer`):

Open-market buys first, then sales, then other codes. The summary always counts all parsed transactions.

## `outputDetail` (type: `string`):

Compact drops history arrays and footnotes and keeps the top 10 insider transactions. Same price.

## `includeErrorRows` (type: `boolean`):

Unknown tickers and failed lookups get a free row with an error code.

## `contactEmail` (type: `string`):

SEC asks automated tools to identify themselves. Your email is used if valid; otherwise the Actor developer's contact is sent.

## `maxRequestsPerSecond` (type: `integer`):

Shared across the whole run. SEC fair-access limit is 10/s; the Actor never exceeds 9.

## `concurrency` (type: `integer`):

The global rate limit still applies.
