## Pricing

from $6.00 / 1,000 form d filings

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Scraper: New Startup Funding Rounds

Every company raising money privately in the U.S. files a **Form D** with the SEC. This includes startups closing seed and Series A rounds, real-estate syndications, funds and SPVs. This Actor reads EDGAR's daily index, parses each Form D, and returns clean structured rows: issuer, state, industry, offering size, amount sold, number of investors, exemptions, first-sale date and links. Filter by state, industry and round size. Incremental mode returns **only filings you haven't seen**.

You don't need an API key. No personal data is collected: the Actor deliberately drops the names and addresses of executives and promoters ("related persons") and the issuer phone number.

### Example input

```json
{
  "daysBack": 1,
  "issuerStates": ["CA", "NY", "TX"],
  "industryGroups": ["Other Technology", "Biotechnology", "Other Health Care"],
  "excludePooledFunds": true,
  "minOfferingAmount": 1000000,
  "onlyNew": true,
  "maxItems": 500
}
```

### Example output

}
```
Live tests on Oct 28, 2026: 137 Form D filings on Oct 27. Over 3 days, 90 operating-company (non-fund) offerings of $1M or more. Example: Warp Sciences Inc., a $218M Other Technology offering.
### Use cases
- B2B sales teams: newly funded companies have a budget. Reach out the week they raise.
- VCs, angels and fund-of-funds: track rounds in your sectors and states.
- Bankers, lenders, recruiters and service providers who sell to growing companies.
- Researchers tracking private capital formation by region and industry.
### Data source and terms
The data comes from **SEC EDGAR**. It is public U.S. government data. The Actor follows the SEC's fair-access policy: it declares a User-Agent with contact information and stays well under 10 requests per second (about 6/s). Form D data is self-reported by issuers and is not reviewed by the SEC. Amounts can be "Indefinite", in which case they appear as null with `offeringAmountIndefinite: true`. Nothing here is investment advice.
### Scheduling
Schedule it **daily on weekday evenings**, for example at 10 PM ET after EDGAR posts the day's index. Use `daysBack: 1` and `onlyNew: true`. Missed days are caught on the next run if you raise `daysBack`.
### How much does it cost?
Pay per event: you pay only for the events below plus Apify's $0.00005 run-start fee. Platform compute is included in the price.
- **$6 per 1,000 filings** ($0.006 per filing delivered).
Real examples from our test runs:
- **Quick-start input** (10 filings): 10 × $0.006 = **about $0.06**.
- **Every Form D for a day**: 137 filings on Oct 27, 2026 = **about $0.82**.
- **Seed rounds over $1M, operating companies only** (`minOfferingAmount: 1000000`, `excludePooledFunds: true`): 90 filings over 3 days in our test, about 30 a day = **about $0.18 a day**.
Use `maxItems` and Apify's per-run spending limit to cap spend; the Actor stops cleanly when the limit is reached.
### Recipes
**Seed and early rounds over $1M in the last 7 days**
```json
{
  "daysBack": 7,
  "minOfferingAmount": 1000000,
  "excludePooledFunds": true,
  "incorporatedWithinFiveYearsOnly": true,
  "onlyNew": false,
  "maxItems": 200
}
```
### Limits
- Form D data is self-reported by issuers and not reviewed by the SEC.
- Today's filings only appear after EDGAR posts the daily index in the evening.
- Amendments (Form D/A) are excluded unless you turn on `includeAmendments`.
### FAQ
**What is a Form D?**\
A short notice companies file with the SEC when they raise money privately under Regulation D. It covers startups, real-estate syndications, funds and SPVs.
**When do new filings appear?**\
EDGAR publishes each day's index in the evening (US Eastern). Schedule a weekday run at about 10 PM ET with `daysBack: 1`.
**Does it return founders or executives?**\
No. Related persons (names and addresses) and the issuer phone number are deliberately dropped.
**Why is an amount empty?**\
Issuers can report the offering as Indefinite. Those rows have `offeringAmountIndefinite: true`. Use `keepIndefiniteAmounts` to include or drop them when you set a minimum size.
**Can I skip funds and SPVs?**\
Yes, `excludePooledFunds` drops pooled investment funds.
### Reliability
Measured on Apify as of Oct 29, 2026: 4 of 4 of our own test runs succeeded (100%), with a median run time of 4 seconds (longest 5 s) on small test inputs. It is a small sample from a new Actor; we will update it as runs accumulate. Local tests: 137 filings for Oct 27, 2026 parsed with 0 errors; the incremental rerun returned 0 duplicates.
### Use it from AI agents (MCP)
Add this Actor as a tool in Claude Desktop, Cursor or any MCP client through the Apify MCP server:
```json
{
  "mcpServers": {
    "sec-form-d-monitor": {
      "url": "https://mcp.apify.com?tools=fedsignals/sec-form-d-monitor",
      "headers": { "Authorization": "Bearer YOUR_APIFY_TOKEN" }
    }
  }
}
```
### Use it from code (API)
One call runs the Actor and returns the dataset items. `maxTotalChargeUsd` caps what the run can charge.
Python:
```python
import requests

items = requests.post(
    "https://api.apify.com/v2/acts/fedsignals~sec-form-d-monitor/run-sync-get-dataset-items",
    params={"maxTotalChargeUsd": 1},
    headers={"Authorization": "Bearer YOUR_APIFY_TOKEN"},
    json={"daysBack": 3, "onlyNew": False, "maxItems": 10},
    timeout=300,
).json()
print(len(items), "items")
```
JavaScript (Node 18+):
```js
const res = await fetch(
  "https://api.apify.com/v2/acts/fedsignals~sec-form-d-monitor/run-sync-get-dataset-items?maxTotalChargeUsd=1",
  {
    method: "POST",
    headers: { Authorization: "Bearer YOUR_APIFY_TOKEN", "Content-Type": "application/json" },
    body: JSON.stringify({"daysBack": 3, "onlyNew": false, "maxItems": 10}),
  }
);
const items = await res.json();
console.log(items.length, "items");
```
