## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Tracker – Startup Rounds & Private Raises

Track **startup funding rounds and private placements** the day they are filed with the SEC. Every US company that raises money under Regulation D (seed rounds, SAFEs, Series A–C, real-estate syndications, oil & gas deals) must file a **Form D** within 15 days of the first sale. This Actor reads those filings from **official SEC EDGAR** data and returns one clean row per raise: **amount raised, offering size, % sold, number of investors**, industry, securities type (equity, SAFE, debt), Rule 506(b)/(c) exemption, **executives and directors, business address and phone**, placement agents and links to the filing.

- **$3 per 1,000 filings.** Funding-round feeds on the Store charge $70–$80 per 1,000. Runs with no match cost nothing.
- **Fresh every day.** Today's filings come from EDGAR's live "latest filings" feed; earlier days from the official daily index.
- **Leads, not noise.** Investment funds (hedge, PE, VC and real-estate funds, often half or more of all filings) are excluded by default; filter by industry, state, amount raised, startups under 5 years old, or Rule 506(c) issuers.
- **Official source.** SEC EDGAR, public domain, no API key, no browser. Requests are paced under the SEC's fair-access limit with a descriptive User-Agent.

### What can I use it for?

- **Sales prospecting:** freshly funded companies buy software, hire, lease offices and need banking, insurance, payroll, legal and accounting. Reach them in the week they close.
- **VC and angel deal flow:** see who is raising in your sector and state, how much and from how many investors.
- **Recruiting:** companies that just raised are about to hire.
- **Market research and journalism:** count raises by industry, state and size; track a competitor's or portfolio company's filings by CIK.
- **AI agents:** *"which biotech startups in California raised more than $5M this week?"* (see below).

Competitor figures are from the Apify Store on 2026-10-06. A typical business day has 150–250 Form D and D/A filings; roughly 40–50% come from operating companies (the rest are funds), so a daily all-industry feed of new raises costs about **$0.25 per day**.

### FAQ

**Does Form D show the investors' names?** No. Form D lists the number of investors, not who they are. It does list executive officers, directors and promoters, and any placement agents and broker-dealers that were paid.

**Is "amount sold" the round size?** It is the amount sold so far under this offering when the form was filed; `totalOfferingAmountUsd` is the target. Later sales show up in amendments (turn on `includeAmendments`).

**Why are some big raises missing?** Companies file within 15 days of the first sale, and some deals use other exemptions (Reg CF, Reg A, or no filing at all). Form D covers most US venture rounds.

**Is this legal?** Form D filings are public records published by the SEC (public domain). This Actor uses EDGAR's public files with a descriptive User-Agent and stays under the SEC's 10 requests/second fair-access limit. Questions: iletisim.ortalamabiri@gmail.com.
