## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## IPO Calendar Tracker

**IPO Calendar Tracker** delivers **upcoming and recent IPO listings** from Nasdaq's official IPO calendar and SEC EDGAR prospectus filings — with structured data for each offering: price range, deal size, shares offered, exchange, and status (upcoming/priced/filed). Use it to track new public listings, build IPO alert pipelines, or screen for large-cap debut opportunities.

***

### Why use IPO Calendar Tracker?

1. **IPO day trading setups** — Stocks that open significantly above their offer price (50%+) create momentum and retail FOMO. Track the upcoming calendar to identify high-demand offerings before they price.
2. **Post-IPO lock-up expiration watch** — IPO lock-ups expire 90-180 days after listing. When insiders can sell, stocks often drop. Knowing the IPO date lets you track the lock-up window.
3. **SPAC deal monitoring** — Many SPACs file S-1 registrations and then announce mergers. Track newly filed offerings to catch SPAC deals early.
4. **Sector IPO clustering** — Multiple IPOs in the same sector often signal peak sector sentiment (2021 EV SPACs, 2020 biotech). Cluster analysis of the IPO calendar reveals market frothiness.
5. **Investment banking deal flow** — Track which investment banks are underwriting which IPOs to gauge sector relationships and future deal flow.

### How to use

1. Open the actor on Apify Store and click **Try for free**.
2. Enable `includeUpcoming` for scheduled listings and `includePriced` for recent completions.
3. Optionally filter by `exchangeFilter` (NASDAQ, NYSE) and `minDealSizeUsd`.
4. Click **Start**. Results are structured IPO records from Nasdaq and SEC EDGAR.

### FAQ

**How far ahead does the Nasdaq calendar show upcoming IPOs?**
Typically 2-4 weeks for confirmed upcoming IPOs. Further-out listings may appear but dates can shift.

**Does it cover SPACs?**
Yes — SPACs that list on Nasdaq or NYSE appear in the calendar. They show as standard IPO entries; you can identify them by company name (often ends in "Acquisition Corp" or "Holdings").

**Can I get the underwriter (investment bank) information?**
Not in the current version — underwriter data requires parsing the full S-1 prospectus. This is on the roadmap.

**What's the difference between `deal_size_usd` and proceeds?**
`deal_size_usd` = shares offered × offer price high. This includes both primary shares (company proceeds) and secondary shares (existing shareholders selling). The company's net proceeds are typically less.
