from $3.00 / 1,000 filing results

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Private Funding Tracker

Get structured data on newly filed **SEC Form D** private raises (Reg D 506(b)/506(c) and similar). Every result is pulled live from SEC EDGAR's public, keyless endpoints.

**Use cases:** startup and VC deal sourcing, B2B sales triggers (who just raised money), fund-formation tracking, and journalism or research.

### Input

- Date range, defaulting to the last 7 days.
- Issuer states.
- EDGAR full-text keywords.
- Industry groups.
- Minimum offering size.
- Exclude pooled investment funds.
- Include D/A amendments.
- Max results.
- SEC User-Agent contact (required by SEC fair-access rules).

### Output (one item per filing)

- Issuer name, CIK, entity type, address and phone.
- Industry group and fund type.
- Revenue range.
- Exemptions, such as 06b or 06c.
- First sale date and securities types.
- Minimum investment.
- Total offering, amount sold and amount remaining.
- Investor count and whether any investors are non-accredited.
- Sales commissions.
- Related persons (executives, directors, promoters) with their roles.
- Filing and XML URLs.

### Compliance

- Uses only the public SEC EDGAR full-text search (efts.sec.gov) and the Archives.
- Requests are throttled to about 6–7 per second, under SEC's 10 requests/second limit, and send a declared User-Agent: https://www.sec.gov/os/accessing-edgar-data
- No login or API key is needed, and no anti-bot measures are bypassed.

### Suggested pay-per-event pricing

| Event | Price |
|---|---|
| `apify-actor-start` (synthetic) | default $0.00005 |
| `filing-result` (one parsed filing pushed) | **$0.003** ($3 per 1,000) at launch; consider $0.005 once there are reviews |

Each result costs 1 search call per 100 filings plus 1 XML fetch, at about 128 MB of memory. Platform cost per result should be a small fraction of a cent, so margins are high.

Set the per-event price in Apify Console. The code calls `Actor.charge(event_name="filing-result")`.

### Local run

```
pip install -r requirements.txt
## put input in storage/key_value_stores/default/INPUT.json
python -m src
```
