## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

## SEC 8-K Material Event Alerts: Exec Changes, M\&A, Bankruptcy, Auditor Changes | Johto Data

This Actor is an alert feed of SEC 8-K material events for sales, fintech, credit and investor-relations teams. Each 8-K item code becomes a readable title and a category, and the optional excerpt pulls the actual sentence ("On October 19, Jane Doe notified the Company that she will resign as CFO..."). The data comes from SEC EDGAR, collected with no proxy, a declared User-Agent and at most 5 requests per second.

#### Event categories (map to 8-K items)

- **Corporate events:**
  - executive_change (5.02)
  - mergers_acquisitions (1.01, 2.01), material_agreement (1.01, 1.02)
  - change_in_control (5.01), shell_status (5.06)
  - governance_bylaws (5.03, 5.05), shareholder_vote (5.07)
- **Financial events:**
  - bankruptcy (1.03), restructuring_layoffs (2.05), impairment (2.06)
  - financing_debt (2.03, 2.04), equity_issuance (3.02)
  - earnings (2.02), delisting (3.01)
- **Disclosure and audit:**
  - auditor_change (4.01), restatement (4.02), cybersecurity (1.05)
  - reg_fd (7.01), other_events (8.01)

By default, with no items chosen, the feed returns only **material** items and skips earnings-only, Reg FD-only and exhibits-only 8-Ks. Set `excludeRoutine: false` to get every 8-K.

#### Filters

- item codes or categories, tickers or CIKs (watchlists), HQ states, full-text keyword, date range or daysBack.
- `onlyNew` with a `monitorId` for scheduled alerts without duplicates.

#### Use cases

- **Sales triggers:** a new CFO or CTO (5.02) means a new buying window; M\&A (1.01/2.01) brings integration projects; layoffs (2.05) open doors for outplacement and staffing.
- **Fintech and credit risk:** bankruptcy (1.03), auditor changes (4.01), restatements (4.02), delisting notices (3.01), accelerated debt (2.04).
- **Agents:** call it daily and summarize the excerpts.

#### Drop-in compatible

- **johnvc/earnings-call-transcript-api (filings part):** inputs `tickers`, `itemCodes`, `eventCategories`, `searchKeyword`, `dateFrom`, `dateTo`, `filingsLimit`, `includeFullText`, `onlyNew`. Outputs use the same names: recordType, ticker, companyName, cik, formType, accessionNumber, filedDate, eventDate, itemCodes, itemNames, title, url, documentUrl. Item excerpts are in itemDetails\[{itemCode, itemName, text}] (items now holds the item codes, as in the x402 route).
- **constant_quadruped/sec-edgar-filings-scraper:** `tickers`, `ciks`, `dateFrom`, `dateTo`, and the outputs companyName, formType, filedDate, documentUrl.

#### Pricing

- $0.0001 per 8-K row (event `event`), +$0.0001 per row with includeExcerpt, $0.0001 per run start.

# Actor input Schema

## `ticker` (type: `string`):

One US ticker, e.g. AAPL. Returns that company's latest 8-K filings (all items, last 365 days), same as the x402 /v1/sec-8k route. Use when: you want one company's recent 8-Ks. Don't use when: you want a market-wide event feed (leave empty and use eventCategories).

## `cik` (type: `string`):

One SEC CIK, e.g. 320193. Same as ticker, by CIK. Use when: the company has no ticker.

## `limit` (type: `integer`):

Max filings when ticker or cik is set (default 10). Alias of maxResults.

## `since` (type: `string`):

YYYY-MM-DD. Only filings filed on or after this date. Alias of dateFrom.

## `eventCategories` (type: `array`):

executive_change, mergers_acquisitions, material_agreement, bankruptcy, cybersecurity, earnings, financing_debt, equity_issuance, restructuring_layoffs, impairment, delisting, auditor_change, restatement, change_in_control, governance_bylaws, shareholder_vote, shell_status, reg_fd, other_events. Use when: you watch a type of event (e.g. executive_change, bankruptcy) across all companies.

## `itemCodes` (type: `array`):

Exact items, e.g. 5.02, 1.01, 2.01, 1.03, 4.01, 2.05, 2.06, 1.05. Combined with categories (OR). Empty + no categories = all material items (no routine 2.02/7.01/8.01/9.01-only). Use when: you know the exact 8-K item numbers.

## `excludeRoutine` (type: `boolean`):

If no items/categories given, return only material event items. Turn off to get every 8-K.

## `tickers` (type: `array`):

Watchlist by ticker. Use when: you monitor a watchlist of companies.

## `ciks` (type: `array`):

Watchlist by CIK.

## `states` (type: `array`):

Two-letter HQ states.

## `searchKeyword` (type: `string`):

EDGAR full-text phrase, e.g. "chief executive officer" or "going concern". Use when: you need filings that mention a phrase.

## `dateFrom` (type: `string`):

YYYY-MM-DD. Default: daysBack days ago.

## `dateTo` (type: `string`):

YYYY-MM-DD. Default: today.

## `daysBack` (type: `integer`):

Used when dateFrom is empty. Default 2 days; 365 when you pass ticker or cik.

## `includeExcerpt` (type: `boolean`):

Fetch the 8-K and attach a short excerpt per item (extra $0.0001/event). Alias: includeFullText. Use when: your agent needs the item text. Don't use when: you only need the event list (cheaper and faster).

## `excerptChars` (type: `integer`):

Max characters per item excerpt.

## `includeAmendments` (type: `boolean`):

Include amended 8-Ks.

## `onlyNew` (type: `boolean`):

Remembers accession numbers per monitorId for scheduled alerts. Use when: you run this on a schedule and want only filings you haven't seen.

## `monitorId` (type: `string`):

Separate onlyNew memory per watchlist.

## `maxResults` (type: `integer`):

Hard cap on rows (and charges). Aliases: filingsLimit, maxItems. Use it to cap spend: each filing row is one $0.0001 event.
