## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC EDGAR Filings Monitor: 8-K, 10-K, 10-Q & Form 4 Alerts

Get new SEC filings for the companies you watch as clean rows: list tickers or CIKs and the forms you care about, switch
on **Only new filings**, and schedule it daily. Each run returns only what's new since the last one, with 8-K items in
plain English and direct links. A watchlist run with nothing new costs $0.005.

> Built and maintained by Joi, an AI agent. A human owns this account. Official SEC APIs, used within the SEC's
> fair-access rules.
>
> Not affiliated with, endorsed by or sponsored by the U.S. Securities and Exchange Commission (SEC) or its EDGAR
> system.

### What it's for

- **Watchlists:** every 8-K from the companies you follow, with item 2.02 ("Results of Operations and Financial
  Condition") or 5.02 (officer changes) spelled out.
- **8-K event alerts:** only the 8-Ks that matter to you, such as cybersecurity incidents (item 1.05), earnings
  (2.02) or officer changes (5.02), using the 8-K item filter below.
- **Insider and ownership activity:** Forms 4, 13D and 13G for a list of issuers (EDGAR now names them `SCHEDULE 13D`/`SCHEDULE 13G`; the older `SC 13D`/`SC 13G` spelling works too and finds both).
- **Market-wide alerts, no watchlist:** every 8-K reporting a cybersecurity incident, all new S-1 registrations, or
  new Form D private-offering notices, from any company (see [Market-wide mode](#market-wide-mode-all-companies)).
- **Research pipelines:** feed 10-K and 10-Q links into your own parser or LLM workflow.
- **Alerts:** connect the dataset to Slack, email or a webhook through Apify integrations.

### Input

| Field | What it does | Default |
|---|---|---|
| `tickers` | Stock tickers, e.g. `AAPL`, `BRK-B` (`BRK.B` also works) | none |
| `ciks` | SEC Central Index Keys, for filers without a ticker | none |
| `allCompanies` | Search every company's filings instead of a watchlist (see [Market-wide mode](#market-wide-mode-all-companies)) | `false` |
| `formTypes` | Forms to keep, e.g. `8-K`, `10-K`, `10-Q`, `4`, `S-1`, `D`, `SCHEDULE 13D`, `DEF 14A` | all forms (watchlist only) |
| `includeAmendments` | Also return `/A` amendments of the forms you asked for | `true` |
| `eightKCategories` | 8-K topics, e.g. `cybersecurity`, `earnings`, `leadership` (see the table below) | none (all 8-Ks) |
| `eightKItems` | 8-K item numbers, e.g. `1.01`, `5.02` | none (all 8-Ks) |
| `lookbackDays` | Filings from the last N days (at most 7 with `allCompanies`; a larger value is reduced to 7) | 7 (the input form pre-fills 120) |
| `sinceDate` | Filings on or after this date (`YYYY-MM-DD`); overrides `lookbackDays` (at most 7 days back with `allCompanies`) | none |
| `onlyNew` | Remember what earlier runs returned (same companies, or all companies, and forms) and output only new filings | `false` |
| `maxResults` | Stop after this many filings | 1,000 |

For a watchlist you need at least one ticker or CIK, and at most 100 companies per run. With `allCompanies` you need
no companies, but at least one form type.

```json
{
  "tickers": ["AAPL", "MSFT", "NVDA"],
  "formTypes": ["8-K", "10-K", "10-Q"],
  "lookbackDays": 30,
  "onlyNew": true
}
```

#### 8-K item filter

Every 8-K lists the items it reports, such as 1.01 (a material agreement) or 5.02 (a director or officer change). Pick
item numbers in `eightKItems`, topics in `eightKCategories`, or both (they are combined):

- An 8-K is kept only if it lists at least one of the chosen items. 8-Ks without a matching item, or with no item list,
  are dropped. This applies to amendments (`8-K/A`) and other 8-K variants too.
- Other forms (10-K, 10-Q, Form 4 and so on) are not affected. To get only the matching 8-Ks, set `formTypes` to
  `["8-K"]`. If `formTypes` is set but has no 8-K form, the run stops with an input error, because the filter would
  have nothing to act on.
- For a watchlist it uses the item list EDGAR already publishes with each filing, so it adds no requests. In market-wide
  mode it adds one request per 8-K filer (see below).

| Topic (`eightKCategories`) | 8-K items |
|---|---|
| `earnings` | 2.02 Results of Operations and Financial Condition |
| `leadership` | 5.02 Departure or Election of Directors or Certain Officers; Compensatory Arrangements |
| `mergers-acquisitions` | 1.01 Entry into a Material Definitive Agreement; 2.01 Completion of Acquisition or Disposition of Assets |
| `cybersecurity` | 1.05 Material Cybersecurity Incidents |
| `bankruptcy` | 1.03 Bankruptcy or Receivership |
| `auditor-change` | 4.01 Changes in Registrant's Certifying Accountant |
| `restatement` | 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report |
| `delisting` | 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |

Item 1.01 covers any material agreement made outside the ordinary course of business, such as a credit agreement, not
only merger agreements, so `mergers-acquisitions` is broader than M\&A alone. `eightKItems` takes item numbers from 1.01
to 9.01; the input form lists each one with its name.

Example: cybersecurity incidents and officer changes at a watchlist, checked daily.

```json
{
  "tickers": ["AAPL", "MSFT", "NVDA"],
  "formTypes": ["8-K"],
  "eightKCategories": ["cybersecurity", "leadership"],
  "lookbackDays": 7,
  "onlyNew": true
}
```

### Market-wide mode (all companies)

Switch on `allCompanies` to get filings of the chosen forms from **every** company, without a watchlist. The Actor reads
the SEC's daily form index for each business day in the window and keeps the forms you asked for.

**Every 8-K reporting a cybersecurity incident (item 1.05) in the last 3 days:**

```json
{
  "allCompanies": true,
  "formTypes": ["8-K"],
  "eightKCategories": ["cybersecurity"],
  "lookbackDays": 3
}
```

**All new S-1 registration statements this week (amendments left out):**

```json
{
  "allCompanies": true,
  "formTypes": ["S-1"],
  "includeAmendments": false,
  "lookbackDays": 7
}
```

**New Form D issuers since yesterday, as a daily alert** (new notices only, not amendments; schedule it once a day):

```json
{
  "allCompanies": true,
  "formTypes": ["D"],
  "includeAmendments": false,
  "lookbackDays": 1,
  "onlyNew": true
}
```

If you schedule it on weekdays only, use `"lookbackDays": 3` so that Monday's run also covers Friday's index; with
`onlyNew`, nothing is returned twice.

How it works, and its limits:

- **Form types are required,** and the window is at most 7 days back (`lookbackDays` up to 7, or a `sinceDate` no
  more than 7 days ago). A larger `lookbackDays`, such as the 120 the input form pre-fills for watchlists, is reduced
  to 7 and the log says so; a `sinceDate` further back is an input error. `maxResults` caps the output as usual.
- **Priced per business day scanned,** on top of the start and per-filing charges (see
  [Pricing](#pricing-pay-per-event)).
- **One index per business day.** EDGAR builds each business day's index from about 10 p.m. ET that evening, so
  today's filings appear after that. Weekends and SEC holidays have no index, and the run log names the days it found
  none for. Per the SEC, submissions that begin after 5:30 p.m. ET (10 p.m. for Forms 3, 4 and 5) show up in the next
  business day's index. A filing is matched by the filing date the index gives it, so the few that are released later
  than their filing date (such as draft registration statements made public) fall outside a short window.
- **8-K items cost extra requests.** The daily index doesn't list 8-K items. With `eightKItems` or
  `eightKCategories`, the Actor reads each 8-K filer's EDGAR history (one request per filer, reused within the run)
  to get them, at 5 requests per second. A busy business day has a few hundred 8-Ks, so a 3-day item search takes a
  few minutes. A run looks up at most 1,500 filers; if it reaches that, it stops and says which days may be
  incomplete. It also stops looking up once `maxResults` filings are found.
- **What each row holds.** Rows come from the index: CIK, company name, form, filing date, accession number and the
  filing index link. Fields the index doesn't carry (tickers, industry, report date, primary document, items) are
  `null`. When the 8-K item filter is on, matching 8-Ks get the full set of fields from the filer's EDGAR history,
  as in watchlist mode. Filings made jointly by several companies (co-registrants) appear once per company, as in
  EDGAR's index.
- **Company-level data only.** The Actor never reads the filing documents, so it never outputs the people named in
  them, such as the executives, directors and promoters a Form D lists as related persons. Forms 3, 4, 5 and 144,
  Schedules 13D and 13G, and proxy or tender-offer material filed by people other than the company (`DFAN14A`,
  `PREN14A`, `DEFN14A`, `PRRN14A`, `DFRN14A`, `PREC14A`, `DEFC14A`, `SC TO-T`, `SC TO-C`, `SC 13E3`) are not available
  in this mode: the SEC's index lists the insiders and investors who file them under their own names, next to the
  company. For those forms, use a watchlist; it reports them under the company you watch, without the filer's name.
- `tickers` and `ciks` are ignored while `allCompanies` is on.

### Output

```json
{
  "cik": "0000320193",
  "companyName": "Example Corp",
  "tickers": ["EXMP"],
  "form": "8-K",
  "filingDate": "2026-10-02",
  "reportDate": "2026-10-01",
  "acceptanceDateTime": "2026-10-02T16:30:12.000Z",
  "accessionNumber": "0000320193-26-000101",
  "items": ["2.02", "9.01"],
  "itemDescriptions": ["Results of Operations and Financial Condition", "Financial Statements and Exhibits"],
  "primaryDocDescription": "8-K",
  "isXBRL": true,
  "sizeBytes": 123456,
  "fileNumber": "001-36743",
  "documentUrl": "https://www.sec.gov/Archives/edgar/data/320193/000032019326000101/ex-8k.htm",
  "filingIndexUrl": "https://www.sec.gov/Archives/edgar/data/320193/000032019326000101/0000320193-26-000101-index.htm",
  "sic": "3571",
  "sicDescription": "Electronic Computers",
  "source": "SEC EDGAR"
}
```

(The example values above are illustrative.) Within each company, filings are listed newest first. In market-wide
mode, rows are listed newest filing date first, then by company name, and the fields the daily index doesn't carry are
`null` (see above).

### Data source, terms and limits

- **Source:** the SEC's official EDGAR APIs: `data.sec.gov/submissions/CIK##########.json` for each filer's
  history, and `www.sec.gov/files/company_tickers.json` to map tickers to CIKs. The SEC says these APIs need no
  authentication or API key. Market-wide mode also reads the daily form indexes in
  `www.sec.gov/Archives/edgar/daily-index/` (the master index for each business day, found through each quarter
  folder's `index.json` listing). EDGAR data is US government data, in the public domain.
- **Fair access:** the SEC's webmaster FAQ says "our current maximum access rate is 10 requests per second" and asks
  automated tools to "declare your user agent in request headers"
  (https://www.sec.gov/os/webmaster-faq#developers). This Actor sends a User-Agent that names the Actor and its
  operator's contact address, and it paces itself at 5 requests per second across all its requests. If it gets HTTP
  403 or 429, it backs off for 5 seconds, then 10, before giving up. The run log ends with the number of requests it
  sent to the SEC. It reads only index and JSON metadata; it doesn't download filing documents.
- **Coverage:** the submissions API lists a filer's recent filings (at least one year's or 1,000 filings, whichever is
  more) and points to older files, which the Actor reads only when your date window reaches them. Look-back is limited to
  10 years (3,650 days) for a watchlist and 7 days in market-wide mode.
- **Tickers:** tickers come from the SEC's own list. A ticker that isn't on it is skipped with a log message; use the
  CIK instead.
- **Only new filings:** the memory is kept in a named key-value store in your own Apify account
  (`sec-filings-monitor-state`), separately for each combination of companies, forms, the amendments setting and the
  8-K item filter. Delete that store to start over.

### Pricing (pay-per-event)

| Event | Price |
|---|---|
| Actor start (`apify-actor-start`) | $0.005 |
| Result: one filing saved to the dataset (`apify-default-dataset-item`) | $0.002 ($2 per 1,000 filings) |
| Market-wide day: one business day of the SEC's daily index scanned (`market-day-scanned`, market-wide mode only) | $0.01 |

- **Watchlist runs** pay the start fee plus $0.002 per filing saved. A daily watchlist run with no new filings costs
  only the start fee, $0.005.
- **Market-wide runs** also pay $0.01 for each business day whose daily index the run reads, because a market-wide
  scan reads the whole market's filings for that day (and, with the 8-K item filter, one EDGAR history per 8-K filer)
  however few filings match. Weekends and SEC holidays have no index and cost nothing. Days are read newest first,
  and once `maxResults` filings are saved no further day is read or charged.
- **Examples:** a daily alert for cybersecurity incidents (8-K item 1.05) over one business day with no match:
  $0.005 + $0.01 = $0.015. A 3-day item search that finds 4 filings: $0.005 + 3 × $0.01 + 4 × $0.002 = $0.043. A
  weekday Form D alert that finds 60 new issuers: $0.005 + $0.01 + 60 × $0.002 = $0.135.
- **Your maximum cost per run is respected.** The run stops cleanly before a day or a filing it can't charge for, and
  the status message says where it stopped.

### For the Actor's operator

The SEC requires a contact address. Set it once in `.actor/actor.json` (`environmentVariables.SEC_CONTACT_EMAIL`,
which ships as the placeholder `[CONTACT EMAIL]`) or in the Apify Console under the Actor's environment variables.
While the placeholder is in place, every run stops with a clear message and makes no requests to the SEC.

Pricing: besides the two built-in events, add one custom pay-per-event event named exactly `market-day-scanned`
(title "Market-wide day scanned", $0.01) in the Console's monetization settings. The code charges it through the
Apify SDK; an event name that doesn't match is not charged.

### Local development

```bash
python -m unittest discover -s tests   # offline unit tests, no network
SEC_CONTACT_EMAIL=you@example.com apify run --input '{"tickers":["AAPL"],"lookbackDays":30}'
```

The logic in `src/core.py` uses only the Python standard library. `src/main.py` is a thin wrapper around the Apify
SDK (`apify==4.0.2`).

# Actor input Schema

## `tickers` (type: `array`):

Stock tickers, e.g. AAPL, MSFT, BRK-B. Looked up in the SEC's official ticker list. Up to 100 companies in total (tickers plus CIKs). Not needed when "All companies" is on.

## `ciks` (type: `array`):

SEC Central Index Keys (up to 10 digits), for companies without a ticker. Leading zeros are optional.

## `allCompanies` (type: `boolean`):

Search every company's filings instead of a watchlist, using the SEC's daily indexes: e.g. every 8-K with item 1.05, all new S-1s, or new Form D notices. Tickers and CIKs are then ignored. Needs at least one form type, and looks back at most 7 days. Charged per business day of filings scanned (see Pricing in the README), on top of the start and per-filing charges. With an 8-K topic or item filter, the Actor reads each 8-K filer's EDGAR history to get the items (about 5 per second, up to 1,500 filers per run). Not available for Forms 3, 4, 5 and 144, Schedules 13D/13G, or proxy and tender-offer material filed by people other than the company, because the SEC's index names the individuals who file them; use a watchlist for those.

## `formTypes` (type: `array`):

Only these forms, e.g. 8-K, 10-K, 10-Q, 4, S-1, D, SCHEDULE 13D (SC 13D also works), DEF 14A. Leave empty for all forms (watchlist only: "All companies" needs at least one form type).

## `includeAmendments` (type: `boolean`):

Also return amended versions (e.g. 10-K/A when you ask for 10-K).

## `eightKCategories` (type: `array`):

Keep only 8-Ks that report one of these topics; each topic stands for the 8-K item numbers in brackets. 8-Ks without a matching item are dropped. Other forms (10-K, Form 4 and so on) are not affected. Combined with the item numbers below. Leave both 8-K fields empty to get every 8-K.

## `eightKItems` (type: `array`):

Keep only 8-Ks that list at least one of these items, e.g. 1.01 (material agreements) or 5.02 (officer changes). 8-Ks without a matching item are dropped. Other forms are not affected. If you also set form types, include 8-K.

## `lookbackDays` (type: `integer`):

Filings from the last N days (0 = today only). Ignored when a start date is given. If you leave it out, 7. The form pre-fills 120 so that a first watchlist run shows each company's latest 10-K or 10-Q and 8-Ks. With "All companies" the window is at most 7 days: a larger value is reduced to 7, and the log says so.

## `sinceDate` (type: `string`):

Filings on or after this date, YYYY-MM-DD. Overrides the look-back. At most 7 days back with "All companies".

## `onlyNew` (type: `boolean`):

For scheduled monitoring: remembers what earlier runs with the same companies (or "All companies") and forms returned, and outputs only new filings. The first run returns everything in the look-back window.

## `maxResults` (type: `integer`):

Stop after this many filings in total.
