## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D API: US Private Offerings & Startup Funding Filings

Get new US private placement filings (Form D) as clean JSON, using **official SEC EDGAR data only**. Each item describes the issuer and the offering. Names of executives, directors and promoters are **not** included.

Companies and funds that raise money without registering the offering file a Form D with the SEC, usually within 15 days of the first sale. Use this Actor to feed funding alerts, deal flow lists, CRM pipelines, market research or AI agents that need to answer "who raised money this week?".

| Field | Meaning |
|---|---|
| `formType` | `D` = new offering, `D/A` = amendment to an earlier filing |
| `filedAt` | Date the filing was accepted by EDGAR (`YYYY-MM-DD`) |
| `cik` | The issuer's SEC identifier |
| `city` / `state` | Issuer city and state code. Issuers outside the US carry EDGAR's own location code, for example `E9` for the Cayman Islands. `stateName` gives the name |
| `industryGroup` | The category picked by the filer, for example `Other Technology` or `Biotechnology` |
| `investmentFundType` | For pooled funds only, for example `Venture Capital Fund` |
| `yearOfIncorporation` | Often empty: filers state the year only for recently formed entities |
| `totalOfferingAmount` | Amount offered in USD. `null` with `offeringAmountIndefinite: true` when the filer did not set a limit |
| `totalAmountSold` | Amount sold so far in USD |
| `firstSaleDate` | Date of first sale. `null` with `firstSaleYetToOccur: true` when no sale has happened yet |
| `federalExemptions` | Exemptions claimed, as written in the filing, for example `06b`, `06c`, `3C` |

**Not included:** related persons (names and addresses of executives, directors and promoters), signers, street addresses, ZIP codes and phone numbers. The `url` field links to the original filing.

### Input

| Field | Default | |
|---|---|---|
| `filingDays` | 1 | Number of most recent EDGAR filing days to read. Weekends and federal holidays are skipped |
| `dateFrom` / `dateTo` | none | Fixed date window (`YYYY-MM-DD`). `dateFrom` replaces `filingDays` |
| `includeAmendments` | off | Also return `D/A` amendments |
| `excludePooledFunds` | on | Drop venture, private equity, hedge and other investment funds and their SPVs |
| `industryGroups` | none | `industryGroup` contains any of these words, for example `Health Care`, `Energy`. Partial match: `Technology` also finds `Biotechnology` |
| `states` | none | Issuer state codes, for example `CA`, `NY`, `TX` |
| `minOfferingAmount` | none | Minimum `totalOfferingAmount` in USD. Filings with an Indefinite amount are dropped when you set this |
| `maxItems` | 100 | Newest filing day first. You pay per result |

A default run takes about a minute. On a typical day EDGAR publishes 150 to 300 Form D filings, and about two thirds are pooled investment funds. On 2026-10-30, 76 of 174 new filings passed the default filters.

Schedule it daily with the default input to get each day's new filings. Set `excludePooledFunds` to off if you track investment funds.

### Limitations

- **Filing lag:** each day's index is published in the evening US Eastern time, so the newest filing day is usually yesterday. A Form D is typically filed up to 15 days after the first sale, so it is not a real-time funding signal.
- **Startups are not labelled.** Form D covers any private offering, including real estate projects and small local businesses. Combine `industryGroups` and `minOfferingAmount` to narrow it down.
- **Order within a day** is the order of the EDGAR index, which is alphabetical, so a low `maxItems` favours names early in the alphabet. Raise `maxItems` to read a full day.
- **Issuer names** are published as filed. A small number of issuers may have a person's name in the entity name.
- **Co-issuers:** only the primary issuer is returned for a filing with several issuers.
- **Speed:** the Actor reads filings one at a time at no more than 4 requests per second, below the SEC's limit of 10. Wide date windows take about 15 seconds per 50 filings.
- Not affiliated with, or endorsed by, the U.S. Securities and Exchange Commission.

### Data source and attribution

Source: U.S. Securities and Exchange Commission, EDGAR, https://www.sec.gov/edgar. The SEC states that information on sec.gov is public information and may be copied or further distributed without its permission, and asks users to consider citing the SEC as the source.

This Actor uses the public EDGAR daily index and each filing's XML, and follows the SEC's fair access policy: https://www.sec.gov/os/accessing-edgar-data

Each item carries its own `attribution` field, so you can keep the credit when you pass the data on.
