## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

**Track new startup and private-company funding rounds from official SEC Form D filings, the morning after they are filed.** Companies raising money under Rule 504 or 506 of Regulation D must file a Form D notice with the SEC within 15 days after the first sale, and those filings are public on EDGAR. This Actor reads them and returns one clean row per operating company: who raised, how much, in which state and industry, when the first sale happened, how old the company is and whether it has filed a Form D before. **Pooled investment funds (VC, PE and hedge funds) are filtered out**, and all personal names are left out.

*Not affiliated with or endorsed by the U.S. Securities and Exchange Commission. EDGAR is an SEC system, named only to describe the data source. Not investment advice.*

### What does the Form D funding tracker return?

`issuerName`, `cik`, `state`, `city`, `jurisdictionOfIncorporation`, `entityType`, `industryGroup`, `revenueRange`, `totalOfferingAmount`, `totalAmountSold`, `totalRemaining`, `dateOfFirstSale`, `securitiesTypes`, `exemptions`, `investorCount`, `filingDate`, `formType`, `isAmendment`, `accessionNumber`, `filingUrl`, plus enrichment: `yearOfIncorporation`, `companyAge`, `priorFormDCount` and `filerType` (first-time or repeat).

`totalOfferingAmount` is the size of the offering the company reported (or "Indefinite"). `totalAmountSold` is how much it had sold when it filed, and `totalRemaining` is the rest. `filingUrl` links to the filing on EDGAR, which is the authoritative record.

### No personal data

The Related Persons section (executives, directors, promoters), sales-compensation recipients (brokers), signature names, street addresses and phone numbers are never read into the output. Only the issuing company's own business fields are returned.

### How to monitor new Form D filings

1. Set **Look back (days)** (up to 31), or a **From filing date** and **To filing date**.
2. Optional: filter by **Issuer states**, **Industry groups** or **Minimum offering amount (USD)**, or turn off **Include amendments (D/A)**.
3. Run it to get one row per operating company: who raised, how much, state, industry, first sale date, and whether it's a first-time or repeat filer.

```json
{ "lookbackDays": 1, "states": ["TX", "CA"], "minOfferingAmount": 1000000, "monitorMode": true, "monitorStateName": "tx-ca-rounds" }
```

### Example output

Real, unedited rows from a live test run on Nov 2, 2026 covering filings dated Oct 30, 2026 (selected fields; amounts in USD):

| issuerName | state | industryGroup | totalOfferingAmount | totalAmountSold | dateOfFirstSale | filingDate | filerType |
|---|---|---|---|---|---|---|---|
| Betvisors, Inc. | MA | Other Technology | 150000 | 150000 | 2026-09-14 | 2026-10-30 | first-time |
| 511 Therapeutics, Inc. | MA | Biotechnology | 1000000 | 500000 | 2026-10-21 | 2026-10-30 | repeat |
| Blazzi LLC | UT | Other Technology | 250000 | 10000 | 2026-10-30 | 2026-10-30 | first-time |

### Run it on a schedule

Turn on **Monitor mode** with a **Monitor name**, then schedule the Actor daily with an Apify schedule, ideally each morning. Each run reads the previous day's EDGAR daily index and delivers only filings it has not delivered before. Already-seen filings, pooled funds and filtered-out filings are free.

### Pricing

Pay per event: **$0.004 per company filing delivered** ($4 per 1,000). Pooled funds, filtered-out filings and already-seen filings are free. Example: in our test runs over three EDGAR filing days (Oct 28-30, 2026), about 70-90 company filings a day came through after funds were filtered out, so a daily monitor of all U.S. company Form Ds costs about $0.30-0.40 a day, well under $1; Texas tech only is a few cents.

Users on the free Apify plan get up to 100 filings per run.

### FAQ

**What is a Form D filing?** Companies raising money under Rule 504 or 506 of Regulation D must file a Form D notice with the SEC within 15 days after the first sale. Those filings are public on EDGAR.

**Does it include investment funds or people's names?** No. Pooled investment funds are excluded, and so are all personal names, including executives, directors, promoters and brokers.

**How soon are new filings available?** EDGAR publishes the daily index the evening of the filing day, so schedule the run for the next morning.

**Is it gentle on SEC servers?** Yes. It stays under the SEC's 10-requests-per-second fair-access limit (it uses at most 5), sends a declared User-Agent, and backs off if the SEC throttles.

**Why "Indefinite" amounts?** Some issuers report an indefinite offering size.

### Is it legal?

It's built to use only public data. Form D filings are public records the SEC publishes on EDGAR for anyone to access, and this Actor follows the SEC's fair-access policy. It excludes all personal information about people. Not investment advice. This isn't legal advice.
