## Pricing

from $1.70 / 1,000 filing returneds

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.
Since this Actor supports Apify Store discounts, the price gets lower the higher subscription plan you have.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC EDGAR Filings Monitor (8-K, 10-K, S-1, Form D fundraising, 13F)

New SEC filings as they land, from the official EDGAR APIs: pick form types (8-K events, 10-K/10-Q reports, S-1 IPOs, Form D private fundraising rounds, 13F fund holdings, insider Form 4s), a date range, optional full-text search and a watch list of tickers. Each row carries the filing link plus company facts: ticker, exchange, SIC industry, state, address, phone. Leads for investors, bankers, lawyers and B2B sales (who just raised money, who just went public).

### What you can use it for

- Deal flow: every Form D (private fundraising) filed this week, with the company's address and phone
- B2B sales: companies that just went public (S-1, 424B4) or announced events (8-K) are buying services now
- Investors: 13F fund holdings, insider Form 4 trades, 10-K/10-Q reports for a watch list of tickers
- Legal and compliance: monitor specific companies' filings on a schedule

### Why this one

- Official EDGAR sources only: the daily form index, the latest-filings feed and the submissions API; nothing scraped from third parties
- Filter by form type, date range or a watch list of tickers/CIKs; optional full-text search where EDGAR allows it
- Company facts on every row: ticker, exchange, SIC industry, state of incorporation, business address, phone, fiscal year end, former names
- Pay only for results: **$2.00 per 1,000 filings**. No subscription.

### Input

- **Form types** (`forms`): e.g. 8-K, 10-K, 10-Q, S-1, D (Form D: private fundraising), 13F-HR, SC 13D, SC 13G, 4, 424B4, DEF 14A. Empty = all forms.
- **Filed in the last N days** (`sinceDays`) Default: `7`.
- **Or: from date (YYYY-MM-DD)** (`dateFrom`)
- **To date (YYYY-MM-DD)** (`dateTo`)
- **Full-text search (optional)** (`searchText`): Words or phrases that must appear in the filing, e.g. "artificial intelligence" or "bankruptcy".
- **Watch list (tickers or CIKs)** (`companies`): If set, only these companies' recent filings are returned (e.g. AAPL, TSLA, 320193).
- **Include company facts** (`includeCompanyFacts`): Ticker, exchange, SIC industry, state of incorporation, business address, phone, fiscal year end. Default: `true`.
- **Max filings** (`maxResults`) Default: `500`.

### Tips

- Form types are EDGAR's codes: D, 8-K, 10-K, 10-Q, S-1, 424B4, 13F-HR, SC 13D, SC 13G, 4, DEF 14A, 20-F, 6-K.
- Today's filings come from the live feed; finished days come from the daily index (complete). Run daily with sinceDays=1 for a steady stream.

### Integrations and API

Run it on a schedule, trigger it from the API or a webhook, and send results to Google Sheets, Zapier, Make, Slack, a database or your own code with the platform's standard integrations.

### Data and fair use

This tool reads only public sources (official APIs, public feeds or pages the publisher makes available to everyone) and respects robots.txt and rate limits. You are responsible for using the data in line with the source's terms and applicable law.

### How much it costs

You pay per result (pay-per-event), nothing per month and nothing when a run returns nothing. The price is **$2.00 per 1,000 filings** on the Free plan, with automatic discounts on paid plans (Bronze −5%, Silver −10%, Gold −15%, Platinum −20%).

Worked examples:

- 100 filings → **$0.20**
- 1,000 filings → **$2.00**
- 10,000 filings → **$20.00**
- Plus $0.001 per run start.

Platform usage (compute, storage) is included in the price: the actor runs at a small memory setting by default, so a typical run of 1,000 filings finishes in well under a minute.

### FAQ

**Is scraping SEC EDGAR allowed?**

Yes. EDGAR is public by law. The actor follows the SEC's access rules (identifying User-Agent, under 10 requests per second).

**Why are some fields empty?**

A field is `null` when the source does not publish it for that row. The output keeps every column so your spreadsheet or integration always sees the same shape.

**Can I run it on a schedule?**

Yes. Use Apify Schedules (daily, hourly, cron) and connect the run to Make, Zapier, n8n, Google Sheets, a webhook or the API. Each run writes a dataset you can download as JSON, CSV or Excel.

**Is there a free trial?**

The Apify Free plan includes $5 of monthly platform credit, enough to try this actor on a few hundred results at no cost. There is no subscription for the actor itself.

**Can an AI agent use this?**

Yes. The actor is available through Apify's MCP server and the API, so LLM agents (Claude, ChatGPT, LangChain, CrewAI) can call it as a tool with the same input.

**What happens if something fails?**

Runs log every skipped item with a reason. If the source is down, the actor stops cleanly and you are only charged for the results it returned.

### Form D offering details (new)

Form D is filed within 15 days of the first sale in a private offering, so it is the earliest public signal that a company or fund is raising money. With `parseFormD` on (default), every Form D and D/A row carries a `formD` object read from the filing itself:

```json
"formD": {
  "issuerName": "RUI Holdings Inc",
  "entityType": "Corporation",
  "jurisdictionOfIncorporation": "CAYMAN ISLANDS",
  "yearOfIncorporation": "2025",
  "issuerState": "SAUDI ARABIA",
  "industryGroup": "Business Services",
  "revenueRange": "Decline to Disclose",
  "exemptions": ["06b"],
  "isAmendment": false,
  "dateOfFirstSale": "2025-06-10",
  "securitiesOffered": ["Equity"],
  "minimumInvestment": 0,
  "totalOfferingAmount": 500000,
  "totalAmountSold": 500000,
  "totalRemaining": 0,
  "investorsSoFar": 1,
  "hasNonAccreditedInvestors": false,
  "salesCommissions": 0,
  "findersFees": 0,
  "relatedPersons": [{"name": "(name as filed)", "relationships": ["Executive Officer", "Director"]}]
}
```

Use `minFormDAmount` (for example 1000000) to keep only raises of at least that size; filtered-out filings are not charged. A daily run with `forms: ["D"]`, `sinceDays: 1` and `minFormDAmount: 1000000` is a ready-made feed of companies and funds that just raised a million dollars or more — a classic lead list for banks, accountants, lawyers, recruiters and SaaS sales teams.

### Changelog

- **2026-10-22** — Form D offering details: amount offered and sold, investors, minimum investment, industry, exemptions, first-sale date, related persons; `minFormDAmount` filter; runs now fill `maxResults` exactly when filters drop rows.

- **2026-10-18** — Lower price with Bronze/Silver/Gold discounts; smaller default memory (cheaper runs); clean table view of results; FAQ and cost examples; input defaults reviewed.
