## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Scraper: startup funding leads and private placements (new raises every business day)

Get a fresh list of **companies that just raised money**, straight from **SEC Form D filings** on EDGAR. Every private company that sells securities under Regulation D (a seed round, Series A, convertible note, real-estate syndication or SAFE) must file a Form D within 15 days of the first sale. This Actor reads each new filing and gives you the **company name, amount raised, total offering size, industry, year of incorporation, entity type, number of investors, exemption (Rule 506(b) / 506(c)), business address and business phone**.

About **4,000 Form D filings** reach the SEC each month. With investment funds and SPVs filtered out (the default), that is roughly **1,400 operating companies a month** (336 in our last 7-day test), so you get a steady feed of **newly funded startups and growing private companies** you can filter by state, industry, raise size and company age.

**Free to try:** Apify's free plan ($5/month in credit, no card needed) covers about **3,300 records** a month.
**Price:** $1.50 per 1,000 results. You only pay for companies saved.

No browser, no proxies, no login, no API key. Data comes from the SEC's official EDGAR archive (daily form index plus each filing's Form D XML), read at a polite rate under the SEC's fair-access rules.

### What's in the startup funding leads list?

- Company name, entity type, state of incorporation, year of incorporation
- Total offering amount, amount sold so far, amount remaining
- Industry group (Technology, Real Estate, Energy, Banking, Manufacturing, Retail, Restaurants...)
- Filing date, date of first sale, new filing or amendment
- Securities offered (equity, debt, options), minimum investment, number of investors
- Federal exemption (Rule 506(b), 506(c), 504), sales commissions and finder's fees
- Principal business address, city, state, ZIP and business phone as filed
- Links to the filing on EDGAR and the company's EDGAR page

**Source:** US Securities and Exchange Commission, EDGAR (Form D filings).
**How fresh is it?** EDGAR publishes each business day's filing index that evening (US Eastern). Schedule a daily run with `withinDays: 3` and dedupe on `accessionNumber`.

```json
{ "states": ["CA"], "industries": ["Technology"], "minOfferingAmount": 1000000, "withinDays": 7 }
```

Example: every young company (founded in the last 5 years) that filed a Form D in the last 30 days:

```json
{ "withinDays": 30, "newCompaniesOnly": true, "maxResults": 5000 }
```

### Privacy by design

- **Companies only.** Form D issuers are businesses and funds. The filing's "related persons" (executives, directors, promoters) and the signer's name are **never output**.
- **No emails or personal phones.** The phone is the issuer's business phone as filed with the SEC.
- **Apartment-style addresses are withheld** (city, state and ZIP stay).

### Tips

- Form D is filed within 15 days of the first sale, so it is one of the earliest public signals that a company has raised money, often before any press release.
- "Total offering amount" is the round size the company is raising; "total amount sold" is what it had raised by the filing date.
- Many filings are real-estate syndications (industry `Commercial` or `Residential`). Use `industries` to focus on technology, energy or manufacturing.
- `RUN_SUMMARY` in the key-value store shows how many filings were in the window and how many funds were skipped.

Data: SEC EDGAR public filings. Not affiliated with or endorsed by the SEC. Filings are self-reported by issuers; verify on EDGAR before acting.

### Common questions about SEC Form D funding leads

**How do I get a list of newly funded startups without coding?** Press **Try for free**, set your state, industry and minimum raise (or keep the defaults), press **Start**, then open the **Storage** tab and export the results as Excel, CSV or JSON. A one-week run takes about a minute.

**How much does it cost?** Free to try: Apify's free plan ($5/month credit, no credit card) covers about 3,300 records a month. After that it is $1.50 per 1,000 results (pay per result), plus a fraction of a cent per run.

**Can I get new Form D filings automatically every day?** Yes. Save your filters as a task and add a **Schedule** (daily or weekly). Connect Google Sheets, Slack, email, Zapier, Make or n8n under **Integrations** to receive each new batch.

**Can I call it from code or an AI agent?** Yes. Use the Apify API or the Python/JavaScript clients with the Actor ID shown above, or connect it to Claude, ChatGPT or Cursor through the Apify MCP server.

**Does it include personal data?** No. It returns company records from public SEC filings. Names of executives, directors and filers are left out.
