## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D: Startup Funding Rounds and Leads

This Actor returns new SEC Form D filings from EDGAR, one row per filing. Companies and funds file Form D when they raise money privately under Regulation D. Each filing is a startup funding round, a private placement or a fund raise. Sales teams, investors, lawyers and accountants use it to find recently funded companies.

### SEC Form D coverage

| Item | Value |
|---|---|
| Source | SEC EDGAR daily form index and the Form D XML of each filing |
| Forms | Form D (new notice) and Form D/A (amendment) |
| Volume | 1,369 filings in the 5 business days from 14 to 20 October 2026 (counted 21 October 2026) |
| Update | EDGAR publishes each day's index in the evening, US Eastern time |
| History | Any date range. Electronic Form D XML exists from 2009 onwards (inferred) |

About two thirds of filings come from pooled investment funds, such as venture capital funds, hedge funds and SPVs. Turn on **Leave out pooled investment funds** to keep operating companies only.

### Startup funding data returned

| Field | Meaning |
|---|---|
| `companyName`, `cik` | Primary issuer and its SEC number |
| `formType`, `isAmendment` | D for a new notice, D/A for an amendment |
| `filedDate` | Date EDGAR accepted the filing |
| `industryGroup`, `investmentFundType` | Form D industry group, and fund type for funds |
| `entityType`, `jurisdictionOfInc`, `yearOfInc` | Legal form, place and year of incorporation |
| `street`, `city`, `stateOrCountry`, `zipCode`, `phone` | Issuer business address and phone as filed |
| `totalOfferingAmount`, `offeringAmountIndefinite` | Offering size in USD, or a flag when the size is indefinite |
| `totalAmountSold`, `totalRemaining` | Amount already sold and amount left, USD |
| `exemptions`, `exemptionCodes` | For example Rule 506(b), Rule 506(c), Section 3(c)(1) |
| `dateOfFirstSale`, `securitiesTypes`, `minimumInvestment` | Offering details |
| `totalInvestors`, `hasNonAccreditedInvestors` | Investor count and type |
| `salesCommissions`, `findersFees` | Fees paid, USD |
| `relatedPersons` | Executive and director names with roles. Only when you turn it on |
| `filingUrl`, `formUrl`, `xmlUrl` | Links to the filing on SEC EDGAR |

Some fields can be empty:

- `totalOfferingAmount` and `totalRemaining` are empty when the issuer reports an indefinite size.
- `yearOfInc` is empty when the issuer was formed more than five years ago.
- `revenueRange` is for companies and `netAssetValueRange` is for funds. Most issuers decline to disclose them.
- `relatedPersons` is empty unless you turn on **Include executive and director names**.

### How to find startup funding rounds

1. Leave the input as it is to get the last 3 days of filings.
2. Pick a date range, states, industry groups, security types, exemptions or a round size range to narrow the list.
3. Turn on **Monitor mode** and schedule the Actor once a day to receive only new filings.

| Option | Default | Meaning |
|---|---|---|
| Days back | 3 | Calendar days to read, ending today |
| Filed from, Filed to | Empty | A fixed date range, yyyy-mm-dd. Overrides Days back |
| Include amendments | On | Also return Form D/A |
| Issuer states or countries | All | EDGAR codes, for example CA, NY, TX |
| Industry groups | All | Form D industry groups |
| Leave out pooled investment funds | Off | Keep operating companies only |
| Minimum offering amount | 0 | USD. Indefinite offerings are kept |
| Minimum amount sold | 0 | USD |
| Maximum offering amount | 0 | USD. 0 means no maximum. Indefinite offerings are dropped when set |
| Maximum amount sold | 0 | USD. 0 means no maximum |
| Security types | All | For example Equity, Debt or Pooled investment fund interests |
| Minimum investors | 0 | Investors reported so far |
| Exemptions | All | For example Rule 506(b) or Rule 506(c) |
| Include executive and director names | Off | Adds names and roles. Never addresses |
| Keywords | None | Match company name, industry, fund type or city |
| Monitor mode | Off | Return only filings returned for the first time |
| Monitor state key | `default` | Name of the monitor memory |
| Maximum filings | 100 | Stop after this many filings. Set 0 for no limit |

The Actor reads newest days first. It reads about 5 filings per second, so a month of filings takes about 20 minutes. Raise the run timeout for long ranges.

### SEC Form D pricing

The Actor uses pay-per-event pricing.

| Event | Price |
|---|---|
| Actor start | $0.02 per run at the default 256 MB memory (one event per GB, minimum one) |
| Form D filing | $0.003 per filing saved to the dataset |

So 1,000 filings cost about $3 plus the start fee. Filings skipped by your filters or by monitor mode cost nothing. The Pricing tab always shows the current price.

### SEC Form D FAQ

#### What is a Form D filing?

A company or fund files Form D with the SEC after its first sale in a private offering under Regulation D. It shows the amount raised, the exemption used and the number of investors.

#### Does Form D show which investors put money in?

No. Form D lists the issuer, the offering size and the investor count. Investor names are absent from the form.

#### How do I find only startup equity rounds?

Pick **Equity** in **Security types** and turn on **Leave out pooled investment funds**. Add a minimum amount sold and a maximum offering amount to set the round size. This input returns seed-sized equity rounds in California:

```json
{
    "daysBack": 7,
    "states": ["CA"],
    "securityTypes": ["Equity"],
    "excludePooledFunds": true,
    "minAmountSold": 500000,
    "maxOfferingAmount": 5000000
}
```

Filings that do not match are never saved and never charged.

#### How fresh is the data?

EDGAR publishes each day's index in the evening, US Eastern time. A daily schedule gets each filing the next morning.

#### How do I keep only operating startups?

Turn on **Leave out pooled investment funds**. Add a minimum amount sold to drop empty offerings.

#### Can I use it for sales leads?

Yes. Each row has the company name, industry, city, state and business phone as filed. Executive names are off by default. Turn them on only when you need them.

#### Can AI agents use it?

Yes. An agent can pass a date range and filters and get one flat JSON row per filing.
