**Startup Funding Rounds API** turns **SEC Form D filings** into a clean feed of **US private funding rounds**: the company, **how much it has raised and of what total**, **how many investors**, **the executives and directors named in the filing**, industry, city and state, year of incorporation, exemption claimed (Rule 506(b), 506(c)...), equity or debt or SAFE, first sale date and **a one-line summary you can read at a glance**. Filter by date, state, industry, round size and amendments, or switch on **monitor mode** for a daily feed of new filings only. The input form is pre-filled, so the easiest way to try it is to click **Start**: the 10 newest company filings cost $0.10 and take about 10 seconds.

One row per Form D filing, newest first:

### How do I find recently funded startups?

1. Set **Filed since** (e.g. `7 days`, `1 month` or `2026-09-01`) and **Max filings**.
2. Keep **Companies only** on. Pick **Industries** (e.g. "Technology: all", "Health Care: all"), **States or countries** (`CA`, `New York`, `Canada`) and a **Min offering size** if you want bigger rounds.
3. Choose how to treat **amendments**: new offerings only (default), amendments too, or the latest filing per company.
4. Click **Start**, then open the **Funding rounds** view on the Output tab, or export JSON, CSV or Excel.

#### How do I find the founders of startups that just raised?

Keep **Include executives and directors** on (it's on by default), set **Filed since** to `7 days` or `1 month`, pick an industry or state, and open the **Funding rounds** view: the **Executives** column lists each company's officers and directors with their titles, ready to paste into a sheet or CRM. Each person's name, role and city are in `relatedPersons` if you'd rather work with JSON. Form D doesn't give email addresses or LinkedIn profiles, so pair a name with the company's website to reach out, and follow the rules for that (see the FAQ).

#### How do I get a daily feed of new Form D filings?

Set **Filed since** to `3 days`, switch on **Only new filings since the last run**, give the monitor a name, **Save as a new task**, then **Schedules** → **Create new** → daily. Each run returns only filings this monitor hasn't returned before. The few days of overlap mean a late SEC index or a missed day never loses a filing, and you're never charged twice for one.

#### How do I see a company's whole funding history?

Use **Company name contains** with the company name, a wide date range (up to 366 days per run) and **Amendments: New offerings and amendments**. Each row links to the company's EDGAR page for older filings.

### How much does it cost?

**$0.01 per filing returned ($10 per 1,000).** One flat event, `filing`. Nothing else is charged.

- 🆓 **Free:** filings your filters leave out (funds when Companies only is on, other states, industries or sizes), days with no SEC index (weekends, holidays), filings that can't be read, invalid input, and anything past your **maximum spending limit** or the run's time limit.

These input names work too, so an existing input usually runs unchanged: `dateFrom` / `startDate` / `daysBack`, `dateTo` / `endDate`, `maxResults`, `minAmount`, `includeAmendments`, `states` and `industry`. Output names match the common ones (`companyName`, `cik`, `filingDate`, `formType`, `accessionNumber`, `industryGroup`, `totalOfferingAmount`, `totalAmountSold`, `totalRemaining`, `dateOfFirstSale`, `relatedPersons`, `filingUrl`).

### How to read Form D data

- **Form D is a notice, not a press release.** A company files it within 15 days of the first sale in a private offering. "Amount sold" is what had been sold when the filing was made; amendments (D/A) update it.
- **"Indefinite" offering size** is common for funds and open-ended raises: `totalOfferingAmount` is null and `isOfferingAmountIndefinite` is true.
- **Most tech startups file under "Other Technology".** Use the Technology sector, or pair the industry with a keyword, rather than expecting finer categories.
- **Some companies never file a Form D**, and the filing doesn't name the lead investor or the round's label (Seed, Series A). The summary describes what the filing says.
- **Timing:** SEC publishes each day's filing list that evening (US Eastern time), so a filing shows up here the same night.

### How do I send funding rounds to Google Sheets, Make, Zapier, n8n or an AI agent?

- **Google Sheets (one formula):** save your input as a task and schedule it, then put this in cell A1 of a sheet. It loads your latest successful run and refreshes after each one:

### Limitations

- **US Form D only:** private offerings under Regulation D and related exemptions, as filed with the SEC. Rounds that were never filed, and non-US raises not filed in the US, aren't here.
- **Up to 366 days per run**, filings from 2010 on. Run several date ranges for longer histories.
- **Filters that need the filing itself** (state, industry, size) read every filing in the date range, so a narrow filter over a long range takes longer (about 4 filings a second). You're only charged for the filings returned.
- **People:** Form D names executive officers, directors and promoters, not investors, and gives no emails or LinkedIn profiles. People whose filed address is outside the US are left out, so a foreign company's row often has an empty `relatedPersons`. Names and titles are as the company filed them (some filings are in capitals).
- **Co-issuers:** when one filing lists several issuers, the row describes the primary issuer and `coIssuers` counts the others.

### FAQ

#### Is it legal to use SEC Form D data?

Form D filings are public records published by the SEC on EDGAR for anyone to read and reuse. This Actor reads only EDGAR's public archive (the nightly daily index and each filing's XML), follows SEC's fair-access rules (a declared User-Agent with a contact address, well under 10 requests a second) and obeys sec.gov's robots.txt. It isn't affiliated with or endorsed by the SEC.

#### Does it include personal data?

Yes, a little, and on purpose: the **names and roles of the executive officers, directors and promoters** that the company itself lists in its Form D, with their city and state. This is what founders and executives publicly file with the SEC, and it's what makes the feed useful for finding who runs a newly funded company. To keep it narrow:

- **US-located people only.** Anyone whose filed address is outside the United States is dropped.
- **No home addresses.** Street address and ZIP code are never returned, for people or for the company; you get city, state and country.
- **Not returned at all:** the person who signed the filing and the brokers or finders paid on the round (only their count is kept).
- The company's **business phone**, as filed, is included as company data.

You're responsible for using this data lawfully. If you contact people, follow the rules that apply to you, for example **CAN-SPAM** for commercial email in the US, **CCPA** if you handle California residents' data, and **GDPR** if you're in the EU or UK. The filing link is on every row if you need to show where a name came from.

#### Can I turn the names off?

Yes. Switch off **Include executives and directors** (`"includeRelatedPersons": false`) and every row is company-level only: no `relatedPersons`, no `executives` column, no phone, and a summary without a name. The price is the same either way.

#### Where does the data come from?

From **SEC EDGAR**: the daily form index (`/Archives/edgar/daily-index/`) lists each day's Form D and D/A filings, and each filing's `primary_doc.xml` holds the structured data. The summary, size band, percent sold and similar fields are calculated from those numbers.

#### What happens if a run times out or restarts?

Near its timeout the Actor stops starting new batches and finishes successfully with what it has; nothing unread is charged. If the platform restarts a run, filings already saved are neither saved nor charged again. In monitor mode, a filing cut off by your limits is still "new" next time.
