## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Tracker: Private Placements from EDGAR

**Find out who just raised private capital in the US: clean, filterable data from official SEC Form D filings.**

Companies and funds selling securities under Regulation D generally file a Form D with the SEC soon after their first sale. This often makes filings an early public signal of a funding round, sometimes before any press release.

This Actor reads recent filings straight from SEC EDGAR, parses each form, and gives you one tidy row per filing. No login, no API key, no proxies, no browser.

### Who it is for

- **Investors and market analysts** who track private capital by sector and state
- **Compliance and KYB teams** who check an issuer's filings
- **B2B sales and service firms** who research newly funded companies
- **Journalists and researchers** who cover private markets

### What you get

Issuer name, CIK, city, state, jurisdiction, entity type, year of incorporation, industry group, fund type, revenue range, exemptions claimed, amount offered, amount sold, amount remaining, minimum investment, first sale date, number of investors, security types, and related persons' names and roles **exactly as filed**, plus links to the filing.

### Why use it

| | |
|---|---|
| **Official source only** | Everything comes from SEC EDGAR, with a link to the original on every row. |
| **Filters that save you money** | State, industry, amount offered and amount sold. State filtering happens before the download, so non-matching filings are free. |
| **Only new since last run** | Named memory in your own Apify account. A scheduled run with nothing new costs only the run start. |
| **Separates funds from companies** | Pooled investment funds were 162 of the 231 filings on one day we sampled. Exclude them with one setting. |
| **New notices or amendments** | Amendments (D/A) are off by default and can be switched on. |
| **Fair use of EDGAR** | A declared User-Agent, and at most about 7 requests per second against the SEC's limit of 10. |

### How to use it

1. Choose a date range: **Look back (days)**, or a start and end date.
2. Add filters if you want them.
3. To monitor, turn on **Only new since last run**, give it a **Monitor ID**, and add a daily [schedule](https://docs.apify.com/platform/schedules).

#### Input example

```json
{
  "lookbackDays": 7,
  "states": ["CA", "NY"],
  "excludeIndustries": ["Pooled Investment Fund"],
  "minAmountSold": 1000000,
  "onlyNew": true,
  "monitorId": "ca-ny-operating-companies"
}
```

State filters use EDGAR codes: `CA`, `NY`, and `A8` for Quebec. Industry names must match the form's wording, for example `Other Technology`, `Biotechnology`, `Commercial`, `Other Real Estate`, `Pooled Investment Fund`.

### Output

One row per filing. This example uses invented values:

```json
{
  "accessionNumber": "0009999999-26-000001",
  "form": "D",
  "filedAt": "2026-10-29",
  "issuerName": "Example Widgets, Inc.",
  "cik": "0009999999",
  "issuerCity": "AUSTIN",
  "issuerState": "TX",
  "minimumInvestmentUsd": 0,
  ],
  "formUrl": "https://www.sec.gov/Archives/edgar/data/9999999/000999999926000001/xslFormDX01/primary_doc.xml",
  "scrapedAt": "2026-10-30T08:55:25.593Z"
}
```

A run summary (filings found, read, delivered, errors) is saved as `RUN_SUMMARY` in the run's key-value store. Amounts filed as `Indefinite` appear as `null` with `totalOfferingAmountIsIndefinite: true`. Filings with `Indefinite` pass any minimum-offered filter, because the true size is unknown.

### Pricing

Pay per event.

| Event | Price | When |
|---|---|---|
| Run started | $0.002 | Once per run, per GB of memory |
| Filing read | $0.00005 | One filing downloaded and parsed ($0.05 per 1,000) |
| Filing delivered | $0.002 | One matching filing saved to your dataset ($2 per 1,000) |

**Examples:** one day of new notices (about 166 filings) costs about **$0.34**. The same day with funds excluded (about 53 filings) costs about **$0.12**. A daily scheduled run with nothing new costs **$0.002**.

Set a **maximum cost per run** and the Actor stops cleanly at that limit. If you set no dates and no max filings, a run returns a sample of the 25 newest filings, so a test costs about 5 cents.

### Limits

- **Speed:** about 6 filings per second, set by the SEC's fair-access limit. A month of filings takes roughly 15 to 20 minutes. Parallel runs from one account may need spacing out, because the SEC limits by source.
- **Coverage:** only filings available through EDGAR full-text search. Very old filings without an XML form are reported in `RUN_SUMMARY`, skipped and not charged.
- **Filing date, not sale date:** the date range applies to when a filing was made.
- **State filter:** it checks EDGAR's business address, then confirms against the form. An issuer that has since moved could be missed.

### What it does not do

- **It does not provide addresses, phone numbers or e-mail addresses.** The forms contain addresses and issuer phone numbers, and this Actor deliberately leaves them out. Related persons appear by name and role only.
- It does not tell you the actual investors. Form D does not name them.
- It does not verify what issuers file. A filing is the issuer's own statement.
- It does not cover Form C, Reg A or other SEC forms.

### Legal and responsible use

Form D filings are public regulatory records. **If you use this data to contact anyone, you are responsible for following applicable law**, including anti-spam rules such as CAN-SPAM, telemarketing rules such as the TCPA, privacy laws such as GDPR and CCPA, and securities rules. A person's name on a filing is not consent to be contacted. This data is not investment advice. This Actor is independent and is not affiliated with or endorsed by the U.S. Securities and Exchange Commission.

# Actor input Schema

## `lookbackDays` (type: `integer`):

Filing dates to cover, counting back from the end date. Ignored when a start date is set. If you set no dates and no max filings, the run returns a sample of the 25 newest filings.

## `startDate` (type: `string`):

First filing date, YYYY-MM-DD. Optional.

## `endDate` (type: `string`):

Last filing date, YYYY-MM-DD. Defaults to today.

## `states` (type: `array`):

EDGAR state or country codes of the issuer's address, such as CA, NY, or A8 for Quebec. Empty means all.

## `industries` (type: `array`):

Keep these Form D industry groups exactly as filed, such as Other Technology, Biotechnology, Pooled Investment Fund, Commercial. Empty means all.

## `excludeIndustries` (type: `array`):

Drop these industry groups. Pooled Investment Fund is usually most of the volume, so exclude it if you only want operating companies.

## `minAmountSold` (type: `integer`):

Keep filings that report at least this much sold. 0 means no minimum.

## `minAmountOffered` (type: `integer`):

Keep filings offering at least this much. Offerings filed as Indefinite always pass. 0 means no minimum.

## `includeAmendments` (type: `boolean`):

Also return amended filings. Off returns new notices only.

## `maxFilings` (type: `integer`):

Stop after delivering this many filings, newest first. 0 means no cap. If you set no dates and leave this out, the run returns a sample of the 25 newest filings.

## `onlyNew` (type: `boolean`):

Skip filings this monitor has already processed. Memory lives in a named key-value store in your own Apify account. Use it on a schedule.

## `monitorId` (type: `string`):

Name of this monitor's memory. Use different IDs for different saved searches.
