## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D & Startup Funding Scraper: Newly Funded Companies

Export newly funded startups and private companies from official SEC EDGAR Form D filings. Every US company raising venture capital, seed funding, angel money or private equity under Regulation D must file Form D within 15 days of first sale — often weeks before any press release or news article.

Each row includes the company name, CIK, business phone number, street address, executive officers and directors, industry group, amount raised (`totalAmountSold`), total offering size, investor count, date of first sale and direct links to the SEC filing. No API key, login or proxy needed.

**Price: $1.50 per 1,000 filings. No start fee.** You only pay for filings saved.

### What you can use it for

- **B2B sales and outbound leads:** reach newly funded startups right after they close a round, with executive names, titles, company phone number and headquarters address.
- **Recruiting and staffing agencies:** spot companies that just raised capital and are about to hire engineers, sales reps and executives.
- **VC, angel and private equity research:** track private placement deal flow by industry, state and round size.
- **Competitive intelligence:** monitor new funding filings in technology, biotech, healthcare, fintech, real estate or energy every day.

### Input

| Field | What it does | Default |

| Filing type | All Form D filings (`D` and `D/A`), new filings only (`D`), or amendments only (`D/A`). | All |
| US states / location codes | Optional 2-letter state codes for the company's principal place of business, e.g. `["CA", "NY", "TX"]`. | empty (all states) |
| Minimum amount raised / sold (USD) | Skip filings where `totalAmountSold` is below this dollar amount (e.g. `100000` for $100k+). | `0` |
| Days back | How many days back from today to search when Start date is blank. | `7` |
| Start date / End date | Optional exact date range in `YYYY-MM-DD` format. | last 7 days |

### FAQ

**Why exclude pooled investment funds?** Over half of raw SEC Form D filings are hedge funds, venture funds or real estate syndications raising fund LP capital. Keeping `excludePooledFunds` turned on filters those out so your list only contains operating companies and startups. If you want fund filings, set **Industry group** to `Pooled Investment Fund` or turn off `excludePooledFunds`.

**How fast is it?** Usually about 50 filings in 12 to 18 seconds, and 1,000 filings in 3 to 5 minutes. The scraper paces its requests to stay well inside the SEC's fair-access rate limit.

**Does it need a proxy or API key?** No. It reads official public SEC EDGAR endpoints directly with no proxy and no API key.

**Why is `totalOfferingAmount` sometimes `null`?** On Form D, issuers can mark their total offering size or remaining amount as `"Indefinite"`. When they do, `totalOfferingAmount` is `null` and `totalAmountSold` shows the exact dollar amount closed so far.

### Copy-Paste Scheduled Automation (Python / n8n / cURL)

Automate daily or weekly data feeds into your CRM (HubSpot, Salesforce, Clay, Google Sheets, or Slack) in under 60 seconds:

#### 1. cURL (REST API — Instant JSON / CSV Export)

```bash
curl -X POST "https://api.apify.com/v2/acts/mystique-lab~sec-form-d-scraper/run-sync-get-dataset-items?token=YOUR_APIFY_TOKEN&format=json" \
  -H "Content-Type: application/json" \
  -d '{"industryGroup": "Technology", "excludePooledFunds": true, "daysBack": 7, "minAmountSold": 100000, "maxItems": 100}'
```

*(Tip: Change `format=json` to `format=csv` or `format=xlsx` to download a spreadsheet directly.)*

#### 2. Python (`apify-client`)

```python
from apify_client import ApifyClient
client = ApifyClient("YOUR_APIFY_TOKEN")
run = client.actor("mystique-lab/sec-form-d-scraper").call(
    run_input={"industryGroup": "Technology", "excludePooledFunds": true, "daysBack": 7, "minAmountSold": 100000, "maxItems": 100}
)
for item in client.dataset(run["defaultDatasetId"]).iterate_items():
    print(item)
```

#### 3. n8n / Make.com / Zapier (Daily Cron Webhook)

1. Add a **Schedule Trigger** node (e.g., every morning at `07:00 AM`).
2. Add an **HTTP Request** node:
   - **Method:** `POST`
   - **URL:** `https://api.apify.com/v2/acts/mystique-lab~sec-form-d-scraper/run-sync-get-dataset-items?token=YOUR_APIFY_TOKEN`
   - **Body (JSON):** `{"industryGroup": "Technology", "excludePooledFunds": true, "daysBack": 7, "minAmountSold": 100000, "maxItems": 100}`
3. Pipe the returned JSON array directly into **HubSpot**, **Clay**, **Instantly.ai**, **Smartlead**, **Airtable**, or **Google Sheets**.
