## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## US Funding Rounds — SEC Form D

Find **recently funded US companies** straight from official **SEC EDGAR Form D** filings — the public record a company files when it raises private capital. No API key, no account, and no anti-bot: a clean, legal alternative to scraping Crunchbase.

### Why Form D

When a US company raises money privately (seed, venture, PE, convertible notes), it usually files a **Form D** with the SEC. That filing is public and names the company, the offering amount, how much was sold, the industry, the first-sale date and the executives involved. It's one of the most reliable, up-to-date signals that a company just got fresh budget.

### What you get

Per funded company:

- Company name, CIK, jurisdiction and industry group
- **Offering amount** and **amount sold** (USD), amount remaining, minimum investment
- First-sale date and whether the raise is **still open**
- **Executives named** on the filing (name + role)
- Whether it's an operating company or a pooled investment fund
- Link to the SEC filing

### Input

| Field | Description |
|---|---|
| `keywords` | Sectors/terms to search (e.g. `artificial intelligence`, `fintech`). Empty = most recent filings across all sectors. |
| `sinceDays` | Only filings from the last N days. |
| `minOfferingUsd` | Skip offerings below this amount. |
| `excludeFunds` | Skip VC/PE/hedge funds and keep operating companies (better B2B targets). |
| `maxResults` | Max companies to return. |

#### Example

```json
{
  "keywords": ["artificial intelligence", "fintech"],
  "sinceDays": 30,
  "excludeFunds": true,
  "maxResults": 100
}
```

### Chain it into buying signals

A company that just raised is a strong B2B buying signal. Pass this actor's **dataset ID** to the **Funding Signals** actor to score each fresh raise against what you sell — fit score, likely spend areas and a tailored outreach angle.

### Pricing

Pay per use: one charge per funded company returned.

### Notes

- Data comes directly from SEC EDGAR; Form D reflects what the company reported.
- SEC fair-access limits apply (~10 requests/second) — keep concurrency moderate for large pulls.

Built by the No Niner team.

# Actor input Schema

## `keywords` (type: `array`):

Terms to search Form D filings for — e.g. a sector, product or technology. One per line. Leave empty to get the most recent Form D filings across all sectors.

## `sinceDays` (type: `integer`):

Only include filings from the last N days.

## `minOfferingUsd` (type: `integer`):

Skip filings whose total offering amount is below this (0 = no minimum). 'Indefinite' offerings are kept.

## `excludeFunds` (type: `boolean`):

Skip pooled investment funds (VC/PE/hedge funds) and keep operating companies, which make better B2B targets.

## `maxResults` (type: `integer`):

Max filings to return. One pay-per-event charge per funded company returned.

## `maxConcurrency` (type: `integer`):

Parallel requests to SEC. Keep moderate — SEC rate-limits (~10 req/s).

  "maxResults": 100,
  "maxConcurrency": 5
}
```
# Actor output Schema
## `companies` (type: `string`):
All funded companies in the default dataset.
You can run this Actor programmatically using our API. Below are code examples in JavaScript, Python, and CLI, as well as the OpenAPI specification and MCP server setup.
## JavaScript example
```javascript
import { ApifyClient } from 'apify-client';

// Initialize the ApifyClient with your Apify API token
// Replace the '<YOUR_API_TOKEN>' with your token
const client = new ApifyClient({
    token: '<YOUR_API_TOKEN>',
});

// Prepare Actor input
const input = {
    "keywords": [
        "artificial intelligence",
        "fintech"
    ]
};

// Run the Actor and wait for it to finish
const run = await client.actor("noniner/us-funding-rounds").call(input);

// Fetch and print Actor results from the run's dataset (if any)
console.log('Results from dataset');
console.log(`💾 Check your data here: https://console.apify.com/storage/datasets/${run.defaultDatasetId}`);
const { items } = await client.dataset(run.defaultDatasetId).listItems();
items.forEach((item) => {
