## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Scraper: private funding rounds with the named executives and promoters

**$1 per 1,000 filings. Platform usage included. No rental, no minimum.**

The four most used Form D actors on Apify Store charge $2.00 to $80.00 per 1,000 results (Store prices checked 27 October 2026). This actor returns the full Form D record, with the people named in each filing, for $1.

[Open it in Apify Console](https://console.apify.com/actors/2lsSnCC1iwdWLdW89/input)

Form D is the notice a company or fund files with the SEC when it raises money privately. This actor reads the SEC's official Form D data sets, which hold every notice since 2008 in one zip file per quarter, and joins their six tables into one row per filing: the issuer, the offering, how much was sold and to how many investors, the executives, directors and promoters, the broker dealers and the person who signed. The newest file is 2026 Q3, with filings up to 30 September 2026.

### How much does SEC Form D Scraper cost?

| Filings | This actor | Most used Form D actors on the Store |
|---|---|---|
| 1,000 | $1.00 | $2.00 to $80.00 |
| 10,000 | $10.00 | $20 to $800 |
| 100,000 | $100.00 | $200 to $8,000 |

Plus $0.001 per run. As an example, all new notices of $1 million or more from technology companies in the last quarter of 2025 were 601 filings, which is about $0.60.

### Why people switch

- **The people are in the row.** Each filing lists its executive officers, directors and promoters with their role, so you can search by person or name the founder to contact.
- **Official SEC data, nothing scraped from web pages.** Every notice from 2008 Q1 to 2026 Q3 is available, 75 quarterly files in all.
- **Filters that answer real questions.** Quarter and filing date, issuer state and country, place of incorporation, industry, fund type, exemption (Rule 506(b), 506(c), 3(c)(7) and others), amount offered, amount sold, number of investors, issuer name and the name of an executive.
- **One flat price.** Compute is included, so the bill follows the number of filings and nothing else.

### How to use SEC Form D Scraper

1. Open the actor and press **Start**. The default input returns 50 new notices of $1 million or more from technology issuers in 2025 Q4.
2. Or paste this input, which lists California biotechnology rounds of $5 million or more from the newest quarter:

```json
{ "issuerStates": ["CA"], "industryGroups": ["Biotechnology"], "minOfferingAmount": 5000000, "maxItems": 200 }
```

3. Download the results as JSON, CSV or Excel, or read them through the API.

### Use it from code

```bash
curl -X POST "https://api.apify.com/v2/acts/one_dollar_store~sec-form-d-funding-scraper/run-sync-get-dataset-items?token=YOUR_APIFY_TOKEN" \
  -H "Content-Type: application/json" \
  -d '{"quarterFrom": "2025Q4", "quarterTo": "2025Q4", "minOfferingAmount": 5000000, "maxItems": 100}'
```

```python
from apify_client import ApifyClient
client = ApifyClient("YOUR_APIFY_TOKEN")
run = client.actor("one_dollar_store/sec-form-d-funding-scraper").call(
    run_input={"quarterFrom": "2025Q4", "quarterTo": "2025Q4", "minOfferingAmount": 5000000, "maxItems": 100}
)
for item in client.dataset(run["defaultDatasetId"]).iterate_items():
    print(item["filingDate"], item["issuerName"], item.get("totalOfferingAmountUsd"), item.get("relatedPersons", [])[:1])
```

### Use it from an AI assistant

Claude, ChatGPT, Cursor and other assistants can call this actor through Apify's MCP server. Add it with this server address:

```
https://mcp.apify.com?tools=one_dollar_store/sec-form-d-funding-scraper
```

Then ask, for example: "Find 50 Form D filings from 2026 Q3 where a company in Texas has raised more than $2 million and list the executives."

### Switching from another Form D actor

Most Form D actors take a date range or a keyword. Here the main inputs are `quarterFrom`, `quarterTo`, `filedFrom`, `filedTo`, `issuerStates`, `industryGroups`, `minOfferingAmount` and `maxItems`. The core output fields are `filingDate`, `issuerName`, `issuerState`, `industryGroup`, `totalOfferingAmountUsd`, `amountSoldUsd`, `investorsAlreadyInvested` and `relatedPersons`.

### Input

All filters are optional and combine with AND. For lists, one match is enough.

| Field | Type | Default | What it does |
|---|---|---|---|
| `quarterFrom`, `quarterTo` | text | newest quarter | Quarterly SEC files to read, as `2025Q4`. Quarters are read newest first. |
| `filedFrom`, `filedTo` | text | none | Keep filings made between these dates, as `2026-01-31`. With no quarters given, the quarters are chosen from the dates. |
| `submissionTypes` | list | `D` | `D` new notice, `D/A` amendment. |
| `issuerStates` | list | none | Two letter US state or territory codes of the issuer address. |
| `issuerCountries` | list of text | none | Countries as the SEC writes them, such as `CANADA` or `CAYMAN ISLANDS`. `UNITED STATES` works too. |
| `jurisdictions` | list of text | none | Place of incorporation, such as `DELAWARE`. |
| `entityTypes` | list | none | Corporation, Limited Liability Company, Limited Partnership, General Partnership, Business Trust, Other. |
| `industryGroups` | list | none | The 35 industry groups on the form, such as `Biotechnology`, `Other Technology`, `Pooled Investment Fund`. |
| `investmentFundTypes` | list | none | Hedge Fund, Private Equity Fund, Venture Capital Fund, Other Investment Fund. |
| `exemptions` | list | none | Exemption codes: `04`, `06b`, `06c`, `3C.1`, `3C.7`, `4a5` and others. |
| `minOfferingAmount`, `maxOfferingAmount` | number | none | Range of the total offering amount in USD. Indefinite offerings are left out when you set a limit. |
| `minAmountSold`, `maxAmountSold` | number | none | Range of the amount sold so far. |
| `minInvestors` | number | none | Smallest number of investors so far. |
| `issuerNameContains` | text | none | Text in the issuer name, a co-issuer name or a previous name. |
| `relatedPersonContains` | text | none | Text in the name of a named executive, director or promoter. |
| `relatedPersonRoles` | list | none | `Executive Officer`, `Director`, `Promoter`. With a name, the same person must match both. |
| `maxItems` | number | 100 | Total filings for the run. Minimum 10, maximum 100,000. |

Example:

```json
{
  "quarterFrom": "2026Q1",
  "quarterTo": "2026Q3",
  "issuerStates": ["TX"],
  "minAmountSold": 1000000,
  "relatedPersonRoles": ["Executive Officer"],
  "maxItems": 1000
}
```

### What data does SEC Form D Scraper return?

| `exemptions`, `securityTypes`, `securityTypeOther`, `firstSaleDate`, `firstSaleYetToOccur`, `offeringOverOneYear`, `businessCombination` | How the offering is made. |
| `minimumInvestmentUsd`, `totalOfferingAmountUsd`, `totalOfferingIndefinite`, `amountSoldUsd`, `amountRemainingUsd`, `amountRemainingIndefinite`, `percentSold` | Amounts in US dollars. `percentSold` is amount sold over the offering amount. |
| `investorsAlreadyInvested`, `hasNonAccreditedInvestors`, `nonAccreditedInvestors`, `salesCommissionsUsd`, `findersFeesUsd`, `proceedsToRelatedPersonsUsd` | Investors and fees. |
| `relatedPersons`, `relatedPersonCount` | Executive officers, directors and promoters: `name`, `firstName`, `middleName`, `lastName`, `relationships` and the filer's `note`. No addresses. |
| `brokerDealers` | Recipients of commissions or finders fees, with CRD numbers. |
| `signerName`, `signerTitle`, `signatureDate`, `scrapedAt` | Who signed the notice, and when the row was read. |

The run summary (key `RUN_SUMMARY`) shows, for each quarter, how many filings it holds and how many matched.

### Limits

- **One row per filing, not per company.** A company that files several notices appears several times; join on `issuerCik`. Amendments (`D/A`) restate an earlier notice and are left out unless you ask for them.
- **Quarterly data.** The SEC posts a new file after each quarter ends, so the newest filings are not available until the next posting. A filing made after 5:30 pm Eastern on the last business day of a quarter appears in the next quarter's file. The newest file at the time of writing is 2026 Q3, with filings up to 30 September 2026.
- **The data is as filed.** Issuers type their own answers, and the SEC says it cannot guarantee the accuracy of the data sets and that they are not a substitute for the filings. Many issuers decline to disclose revenue, and an offering amount can be marked indefinite.
- **No website, email or phone for people.** Form D holds the issuer's address and phone and the names and roles of related persons. The data sets also list the street addresses of those people; this actor leaves them out. At most 100 people are returned per filing.
- **Range filters skip empty values.** Offering amount, amount sold and investor filters leave out filings that do not state a number.
- **Up to 100,000 filings per run.** One quarter holds about 15,000 filings, so a long period needs a larger limit.
- **Pace.** A run downloads each quarter file a few times (3 to 4 MB each) and sends the SEC a User-Agent that names this actor, far below the 10 requests a second the SEC allows. Runs stop cleanly before the run time limit with the rows delivered; raise Timeout under Run options for very large lists.

### FAQ

**What is the cheapest Form D scraper on Apify?**
This actor costs $1 per 1,000 filings with platform usage included. The four most used Form D actors on the Store charged $2.00 to $80.00 per 1,000 when we checked on 27 October 2026.

**How much does it cost to scrape 10,000 Form D filings?**
$10, plus $0.001 for each run.

**Do I pay for compute or proxy on top?**
No. The price covers platform usage, and the actor needs no proxy because it reads official SEC files.

**How do I find companies that just raised money?**
Leave the quarters empty to read the newest quarter, set `minAmountSold` to the size you care about, and keep `submissionTypes` on `D`. Rows come newest first.

**How do I find the founders or executives?**
Each row has `relatedPersons`, the executive officers, directors and promoters named in the filing, with their role and the note the filer added, for example "Chief Executive Officer". To search for a person, use `relatedPersonContains`.

**Which quarters can I read?**
Every quarterly file the SEC lists, from 2008 Q1. The actor reads the list from the SEC page on each run, so new quarters work without an update.

**Does it need an API key?**
No.

**Is it legal?**
The Form D data sets are published by the SEC for anyone to download. The data set page and its field documentation state no licence or terms of use, only a disclaimer about accuracy. The actor sends the SEC a User-Agent that names it and stays far below the SEC's limit of 10 requests a second. The data names executives, directors and promoters as they appear in public filings; the actor returns their names and roles but not their addresses. You are responsible for how you use it, including GDPR, CCPA and the rules on contacting people.

**Is this an official SEC product?**
No. It is an independent tool and is not affiliated with or endorsed by the US Securities and Exchange Commission.

**Do I need an Apify account?**
Yes. Actors run from an Apify account, and a free account is enough to start: it includes $5 of platform usage every month. You can [sign up here](https://www.apify.com?fpr=ymnoit). This is a referral link and it costs you nothing.

**Is there a limit on the free plan?**
Yes. A run started from a free plan account delivers the first 10 results, then ends with a message and a link to the plans. Any paid plan returns everything you ask for, up to your own limit. The price per result is the same on every plan.
