## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Rounds: Recently Funded Startups

A daily feed of **companies that have just raised private money in the US**, straight from the Form D filings they
must send the SEC within 15 days of their first sale. One clean row per filing: **company name, amount raised so
far, total round size, number of investors, industry, state and full address, date of first sale, executives,
directors and promoters**, the exemption claimed (Rule 506(b), 506(c)...), the securities sold (equity, SAFEs,
convertible notes, debt) and a link to the filing on EDGAR.

Pick a date range, industries, states and a minimum raise. Pooled funds (VC, PE and hedge funds, SPVs) are left out
by default, so you get operating companies. Schedule it daily with `onlyNewFilings` and each run returns only the
companies you haven't seen yet.

About 1,500 Form Ds (new filings and amendments) are filed in a normal week. Around two-thirds are from funds,
which leaves roughly 400 new raises by operating companies each week.

### What it's for

- **Sales prospecting:** a company that's just closed a round has budget and is about to hire and buy tools. Get
the CEO's name, the city and the amount raised the week it's filed, before the press release (if there ever is
one). Filter to "Technology, California, raised over $1M" and push it into your CRM.
- **VC and angel deal flow:** see seed and Series A rounds as they're filed, including the many that never make
the news. Track follow-on raises with amendments turned on.
- **Market maps and research:** every private raise in biotech, fintech or real estate over a quarter, with round
sizes and investor counts, for sizing a market or watching a competitor.
- **Service providers:** law firms, accountants, recruiters, insurers and banks that sell to freshly funded companies.
- **AI agents:** one call answers "which AI startups in New York raised money this week?" (see MCP below).

### Input

| Field | What it does |
| --- | --- |
| `daysBack` | Filings from the last N days (default 7). |
| `dateFrom`, `dateTo` | A fixed filing date range instead (YYYY-MM-DD), up to 366 days. |
| `industryGroups` | Form D industry: whole sectors (`technology`, `health-care`, `real-estate`, `energy`...) or single groups (`biotechnology`, `computers`, `other-technology`...). |
| `locations` | The company's state or country: `CA`, `New York`, `US` (any state), `United Kingdom`, `Canada`. |
| `minAmountRaised`, `maxAmountRaised` | Amount already sold, in dollars. |
| `minOfferingAmount`, `maxOfferingAmount` | Total round size, in dollars. |

| `onlyNewFilings` | Return only filings that earlier runs with the same filters haven't returned. |
| `maxResults` | Cap on rows (default 1,000). |

- `totalAmountSold` is what's been raised **so far** in the offering; `totalOfferingAmount` is the target. When a
company sets no ceiling, `totalOfferingAmount` is null and `offeringAmountIndefinite` is true.
- `relatedPersons` are the executive officers, directors and promoters listed on the form, with their role and
city. Funds often list an entity (the general partner) here.
- `salesRecipients` are placement agents and brokers paid to sell the round, with their FINRA CRD numbers.
- `filingUrl` opens the filing on EDGAR; `formUrl` shows the form itself as a readable page.

### Pricing

**$0.01 per filing returned**, plus a token $0.00005 per run. A week of new operating-company raises (about
400 filings) costs about $4; a filtered daily feed usually costs a few cents a day. You only pay for filings that match
your filters.

### Good to know

- **Form D is filed by the company itself.** Amounts are what it reported and aren't audited. Some companies file
late, some never file, and the form doesn't name the investors.
- A filing is made when the round **starts selling**, so `totalAmountSold` is often below the final size.
Amendments (`includeAmendments`) bring later updates and the yearly renewal of long-running offerings.
- Rule **506(c)** means the company may advertise the round publicly (and must verify investors are accredited);
**506(b)** is the usual quiet raise.
- Real estate deals and SPVs are operating companies on Form D, so they stay in with `excludePooledFunds` on. Filter
by industry to narrow it down.
- Filing dates follow EDGAR (US Eastern time). Filings show up the day they're filed.
- `onlyNewFilings` keeps its memory in a named key-value store in your Apify account (`sec-form-d-funding-seen`),
separately for each set of filters. Delete the store to start afresh.
- The names on these filings are public, but if you contact people, follow the marketing and privacy laws that
apply to you (CAN-SPAM, GDPR and so on).
