## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

## SEC 13D and 13G Scraper: Activist Stakes

This SEC 13D and 13G scraper reads the filings that anyone must submit after buying more than 5 percent of a listed company. Schedule 13D comes from investors who may want to influence the company, such as activist funds, founders and buyers. Schedule 13G comes from passive investors such as index funds and asset managers. Search the whole market by date, or follow one company, or one investor, and get one clean row per filing.

A row carries more than a name and a percentage. You get the company and ticker, every reporting person with type, shares, percent of the class and voting power, the largest stake, the written purpose of the investment with activist signals found in the text, the source of funds, the agreements with others, the passive investor rule for 13G filings, and for amendments the change against the previous filing of the same investor: the old stake, the change in percent points and in shares, whether the stake grew or shrank, and whether the investor fell below 5 percent.

Investors, analysts, journalists, law firms and investor relations teams use it to see who is building a position and who is leaving.

### What can you do with this 13D and 13G scraper?

- See every investor that crossed 5 percent of a company this week
- Follow the large holders of a stock over time with all their amendments
- Find Schedule 13D filings that state board changes, proxy fights or a letter to the company
- Watch stake changes: who added shares, who sold and who dropped below 5 percent
- Separate passive holders (13G) from investors that may want a say (13D)
- Filter by stake size, for example only holders above 10 percent
- Follow an investor such as Icahn, Elliott or Vanguard across all companies
- Get a per company view with the largest holder, the activist filers and the exits
- Get a per investor view with the number of companies and the average stake
- Export 13D and 13G data to CSV or Excel, or send new filings to Slack or your own tools

### What data can you extract from 13D and 13G filings?

| Mode | One row is | Highlights |
|---|---|---|
| Filings | One schedule | Schedule type, form, amendment number, filing and event date, company, ticker, exchange, CUSIP, share class, company location, largest filer and type, number of filers and group flag, percent of class, shares owned, all reporting persons with shares, percent, voting and dispositive power and source of funds, above 5 and 10 percent flags, exit below 5 percent flag, notices contact, signers, filing links. Schedule 13D adds the purpose category, activist signals, purpose text, source of funds, recent transactions and agreements. Schedule 13G adds the rule, passive investor, institution and exempt investor flags. Amendments add the previous stake and the change |
| Companies | One company | Filings, 13D and 13G counts, new filings and amendments, unique filers, largest holder, activist filers, increased and decreased stakes, exits below 5 percent, latest filing date |
| Investors | One filer | Filings, 13D and 13G counts, number of companies and their tickers, average and largest stake, activist filings, new filings, increased and decreased stakes, latest filing date |

### How much does it cost to scrape 13D and 13G filings?

You pay per result: $28 per 1,000 rows plus a tiny start fee. The free plan returns up to 10 rows per run. The company and investor views return one row per group, so a month of filings costs a few cents.

### Tips for better results

- Schedules 13D and 13G are structured only since December 2024. Earlier filings are plain text and are not read.
- The activist signals come from keywords in the written purpose. Standard sentences about what the investor "may" do are ignored, but read the text before you rely on a label.
- When a group files together, the largest percent and the largest share count of the group are used for the filing. Every reporting person is listed with their own numbers.
- Stake changes compare with the last earlier filing of the same investor for the same company. The first filing of an investor has no previous stake.
- A change in percent can have another sign than the change in shares when the number of outstanding shares moved.
- For a daily alert, schedule the Actor every morning and turn on the option to return only filings not returned before.
- Percent of class is the figure the investor states on the cover page.

### Who uses 13D and 13G data?

- **Investors** follow activist campaigns and large holders.
- **Analysts** study who owns a stock and how that changes.
- **Journalists** report on new stakes and proxy fights.
- **Law firms and advisers** track clients, rivals and targets.
- **Investor relations teams** watch who is building a position in their company.

### Automate and connect

Schedule the Actor every day and send new filings to Slack, Google Sheets, Zapier, Make or n8n, or trigger a webhook when a run ends.

### FAQ

**Do I need an SEC account?**
No. The Actor works without any login.

**What is the difference between 13D and 13G?**
A 13D is filed by investors who may want to influence the company and must be updated fast after changes. A 13G is a shorter form for passive investors and institutions, updated less often.

**Why do I see the same company several times?**
Joint filers and amendments each have their own filing. Use the company view for one row per company.

**Is an activist signal proof of an activist campaign?**
No. It is a screen based on the words of the filing. A founder buying shares can also use words that match. Read the purpose text.

**Why is a stake change empty?**
Original filings have no earlier filing to compare with, and older filings may not be readable.

**How far back can I search?**
Back to December 2024, when the SEC started to publish these schedules as structured data.

**Is this financial advice?**
No. These filings are public information. Use them as one input among many.

## `dateTo` (type: `string`):

Last filing date, YYYY-MM-DD. The default is today.

## `onlyNewSinceLastRun` (type: `boolean`):

Skips filings that an earlier run already returned. Use it for daily alerts.

## `maxFilingsToScan` (type: `integer`):

Safety limit for how many filings are read before the run stops, even when few match your filters.

## `contactEmail` (type: `string`):

Added to the request header as SEC fair access guidelines recommend. Leave empty if you prefer.
