### What does Funding Rounds Tracker do?

**Funding Rounds Tracker** finds companies that **just raised money**, straight from the official **SEC Form D** filings that US companies must submit within 15 days of their first sale of securities. That's often days or weeks before a press release, a TechCrunch article or a Crunchbase entry.

For every raise you get the **company, amount raised, offering size, date of first sale, industry, city and state, year of incorporation, number of investors, revenue range, executives and directors**, plus a link to the filing.

Use it as a **cheap Crunchbase alternative** for funding signals:

**Coverage:** US issuers that file Form D. That covers most US venture rounds (Rule 506(b)/(c)), and some non-US companies that raise from US investors. Investment funds, SPVs and real-estate vehicles are filtered out by default.

### How much does it cost?

**$0.02 per funding record** ($20 per 1,000). You only pay for records that match your filters; filings that are filtered out are free. A typical week has about 250 new raises by operating companies, so a daily monitor for all of them costs about $20 a month. With narrow filters it costs cents.

Set **Max records** to cap the cost of a run.

### Good to know

- **Amount raised vs. offering amount:** `totalAmountSoldUsd` is what was sold at filing time; `totalOfferingAmountUsd` is the planned round size. Amendments (Form D/A, off by default) often report a higher amount sold later.
- **Round names** (Seed, Series A…) are not part of Form D. Use the amount, `yearOfIncorporation` and `numberOfInvestors` as proxies.
- **No websites or emails:** Form D doesn't include them. Pair this Actor with a website or contact finder if you need them.
- Data comes from SEC EDGAR's public APIs and follows the SEC's fair-access rules. Form D data is public. If you process the personal names in `relatedPersons`, you're responsible for doing so lawfully (e.g. GDPR or CCPA). Turn off **Include executives & directors** if you don't need them.

**How fresh is the data?** EDGAR publishes filings within minutes. Run the Actor daily (monitor mode) to catch new raises the day they're filed.

**Can I get historic data?** Yes. Set *Filed from* / *Filed to* to any range since 2009, when Form D filings became electronic.

Case-insensitive substring match on the company name.

## `includeAmendments` (type: `boolean`):

Amendments update an earlier filing, e.g. a higher amount sold. Off by default so each raise appears once.

## `includeRelatedPersons` (type: `boolean`):

Names, roles and city of the executive officers, directors and promoters listed in the filing.

## `maxItems` (type: `integer`):

Stop after this many records. You pay per record.

## `monitorName` (type: `string`):

Set a name (e.g. 'ca-fintech') and schedule the Actor: each run returns only filings it hasn't returned before for that name. Use one name per filter set.
