## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## Form D Startup Raises Feed – Daily SEC Form D Funding Rounds

Get **new SEC Form D filings every day** as clean, flat rows: startup funding rounds, private placements, venture/PE/hedge fund raises and **Reg D** offerings (Rule 506(b), 506(c), 504, Section 4(a)(5)). The data comes straight from official **SEC EDGAR**, with no logins, no third-party databases and public-domain records.

**$2.00 per 1,000 filings ($0.002 each), with no start fee.** You pay only for filings that pass your filters.

### Why this feed

- **Form D parsed in full:** issuer, related persons, offering, money, investors, exemptions, brokers, timing and amendments. CSV output has 60+ columns.
- **Amendments linked to originals:** each Form D/A carries `previousAccessionNumber` and `originalFilingUrl`.
- **Related persons and brokers:** every executive officer, director and promoter with their roles. Sales compensation recipients come with **CRD numbers**, the associated broker-dealer and states of solicitation.
- **New-since-last-run mode:** schedule it daily and get only filings you haven't seen. State is kept in a named key-value store, so you never pay twice for the same filing.
- **Filters before charging:** state, industry group, exclude pooled funds, minimum amount sold, exemption, and amendments (include, exclude or only).
- **Fails loudly:** if EDGAR returns zero Form D filings for a completed business day, the run fails, so an outage never looks like a quiet day.
- **Flat CSV/CRM columns:** `primaryContactName`, `primaryContactTitle`, `relatedPersonsText`, `exemptionsText` and `salesCompensationText` drop straight into Sheets, HubSpot, Salesforce, Airtable, Clay or Zapier. Full nested arrays are kept in JSON.

### Use cases

- **VC and angel deal sourcing:** see who raised what, where and from how many investors, often before it's announced. Filter by state, industry and 506(b)/506(c).
- **B2B sales leads:** freshly funded companies with an executive name, title, address and phone, as listed on the filing.
- **Market research:** track capital formation by industry, state, security type (equity, debt, SAFE…), fund type and offering size.
- **Service providers** (fund admins, lawyers, accountants, brokers): spot new funds and issuers, including broker-dealer and CRD data.

### How it compares (Store list prices checked Oct 16, 2026)

### Modes

- **New since last run** (default): built for daily schedules. The first run uses "Lookback days".
- **Last N days**: quick backfill (up to 90).
- **Custom date range**: historical pulls.

Use `maxResults` to cap spend. A typical business day has roughly 150–450 Form D filings, which costs about $0.30–$0.90 unfiltered.

### Reliability

Declared SEC User-Agent, throttled to 5 requests/sec (SEC fair-access limit is 10), and retries with backoff.

### FAQ

**Is this legal?** Form D filings are public SEC records, accessed through official EDGAR endpoints under SEC fair-access rules.
**How fresh?** Run after about 10 PM ET to capture the full business day.
**Not investment advice.** Data is provided as filed; issuers self-report.

# Actor input Schema

## `mode` (type: `string`):

'New since last run' remembers which filings it already returned (in the Actor's key-value store) and outputs only new ones. First run uses Lookback days. Default is 'Last N days'. For a scheduled daily feed, pick 'New since last run'.

## `lookbackDays` (type: `integer`):

Days of filings to scan (including today) in 'Last N days' mode or on the first 'new since last run'.

## `startDate` (type: `string`):

Filed-date start (YYYY-MM-DD) for 'Custom date range'.

## `endDate` (type: `string`):

Filed-date end (YYYY-MM-DD). Defaults to today.

## `states` (type: `array`):

Two-letter issuer state/country codes, e.g. CA, NY, TX. Empty = all.

## `industryGroups` (type: `array`):

Exact Form D industry groups, e.g. 'Other Technology', 'Biotechnology', 'Pooled Investment Fund', 'Commercial', 'Other Health Care'. Empty = all.

## `excludePooledFunds` (type: `boolean`):

Drop hedge/PE/VC fund filings to focus on operating companies (startups).

## `minAmountSold` (type: `integer`):

Only filings whose total amount sold is at least this.

## `exemptions` (type: `array`):

Keep filings claiming any of these exemptions. Empty = all.

## `amendments` (type: `string`):

Amendments are linked to the original filing via previousAccessionNumber / originalFilingUrl.

## `maxResults` (type: `integer`):

Stop after this many results (0 = no limit). Controls cost.

## `failOnEmptyWeekday` (type: `boolean`):

Health check (only in 'New since last run' mode): the run fails loudly if EDGAR returns no Form D filings for a completed business day.

## `requestsPerSecond` (type: `integer`):

Throttle to respect SEC fair-access (limit is 10/s).

## `stateStoreName` (type: `string`):

Named key-value store that remembers already-returned filings for 'new since last run'. Use different names for different scheduled feeds.

## `userAgent` (type: `string`):

Optional. SEC requires 'Company Name email@domain'. Defaults to the publisher's declared agent.
