## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Feed: New Private Funding Rounds & Startup Raises

Every company raising money privately in the US (startups, real-estate deals, restaurants, biotech, funds) must file a **Form D** with the SEC within 15 days of its first sale. This Actor turns those filings into a **daily feed of new raises**, with the details parsed from each filing's official XML:

**company · amount sought · amount already raised · number of investors · industry · executives, directors and promoters · address and phone · date of first sale · exemptions · link to the filing**

Schedule it and each run returns **only filings you haven't received before**.

### Who uses it

- **Sales teams** selling to companies that just raised money: SaaS, recruiting, office space, banking, insurance, legal, accounting
- **Investors, VCs and deal scouts** watching for new rounds by industry and state
- **Wealth managers** finding founders with a fresh liquidity event
- **Journalists and analysts** tracking private-market activity

### What you get for each filing

| Field | Example |
|---|---|
| `issuerName`, `cik` | Acme AI, Inc., 0002012345 |
| `filedDate`, `formType`, `isAmendment` | 2026-10-21, D, false |
| `industry`, `fundType` | Other Technology |
| `totalOfferingAmount`, `totalAmountSold`, `totalRemaining` | 5000000, 3250000, 0 |
| `indefiniteOffering` | false |
| `investorCount`, `hasNonAccreditedInvestors`, `minimumInvestment` | 12, false, 25000 |
| `securitiesOffered`, `exemptions`, `dateOfFirstSale` | Equity; 06b; 2026-10-01 |
| `entityType`, `jurisdictionOfIncorporation`, `yearOfIncorporation`, `incorporatedWithinFiveYears` | Corporation, DELAWARE, 2024, true |
| `street`, `city`, `state`, `zip`, `phone` | 100 Market St, San Francisco, CA |
| `executives`, `relatedPersons` | Jane Doe (Executive Officer, Director) |
| `salesRecipients`, `salesCommissions`, `findersFees` | brokers paid on the raise, if any |
| `filingUrl`, `xmlUrl` | links to the filing on SEC.gov |

### How to use it

1. Set how many days back to look (default 3).
2. Optional filters: **issuer states** (CA, NY, TX…), **industry** (`Technology`, `Biotechnology`, `Real Estate`, `Restaurants`…), **minimum offering size**, **minimum amount already raised**, **only companies incorporated in the last 5 years**, **company name keywords**.
3. Investment funds and amendments are skipped by default, so you get operating companies with new raises. Switch them on if you want them.
4. **Schedule it daily**, keeping *Only filings I haven't received before* on. Use one *Monitor name* per saved search.
5. Export to CSV/Excel or push to Google Sheets, Zapier, Make or your CRM.

### Pricing

**$10 per 1,000 filings returned** ($0.01 each). You pay only for filings in your results. A typical weekday has 150-250 Form D filings across the whole US, so a daily all-US feed costs about $1-2 a day, and a filtered feed costs far less. Set a maximum cost per run and the Actor stops cleanly when it's reached.

### Notes

- Data comes from SEC EDGAR full-text search and each filing's `primary_doc.xml`. All filings are public.
- The Actor follows SEC fair-access rules (identified User-Agent, under 10 requests per second).
- Form D shows the raise as the issuer reported it. "Indefinite" offerings (common for funds) have no fixed amount sought.
- Not investment advice.

# Actor input Schema

## `filedWithinDays` (type: `integer`):

How far back to look (1-30).

## `states` (type: `array`):

Two-letter codes of the issuer's business address, e.g. CA, NY, TX. Empty = all.

## `industries` (type: `array`):

SEC industry group text, e.g. Other Technology, Biotechnology, Real Estate, Restaurants, Health Care, Energy. Empty = all.

## `minOfferingAmount` (type: `integer`):

Only raises seeking at least this much (indefinite offerings are kept). 0 = any.

## `minAmountSold` (type: `integer`):

Only filings reporting at least this much already sold. 0 = no minimum.

## `excludeFunds` (type: `boolean`):

Skip pooled investment funds (hedge, PE, VC funds) and keep operating companies.

## `onlyYoungCompanies` (type: `boolean`):

Keep issuers that say they were incorporated within the last five years (typical startups).

## `includeAmendments` (type: `boolean`):

Also return amended filings (Form D/A), not just new notices.

## `nameKeywords` (type: `array`):

Keep issuers whose name contains any of these words.

## `onlyNew` (type: `boolean`):

Remembers filings returned on earlier runs (per monitor name) so a daily schedule gives you only fresh raises.

## `monitorName` (type: `string`):

Use a different name for each saved search so their memories stay separate.

## `maxResults` (type: `integer`):

Maximum filings to return (and be charged for) per run.
