## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Private Funding Rounds Scraper

Find companies that just raised private money. Every US startup, fund or private company that sells securities under Regulation D must file a **Form D** with the SEC within 15 days of the first sale. This actor turns those filings into a clean, filterable dataset: who raised, how much, where they are, and when.

Data comes straight from the official **SEC EDGAR** full-text search and each filing's XML. No API key, no login, no proxies.

### Who it's for

- **B2B sales and lead-gen teams**: newly funded companies have fresh budget. Reach them first.
- **VCs, angels and scouts**: monitor competitors' and peers' raises by state and industry.
- **Lenders, banks, fintechs, fund administrators, law and accounting firms** looking for new clients.
- **Researchers and journalists** tracking private capital formation.

### What you can filter

- Date range (last N days, or exact start and end dates)
- Issuer state (CA, NY, TX ...)
- Keyword full-text search
- Industry group (Other Technology, Biotechnology, Real Estate, Pooled Investment Fund ...)
- Exclude pooled investment funds to get operating companies only
- Min and max offering size
- Federal exemption (506(b), 506(c), 504, 3(c))
- Include amendments (D/A)

### Input example

```json
{
  "daysBack": 7,
  "states": ["CA", "NY"],
  "excludePooledFunds": true,
  "minOfferingAmount": 1000000,
  "maxResults": 200
}
```

### Output example

```json
{
  "companyName": "Hard Pill To Swallow, Inc.",
  "cik": "2159842",
  "formType": "D",
  "isAmendment": false,
  "filingDate": "2026-10-09",
  "industryGroup": "Manufacturing",
  "entityType": "Corporation",
  "jurisdictionOfIncorporation": "DELAWARE",
  "yearOfIncorporation": "2026",
}
```

Amounts are in US dollars. `totalOfferingAmount` can be the text `"Indefinite"` when the issuer did not set a cap.

Individuals' names, home addresses and phone numbers are left out by design. Each record links to the original filing.

### Pricing

Pay per result: **$3 per 1,000 filings** ($0.003 each), plus Apify platform usage. A week of US Form D filings (about 1,500) costs roughly $4.50.

### Tips

- Schedule it daily with `daysBack: 1` to get a feed of yesterday's raises.
- Combine `excludePooledFunds` with `minOfferingAmount` to focus on real operating startups.
- EDGAR search returns at most 10,000 filings per query, so split very large date ranges.
