## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Scraper: Startup Funding & Private Placement Alerts

Get **alerts for companies that just raised (or are raising) private money**. Every Form D filed with the SEC is a Regulation D private placement: startups closing a seed or Series A round, real-estate syndications, oil & gas deals, and hedge / VC / PE funds. This Actor pulls them from **official SEC EDGAR data**, parses each filing and gives you clean rows: issuer, industry, offering size, amount sold, number of investors and filing link. No API key needed.

**Use it to:**

- 💼 **Find freshly funded startups to sell to.** Companies that just raised money are buying software, services and hiring. Filter by `industryGroups: ["Other Technology"]` and your target states.
- 📈 **Track VC, PE and hedge-fund launches** (`industryGroups: ["Pooled Investment Fund"]`) for fund admin, legal, audit and banking prospecting.
- 🏠 **Watch real-estate syndications** in your market.
- 📰 **Spot funding news before the press release** for journalists and investors.
- 📊 **Build a private-markets database** in Google Sheets, Airtable or your CRM with Apify integrations, on a daily schedule.

**Why this Actor:**

- Uses the official EDGAR full-text search and filing XML, so it doesn't break when a website changes.
- Follows the **SEC fair-access policy**: declared User-Agent with your contact e-mail, one request at a time and well under 10 requests/second, automatic back-off.
- **Only new filings** each run (per State key), so a daily schedule = a daily alert.
- **Issuer-level data only.** Executives, directors and promoters ("related persons"), signer names, sales-compensation recipients, street addresses and phone numbers are **not** included.

### How much does it cost?

You pay per event: a small fee per run start plus a fee per filing returned. A daily alert that returns 20 new filings costs cents per day. Use `maxResults` or the run's *Max total charge* to cap spend.

### Input

`contactEmail` is required: the SEC asks every automated client to identify itself. It is sent only to sec.gov in the User-Agent header and never written to the output.

### Example inputs

All new Form D filings from the last 3 days:

```json
{ "contactEmail": "you@example.com" }
```

Tech startups in California and New York raising $1M+:

```json
{ "contactEmail": "you@example.com", "industryGroups": ["Other Technology"], "states": ["CA", "NY"], "minOfferingAmount": 1000000 }
```

Operating companies only (no funds), including amendments, for a date range:

```json
{ "contactEmail": "you@example.com", "excludePooledFunds": true, "includeAmendments": true, "dateFrom": "2026-10-01", "dateTo": "2026-10-07", "onlyNew": false }
```

### Output (one row per filing)

`accessionNumber, form, filedDate, issuerName, cik, fileNumber, entityType, jurisdictionOfIncorporation, yearOfIncorporation, companyAge, city, stateOrCountry, stateOrCountryCode, zipCode, industryGroup, investmentFundType, revenueRange, aggregateNetAssetValueRange, exemptions, isAmendment, dateOfFirstSale, firstSaleYetToOccur, durationMoreThanOneYear, securitiesOffered, isBusinessCombination, minimumInvestment, totalOfferingAmount, totalOfferingIndefinite, totalAmountSold, totalRemaining, hasNonAccreditedInvestors, numberOfInvestors, salesCommissionsUsd, findersFeesUsd, grossProceedsUsedForInsidersUsd, signatureDate, filingUrl, filingIndexUrl`

### Notes

- Form D is filed within 15 days of the first sale, so it lags the actual raise a little.
- `states` matches the EDGAR business or incorporation location code (US states, e.g. `CA`; other countries use EDGAR codes).
- Data is public-domain SEC information. This Actor is not affiliated with or endorsed by the SEC.

# Actor input Schema

## `contactEmail` (type: `string`):

Needed to get results: SEC fair-access rules require automated tools to declare a contact e-mail. Your e-mail is sent ONLY to sec.gov in the User-Agent header and is never stored in the output. Without it the run ends with 0 results and a reminder.

## `contactName` (type: `string`):

Shown to SEC with your e-mail in the User-Agent header.

## `daysBack` (type: `integer`):

Look back this many days from today (or from Date to). Ignored when Date from is set.

## `dateFrom` (type: `string`):

Optional start of the filing-date range.

## `dateTo` (type: `string`):

Optional end of the filing-date range. Defaults to today.

## `includeAmendments` (type: `boolean`):

Also return amended Form D filings.

## `states` (type: `array`):

Two-letter EDGAR codes of the business or incorporation location, e.g. CA, NY, DE. Leave empty for all.

## `industryGroups` (type: `array`):

Match Form D industry group (case-insensitive substring), e.g. 'Other Technology', 'Biotechnology', 'Real Estate', 'Pooled Investment Fund'.

## `excludePooledFunds` (type: `boolean`):

Skip hedge / private-equity / VC fund filings to keep only operating companies.

## `minOfferingAmount` (type: `integer`):

Skip offerings smaller than this. Indefinite offerings are kept.

## `maxOfferingAmount` (type: `integer`):

Skip offerings larger than this.

## `keyword` (type: `string`):

Optional EDGAR full-text phrase, e.g. a company name.

## `maxResults` (type: `integer`):

Stop after this many filings.

## `onlyNew` (type: `boolean`):

Skip filings returned by previous runs with the same State key.

## `stateKey` (type: `string`):

Use a different key per alert/watch-list to track 'new' separately.
