## Pricing

from $3.20 / 1,000 filing returneds

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.
Since this Actor supports Apify Store discounts, the price gets lower the higher subscription plan you have.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Feed: New Private Raises (No API Key)

Find companies the week they raise money. Every US company or fund that sells securities under Regulation D must file a **Form D** with the SEC within 15 days of the first sale. This Actor reads those filings straight from SEC EDGAR and returns one clean row per raise: who raised, where they are, what industry, how much they're raising, how much is already sold, and how many investors are in.

**Built for:**

- **B2B sales and agencies.** Newly funded companies buy software, hire, and spend on marketing. Get a weekly list for your territory.
- **VC, PE and startup scouts.** Track new raises and fund launches by state and industry.
- **Fintech and data teams.** A structured, deduplicated Form D feed without writing an EDGAR parser.
- **AI agents.** One call returns JSON with no API key or login.

### What you get

For each Form D or Form D/A filing:

- **Issuer:** name, CIK, entity type, state of incorporation, year of incorporation, previous names
- **Location:** city, state or country, ZIP (principal place of business)
- **Industry:** Form D industry group and subgroup, and the fund type for investment funds
- **Offering:** total offering amount, amount sold, amount remaining (or "indefinite"), minimum investment, security types, exemptions claimed (e.g. 506(b), 506(c), 3(c)(1)), date of first sale
- **Investors:** number already invested, whether any are non-accredited
- **Fees:** sales commissions and finder's fees, and the broker-dealer firms paid
- **Filing:** accession number, type (new or amendment), filing date, links to the filing and its XML

### Quick start

1. Leave the defaults to get the last 7 days of filings, or set **Issuer states** (e.g. `GA`) and **Industries** (e.g. `Technology`).
2. Turn on **Exclude investment funds** if you only want operating companies.
3. Click **Start**. Results appear in the **Overview**, **Operating companies** and **Funds** tabs.

**For a recurring feed:** set **What to fetch** to **New since last run** and schedule the Actor daily or weekly. Each run returns only filings you haven't received before. Use **Cursor name** to keep separate positions for different saved feeds.

### Pricing

Pay per event: you pay only for filings returned.

| Event | Free plan | Bronze | Silver | Gold |
|---|---|---|---|---|
| Filing returned | $0.005 | $0.004 | $0.0036 | $0.0032 |

That's $3.20–$5.00 per 1,000 filings, plus Apify's standard Actor start fee. Filings removed by your filters and filings that can't be parsed are **not charged**. Set **Max cost per run** to cap spending; the Actor stops cleanly at the cap.

### Integrations and API

Schedule it in Apify and send new filings to Google Sheets, Slack, a CRM, Make, Zapier or n8n through Apify's integrations, or call it from the Apify API. AI agents can use it through Apify's MCP server.

### FAQ

**How fresh is the data?** The SEC publishes a daily index each business evening. Filings show up the evening of the day they're filed.

**How many filings are there?** Usually a few hundred Form D filings per business day across the US. Filters by state or industry narrow this a lot.

**Why are some amounts empty?** Funds often report the offering size as "Indefinite" (`isIndefinite: true`), and some issuers decline to disclose revenue.

**Are people's names included?** No. Form D lists executives, directors and promoters; this Actor reports only how many there are and their roles. It also leaves out phone numbers, street addresses and signer names.

**What's a D/A?** An amendment, usually an annual update or a change in amounts. Set **Filing types** to just `D` for new offerings only.

**How fast is a run?** About 5 filings per second, to stay well inside the SEC's fair-access limit. A week of all filings with no filters takes a few minutes.

### Data source and responsible use

Data comes from the SEC's public EDGAR system (daily form index and each filing's XML). It's US government data and in the public domain. The Actor identifies itself to the SEC with a company name and contact email, stays under half the SEC's rate limit, and stops if the SEC signals throttling. This is an unofficial tool, not affiliated with or endorsed by the SEC. Form D filings are notices, not verified financial statements.

# Actor input Schema

## `mode` (type: `string`):

latest: filings from the last N days. newSinceLastRun: only filings not returned by your previous runs (use it on a schedule). dateRange: a fixed start and end date (up to 92 days per run).

## `lookbackDays` (type: `integer`):

For 'latest', and for the first run of 'newSinceLastRun'. Calendar days, including today; weekends and holidays have no filings.

## `startDate` (type: `string`):

Filing date to start from, YYYY-MM-DD.

## `endDate` (type: `string`):

Last filing date to include, YYYY-MM-DD. Defaults to today.

## `states` (type: `array`):

Two-letter codes from the issuer's principal place of business, for example GA, FL, TX. Non-US issuers use EDGAR country codes. Leave empty for all.

## `industries` (type: `array`):

Keep filings whose Form D industry group or subgroup contains any of these words, for example Technology, Real Estate, Health Care, Biotechnology, Restaurants. Leave empty for all.

## `excludePooledFunds` (type: `boolean`):

Drops pooled investment funds (private equity, venture, hedge and real-estate funds) to focus on operating companies.

## `filingTypes` (type: `array`):

D is a new offering; D/A is an amendment (often an annual update with a new amount sold).

## `minTotalOfferingAmount` (type: `integer`):

Offerings marked 'Indefinite' always pass this filter.

## `minAmountSold` (type: `integer`):

Keep only offerings that have already sold at least this much.

## `maxResults` (type: `integer`):

The run stops after returning this many filings. Each returned filing is one charged event.

## `maxFilingsToScan` (type: `integer`):

Upper limit on Form D documents read per run (filtered-out filings are free but take time: about 5 per second).

## `cursorName` (type: `string`):

Keeps a separate 'new since last run' position per name, so different scheduled feeds (for example GA tech vs. TX real estate) don't share one. Letters, numbers and dashes.
