## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## Recently Funded Companies Lookup & Leads Scraper (SEC Form D)

### Pain points

- EDGAR shows Form D filings one document at a time. Building a list of companies that raised money last quarter means opening thousands of filings by hand: 15,952 were filed in 2026 Q3 alone.
- The SEC's free quarterly Form D data sets are raw tab-separated tables split across six files keyed by accession number, and each is published about a month after the quarter ends, so the newest filings are not in them yet.
- Two thirds of all Form D filings are investment funds and SPVs (10,487 of 15,952 in 2026 Q3), and amendments repeat the same company, so a raw list is mostly noise for anyone selling to operating companies.

### What we solve

- Returns one row per company: its latest Form D in the period, with phone, business address, executives, amount raised, industry, entity type and year of incorporation.
- Reads closed quarters from the SEC's own data sets back to 2008 and the current quarter live from EDGAR, so filings from the last few days are included.
- Leaves out investment funds by default and has a Startups preset: young corporations in operating industries. In 2026 Q3 that was 613 companies that had raised $1M or more.

### Summary

Every private company that tells the SEC it is raising money files a Form D within 15 days of its first sale. This actor turns those filings into a lead list: one row per company with the business phone, street address, city and state, the executives, directors and promoters named on the filing (with their addresses as filed), the amount raised so far and the amount offered, number of investors, industry, entity type, year of incorporation, securities offered, the exemption claimed and a link to the filing on EDGAR. Filter by period (last quarter, this quarter, the last 30 or 90 days, the last 12 months, or any dates back to January 2008), industry, state, minimum amount raised, entity type, company age and name keywords. Or look up companies by name or CIK and get each one's raise history. In 2026 Q3 the filings covered 14,781 companies; 4,775 were not investment funds, and 613 were startups (incorporated in the last five years, a corporation, an operating industry) that had raised $1M or more. You pay per company delivered.

### Who it's for

- Sales teams selling to companies that just raised money: SaaS, cloud, payroll, HR, insurance, banking, office space
- Recruiters and staffing agencies reaching startups that are about to hire
- Accountants, lawyers and fractional CFOs who serve newly funded companies
- Investors, analysts and researchers tracking private funding by industry, state or quarter

### How to use

This actor does two jobs. Run it, then collect results from the run's dataset (export to JSON/CSV/Excel, or pull via the Apify API).

**Get a list (export):** no names, just filters; returns the whole matching list.

```json
{
  "period": "last_quarter",
  "preset": "startups",
  "minAmountSold": 1000000,
  "maxResults": 1000
}
```

**Check specific firms (lookup):** put exact company names or SEC CIK numbers in `companies`; **Inputs** below says how each is matched.

```json
{
  "companies": [
    "Cala Systems",
    "2039838"
  ]
}
```

See **Inputs** below for every available field.

### Inputs

| Field | Required | Type | Default | Description |
|---|---|---|---|---|
| `period` | no | string | `"last_quarter"` | Which Form D filings to export, by filing date. 'Last quarter' is the previous calendar quarter; 'Custom' uses the dates below (any range back to January 2008). Ignored for company lookups. |
| `dateFrom` | no | string | — | YYYY-MM-DD. Used when Period is 'Custom dates'. For a month or a quarter, give its first and last day. |
| `dateTo` | no | string | — | YYYY-MM-DD. Defaults to today. |
| `preset` | no | string | `"startups"` | 'Startups' = companies incorporated within the last five years, filed as a Corporation, in an operating industry (no funds, real estate or investing vehicles). Your own industry and entity-type choices replace the preset's. |
| `minAmountSold` | no | integer | `1000000` | Only companies that have already sold at least this much in the offering (the filing's 'total amount sold', not the amount offered). |
| `industries` | no | array | `[]` | The SEC's own Form D industry groups, e.g. 'Other Technology', 'Biotechnology', 'Other Health Care', 'Manufacturing', 'Business Services', 'Computers', 'Retailing', 'Restaurants', 'Oil and Gas', 'Pharmaceuticals', 'Insurance', 'Construction', 'Agriculture', 'Telecommunications', 'Other'. Leave empty for all. An unknown name returns the full list. |
| `states` | no | array | `[]` | Two-letter codes of the company's business address, e.g. \['CA', 'NY', 'TX']. Leave empty for all. |
| `nameKeywords` | no | array | `[]` | Keep companies whose NAME contains one of these words, e.g. \['AI', 'Health', 'Robotics']. This matches the name only: Form D has no business description. |
| `excludeFunds` | no | boolean | `true` | Pooled investment funds (venture, private equity, hedge funds and SPVs) are about two thirds of all Form D filings. On by default. Picking 'Pooled Investment Fund' under Industries includes them anyway. |
| `youngCompaniesOnly` | no | boolean | `false` | Only issuers that tick 'within the last five years' on the filing. |
| `entityTypes` | no | array | `[]` | Corporation, Limited Liability Company, Limited Partnership, General Partnership, Business Trust or Other. Leave empty for all. |
| `newFilingsOnly` | no | boolean | `false` | Only original Form D notices, not Form D/A amendments. Off: a company that amended its filing in the period is included, with the amended amounts. |
| `companies` | no | array | `[]` | Look up specific companies instead of exporting: exact company names (e.g. 'Cala Systems') or SEC CIK numbers. Each returns the company's latest Form D and its raise history. When this is filled, the export filters above are ignored. |
| `company` | no | string | — | One company name or CIK; kept for saved tasks and API callers that send one value. Combined with 'Company lookup'. |
| `maxResults` | no | integer | `1000` | Spend cap for the whole run. The newest filings come first. Last quarter (2026 Q3) had about 4,800 companies that were not funds, and 613 startups that raised $1M or more. |
| `proxyConfiguration` | no | object | `{"useApifyProxy": false}` | Off by default. The SEC's servers are public; turn this on only if a run reports that the SEC refused it. |

### Pricing (Pay Per Event)

You pay per result (`company`) — **no charge for empty runs**. Example: **613 funded startups** at *$0.003/result* ≈ **$1.84**.

Example: the 613 startups that filed a Form D in 2026 Q3 having raised $1M or more cost about $1.84. Apify platform usage is billed separately per your plan.

### Use cases

- Startup lead lists: every young corporation that raised $1M or more last quarter, with the founders' names and the business phone.
- Territory prospecting: funded companies in your states and industries, newest filings first.
- Niche lists by name: companies with 'AI', 'Health' or 'Robotics' in the name that raised money in the last 30 days.
- Due diligence: look up a company by name or CIK and see every raise it has filed, with amounts.

### Why this actor

- The current quarter is read live from EDGAR, so this week's filings are included, not only the SEC's quarterly files.
- One row per company: amendments are folded into the latest filing, so you never pay twice for the same company.
- Funds left out by default, and a Startups preset for young operating companies.
- Executives with their roles and addresses as filed, on every row.
- Any period back to January 2008, up to 100,000 companies a run; pay per company, notices are free.

### Limitations & updates

Covers companies that file a Form D, which is private offerings under Regulation D; companies that raise without filing one, or only through other exemptions, are not included. No email or website. Industry is the SEC's broad group, not a business description. The current quarter is read filing by filing (roughly ten filings a second, the SEC's limit), so a long live period can take tens of minutes; closed quarters take seconds. A run that reaches its timeout keeps what it delivered and says how many filings it did not read.

### FAQ

**Where does the data come from?**

From Form D filings with the U.S. Securities and Exchange Commission. Closed quarters come from the SEC's quarterly Form D data sets; the current quarter, and a closed quarter the SEC has not published yet, are read filing by filing from EDGAR.

**Can I get this free?**

Yes, if you are comfortable with raw data: the SEC publishes free quarterly Form D data sets (tab-separated tables, about a month after each quarter ends). This actor joins those tables into one row per company, removes duplicate amendments and funds, adds the current quarter live, and filters it for you.

**Is there an email address or website?**

No. Form D carries a business phone, an address and the names of executives, but no email or website. To add them, find each company's website (a search on the name and city) and run our Business Email, Phone & Contact Details Scraper on it.

**What counts as a startup?**

The Startups preset keeps companies that say they were incorporated in the last five years, filed as a Corporation, in an operating industry: funds, real estate and investing vehicles are left out. Without the preset you get every private raise except funds.

**What does 'amount raised' mean?**

total_amount_sold: what the company has already sold in the offering when it filed. It is not the amount offered; a $10M offering can have sold $300,000 so far. The minimum-amount filter uses the amount sold.

**How recent are the filings?**

A company files within 15 days of its first sale, and the current quarter is read from EDGAR's index at run time, so a run includes every filing EDGAR has indexed, usually up to the previous business day. Rows come newest first.

**Why does a company appear once when it filed several times?**

A company often amends its Form D (D/A) as it sells more. Each row is the company's latest filing in your period, which carries the updated amounts. Turn on 'New offerings only' to skip amendments.

**Can I filter for AI or marketing companies?**

Form D has no business description, only the SEC's industry groups (Other Technology, Biotechnology, Business Services …). Use 'Company-name keywords' to match words in the name, such as AI; it finds companies that put the word in their name and misses those that do not.

**How am I charged?**

$0.003 per company delivered, in an export or a lookup. Notices are free: no company matched, a lookup that found nothing, a run cut short by its time or your maximum, or the SEC not answering. Use 'Maximum companies' to cap the run.

### Which actor to choose

### Works with AI assistants (MCP)

Callable as an MCP tool, so Claude, Cursor, VS Code Copilot and other MCP clients can run it directly. Grab the config from the [MCP tab](https://apify.com/scrapebench/recently-funded-companies-sec-form-d/api/mcp) on this page — Apify hosts the server and keeps that snippet current, and OAuth signs you in on first connect, so no API token goes in your config file.

Then just ask:

> "Find startups that raised at least $1 million last quarter, with their phone numbers and founders."

That is preset startups, minAmountSold 1000000, period last_quarter: 613 companies for 2026 Q3 (test run, 2026-10-30). Keep maxResults small on a first call. Runs started this way bill exactly like any other run.

### Data & lawful use

This actor collects publicly available information that the U.S. Securities and Exchange Commission (SEC) publishes for public
lookup — licence records, business listings and the contact details professionals list there.
Some of it identifies individuals (sole proprietors, licence holders, agents), so treat any
names, phone numbers and emails in your results as personal data.

When you run this actor, you decide what is collected and what it is used for, so you are the
controller of that data and we act only as your processor (Apify Standard Actor Contract).
You need a lawful basis for your use, must honour opt-out and deletion requests, and must
follow the marketing rules that apply to you (CAN-SPAM, TCPA, GDPR, CCPA and similar).
Don't use the output for unsolicited bulk messaging, for screening covered by the FCRA, or
for anything the source's own terms forbid.

Your results are stored in your own Apify account. We don't keep a copy of your results and
don't sell or share them.
