When an investor crosses 5% beneficial ownership of a US public company, they must file a Schedule 13D (active or activist intent) or Schedule 13G (passive) with the SEC, and amend it as the position changes. This actor finds those filings and reads the ownership cover page into a clean record: which company (subject issuer name, CIK and ticker), which class of securities and its CUSIP, who holds it (the reporting person and their CIK), how much they hold (aggregate shares and percent of class), how that ownership breaks down (sole and shared voting and dispositive power), and, for 13D filings, the Item 4 purpose text stating what the holder intends to do.

Three modes cover the common questions:

- **recent** returns the latest 13D and 13G filings across the whole market.
- **byIssuer** returns every activist and >5% stake in one company (by ticker or CIK).
- **byFiler** returns every stake filed by one activist or holder (by name).

Cover-page layouts vary between filers. The actor parses the fields that are reliably extractable and returns `null` for anything it cannot read from a given filing, rather than guessing.

### FAQ and troubleshooting

**What is the difference between a 13D and a 13G?**
Both are filed by holders of more than 5% of a class of a company's voting stock. A 13D signals active or activist intent and includes an Item 4 statement of purpose. A 13G is the short passive form used by investors who do not seek control, such as index funds. Amendments carry the `/A` suffix.

**Some ownership fields are null. Why?**
Cover-page formats differ between filers and filing agents. When a value such as the CUSIP, percent of class, or a voting-power row cannot be read reliably from a given filing, it is returned as `null` rather than guessed. Metadata from the filing index (form, holder, subject, dates, accession) is always present.

**Why is `purposeSummary` null on a 13G?**
Only Schedule 13D filings include an Item 4 purpose statement. 13G filings do not, so this field is `null` for them.

**How do I find only large concentrated stakes?**
Set `minPercent`, for example `10`, to keep only stakes at or above that percent of class. Filings whose percent cannot be parsed are kept so you do not silently miss them.

**How do I track one activist?**
Use `mode: byFiler` with `filerName` set to the investor or fund name. byFiler results are matched on the filer name and ordered by relevance from the source.

**Is this an official SEC tool?**
No. This actor is independent and has no affiliation with the SEC. It reads only data that is publicly available through SEC EDGAR, using a descriptive request identifier as SEC access requires.
