# SEC EDGAR Filings & Insider Trades Monitor (`snappytools/sec-edgar-filings-monitor`) Actor

This Actor monitors the official, public SEC EDGAR submissions API (data.sec.gov) for filings by the companies you choose. Provide stock tickers or CIK numbers and the Actor resolves them through the SEC public ticker file, downloads each company's recent submission history, filters by form type.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC EDGAR Filings and Insider Trades Monitor

### What it does

This Actor monitors the official, public SEC EDGAR submissions API (data.sec.gov) for filings by the companies you choose. Provide stock tickers or CIK numbers and the Actor resolves them through the SEC public ticker file, downloads each company's recent submission history, filters by form type (for example 8-K current reports, 10-K annual reports and Form 4 insider transaction reports) and by filing date, and writes clean, deduplicated records to the default dataset. Each record contains a stable id based on the accession number, a canonical https link to the filing index and primary document, the filing and report dates, the form type, and company identifiers. It is designed for scheduled runs that feed alerting, research and compliance workflows.

### Use cases

- Equity analysts and portfolio managers tracking material events (8-K) for a watchlist.
- Compliance teams monitoring insider transactions (Form 4) for covered issuers.
- Investor relations and competitive intelligence teams following annual and quarterly reports.
- Data engineers feeding filing metadata into dashboards, Slack alerts or RAG pipelines.

### Input

- companies (required): tickers or CIKs, up to 25 entries.
- formTypes: forms to include, such as 8-K, 10-K, 4. Empty means all forms.
- sinceDate: YYYY-MM-DD lower bound for filing date.
- maxResultsPerCompany: 1 to 200, default 20.
- userAgent: contact string sent to the SEC, as its fair access policy requires.

### Output

Each dataset item has: id, accessionNumber, cik, ticker, companyName, form, filingDate, reportDate, acceptanceDateTime, primaryDocument, primaryDocDescription, url, indexUrl, scrapedAt.

### Example

Input:

{"companies": \["AAPL"], "formTypes": \["8-K"], "maxResultsPerCompany": 1}

Sample output:

{"id": "0000320193-24-000123", "accessionNumber": "0000320193-24-000123", "cik": "0000320193", "ticker": "AAPL", "companyName": "Apple Inc.", "form": "8-K", "filingDate": "2024-11-01", "reportDate": "2024-10-31", "acceptanceDateTime": "2024-11-01T16:30:00.000Z", "primaryDocument": "aapl-20241031.htm", "primaryDocDescription": "8-K", "url": "https://www.sec.gov/Archives/edgar/data/320193/000032019324000123/aapl-20241031.htm", "indexUrl": "https://www.sec.gov/Archives/edgar/data/320193/000032019324000123/", "scrapedAt": "2024-11-02T08:00:00.000Z"}

### Limits and data provenance

All data comes from public SEC EDGAR endpoints: https://www.sec.gov/files/company_tickers.json and https://data.sec.gov/submissions/CIK##########.json. No login, credentials or access-control bypass is used. The Actor sends a descriptive User-Agent and pauses between requests to stay well under the SEC limit of 10 requests per second. Only the recent submissions block (roughly the last 1,000 filings per company) is read. Input is capped at 25 companies and 200 records per company. Filing contents are not parsed; records describe filing metadata and link to the original documents. Unknown tickers are logged and skipped. EDGAR data is provided by the SEC as-is; verify critical information against the original filing.
