## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Scraper: First-Time Private Raises

SEC Form D First-Time Raisers is an Apify Actor by Sullivan Ventures that reads free SEC EDGAR data every business day and keeps only companies filing their first-ever Form D, meaning a new private capital raise. Funds, amendments and repeat filers are skipped. It's built for B2B sales teams (banking, payroll, insurance, legal, accounting, SaaS), investors and recruiters who want companies that just raised money.

Find companies raising private capital for the first time. Every business day, hundreds of US companies and deals file a Form D with the SEC when they sell securities under Regulation D. This Actor keeps only issuers filing their first-ever Form D, meaning no earlier Form D or D/A under the same SEC CIK. It skips amendments and repeat raisers, and by default it also skips pooled investment funds.

That gives you a short, fresh list of new startups, real-estate and energy deals, and small companies, each with its date of first sale. Use it for B2B sales (banking, payroll, insurance, legal, accounting, SaaS), investor deal flow and recruiting.

### What you get per raiser

- Issuer details: name, CIK, entity type, state of incorporation, year of incorporation, and business address and phone as filed with the SEC.
- Offering details: industry group, revenue range, total offering amount, amount sold, amount remaining, minimum investment, number of investors, date of first sale, exemptions (506(b), 506(c) and others), securities types, and commissions and finders' fees.
- People and agents: executives, directors and promoters (name and role only; no personal addresses are output), the signer's name and title, and any named placement agents or broker-dealers.
- EDGAR context: `new_to_edgar` (whether this is the CIK's first filing of any kind), the date of the CIK's first EDGAR filing, total filings, SIC code, website and former names.
- Direct links to the filing folder and the Form D XML on sec.gov.

In our test of one day of filings (2026-10-22), there were 181 Form D filings. Of those, 110 were pooled funds and were skipped, and 19 were repeat raisers and were skipped. That left 52 first-time raisers.

### How to use

1. Leave the defaults and run. You get yesterday's first-time raisers, usually 30 to 80 rows.
2. For a daily lead feed, schedule the Actor every weekday morning with `daysBack: 1`.
3. For a backfill, set `startDate` and `endDate`. A run can cover up to 92 days.
4. To narrow the results, use `industryGroups` (for example `Other Technology`, `Biotechnology`, `Commercial`), `states` (for example `CA`, `TX`) and `minOfferingAmount`.

Results go to the dataset (JSON, CSV, Excel, or the API) and to `RAISERS_CSV` in the key-value store. `SUMMARY` gives the scan counts.

### Pricing

Pay per result: $10.00 per 1,000 first-time raisers ($0.01 each). There's no start fee, and the Actor charges nothing for funds, amendments or repeat filers it skips. The Actor stops at your max cost per run, so you never pay more than you set.

### How "first-time" is decided

For each new Form D, the Actor reads the issuer's full EDGAR filing history from data.sec.gov. It keeps the issuer only if no Form D or D/A was filed under that CIK before this filing's date.

A company that raised before under a different legal entity or CIK will still show up as first-time. `new_to_edgar` and `edgar_first_filing_date` help you judge these cases.

### FAQ

#### How do I find companies that just raised money?

Companies selling securities under Regulation D file a Form D with the SEC within 15 days of the first sale. This Actor reads those filings every business day and keeps only first-time issuers. On Oct 22, 2026, 181 Form D filings came in: 110 funds and 19 repeat raisers were skipped, leaving 52 first-time raisers.

#### What data does a Form D include?

Each row has the issuer's name, state, industry group, total offering amount, amount sold, minimum investment, number of investors, date of first sale and exemption (506(b) or 506(c)). It also lists executives and placement agents (names and roles only) and links to the filing on sec.gov.

#### Is SEC Form D data free to use?

Yes. Form D filings are public records on SEC EDGAR, and the Actor follows the SEC's fair-access rules (a declared User-Agent and at most 5 requests per second; the SEC limit is 10). You pay only for the first-time raisers it returns.

#### How much does it cost?

$10 per 1,000 first-time raisers ($0.01 each) plus Apify platform usage. A normal day is 30 to 80 rows, so about $0.30 to $0.80. Funds, amendments and repeat filers that are skipped cost nothing.

#### Does it cover all of the US?

Yes. Form D is a federal SEC filing, so it covers companies in every US state, plus non-US companies that raise money from US investors under Regulation D. Coverage: if you need a specific state or industry, filter the output by state or industry group.

### Data source and fair access

All data comes from the SEC's free public EDGAR system: the daily form index, the Form D XML and the submissions API. The Actor follows the SEC's fair access policy. It sends a declared User-Agent with a contact email, makes at most 5 requests per second (the SEC limit is 10), and backs off on 429 or 5xx responses. About 250 requests cover one business day, which takes roughly a minute.

Form D is a public regulatory filing. People's names and roles are included as the SEC publishes them, while their personal addresses are left out. Use the data in line with the laws that apply to you (for example CAN-SPAM, TCPA and GDPR) when you contact anyone. This Actor is not affiliated with the SEC and is not investment advice.

# Actor input Schema

## `daysBack` (type: `integer`):

How many calendar days back from yesterday to scan (weekends are skipped). 1 = yesterday's filings only, ideal for a daily schedule. Ignored when Start date is set.

## `startDate` (type: `string`):

First filing date to scan, YYYY-MM-DD. Overrides Business days back. Max 92 days per run.

## `endDate` (type: `string`):

Last filing date to scan, YYYY-MM-DD. Defaults to today when Start date is set.

## `includePooledFunds` (type: `boolean`):

Form D filers marked 'Pooled Investment Fund' (VC/PE funds, SPVs) are about 60% of filings. Off by default so you get operating companies and real-estate/energy deals.

## `industryGroups` (type: `array`):

Keep only these Form D industry groups, exact names as on the form, e.g. 'Other Technology', 'Biotechnology', 'Commercial', 'Oil and Gas', 'Other Health Care'. Empty = all.

## `states` (type: `array`):

Keep only issuers whose principal place of business is in these 2-letter state codes, e.g. CA, TX, NY. Empty = all.

## `minOfferingAmount` (type: `integer`):

Skip offerings with a total offering amount below this. 'Indefinite' amounts are skipped when this is above 0.

## `maxResults` (type: `integer`):

Stop after this many first-time raisers. Each result is one charged event. The run also stops at your max cost per run.

## `maxFilingsToScan` (type: `integer`):

Safety cap on how many Form D filings are read per run (about 180 are filed per business day).
