## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC EDGAR Financials — Standardized US Company Periods

Extract clean, standardized annual and quarterly financials for US public companies from the SEC's free XBRL APIs. One row per **company-fiscal-period**, with revenue, net income, assets, liabilities, equity, cash, EPS, shares outstanding, margins, growth, the filing URL and the accession number.

### What it does

- Resolves tickers or CIKs and fetches the SEC's `companyfacts` and `submissions` documents.
- Normalizes hundreds of company-specific US-GAAP tags into one consistent schema.
- Groups facts into annual (`10-K`/`10-K/A`) and quarterly (`10-Q`/`10-Q/A`) periods.
- **Handles restatements:** for each metric and period, the latest filed value wins. If a period has more than one distinct reported value, the record is flagged `restated` and `restatementMetrics` names the changed metrics.
- Derives `netMargin`, `grossMargin`, `operatingMargin`, `revenueGrowthYoY`, `netIncomeGrowthYoY`, and `revenueGrowthQoQ` / `netIncomeGrowthQoQ` (Q2 and Q3).
- Filters by form type, fiscal year range, period-end date range, and financial thresholds such as minimum revenue, minimum margin or minimum growth.

### Who it is for

- **Analysts and investors** building comparable company time series without XBRL wrangling.
- **Sales and BD teams** screening US filers by revenue, margin or growth.
- **AI agents** that need a clean, typed financial record with a source link for every row.

### Data source and coverage

SEC EDGAR's official XBRL JSON APIs:

- `https://data.sec.gov/api/xbrl/companyfacts/CIK##########.json` — reported facts.
- `https://data.sec.gov/submissions/CIK##########.json` — filing metadata, tickers and older filing indexes.

Coverage is every US filer that reports XBRL to the SEC, including 10-K and 10-Q filers. The actor only outputs **company-level financial facts and filing metadata** — no officer names, addresses, phone numbers, or other personal data.

### Input

All fields are optional. With an empty input the actor returns up to 20 recent periods for 10 large US companies.

| Field | Default | Description |
|---|---|---|
| `companies` | 10 large US companies | Array of 10-digit CIKs or tickers. Empty uses the default universe. |
| `formTypes` | `["10-K","10-Q","10-K/A","10-Q/A"]` | Forms to consider. Amendments are included by default so restatements are captured. |
| `fiscalYearFrom` / `fiscalYearTo` | current year − 2 / current year | Fiscal year range (inclusive). |
| `periodFrom` / `periodTo` | none | Optional period-end date range (`YYYY-MM-DD`). |
| `includeAnnual` / `includeQuarterly` | `true` | Include annual and/or quarterly periods. |
| `minRevenue` / `maxRevenue` | none | Revenue threshold in USD. |
| `minNetIncome` / `maxNetIncome` | none | Net income threshold in USD. |
| `minNetMargin` / `maxNetMargin` | none | Net margin ratio, e.g. `0.15` = 15%. |
| `minGrossMargin` / `maxGrossMargin` | none | Gross margin ratio. |
| `minOperatingMargin` / `maxOperatingMargin` | none | Operating margin ratio. |
| `minRevenueGrowthYoY` / `maxRevenueGrowthYoY` | none | Revenue growth versus the same period a year earlier. |
| `minNetIncomeGrowthYoY` / `maxNetIncomeGrowthYoY` | none | Net income growth versus the same period a year earlier. |
| `minAssets` / `maxAssets` | none | Total assets threshold in USD. |
| `minEquity` / `maxEquity` | none | Stockholders' equity threshold in USD. |
| `maxResults` | `20` | Maximum records to write. |
| `userAgent` | actor default | SEC-required descriptive User-Agent with contact information. |

Filters on a metric that is null exclude the record: they are screening criteria.

### Pricing

**$0.02 per company-fiscal-period record** ($20 per 1,000 records), charged when a record is written to the dataset. A run's maximum cost caps how many records are saved; the actor stops cleanly when the cap is reached.

### Use with AI agents (MCP)

This actor is a natural tool for an MCP server or an AI research agent. Feed it a watchlist of CIKs or tickers plus financial filters and it returns one normalized row per period with a direct SEC filing link and accession number for verification.

### FAQ

**Why does a record's `form` sometimes say `10-Q` when `fiscalPeriod` is `FY`?**
`fiscalPeriod` comes from the primary filing for that period end. `form`, `filedDate` and `accessionNumber` come from the latest filing that reported the chosen value. A later 10-Q can repeat a prior fiscal-year-end balance sheet as a comparative; if that comparative is the latest filed value, the record points to it. Use `formTypes: ["10-K"]` if you want annual records sourced only from 10-K filings.

**What counts as a restatement?**
For one metric and one period, more than one distinct reported value across the allowed filings. The latest `filed` value wins; `restatementMetrics` lists the affected metrics. This captures 10-K/A and 10-Q/A amendments and later-filed comparatives that changed a prior value.

**Why is `netIncomeGrowthYoY` null?**
Growth is only meaningful when the prior value is positive. If the prior-year net income is missing or zero/negative, the field is null.

**Why is a company missing?**
It may not report US-GAAP XBRL (for example, a foreign private issuer using IFRS), or its CIK may have no `companyfacts` document. The run summary reports failed companies.

**Does it return personal data?**
No. It returns company-level financial facts and filing metadata only. It does not output officer names, addresses, phone numbers or other personal data.

### SEC notice

This actor uses the SEC's free EDGAR APIs. The SEC requires a descriptive `User-Agent` with contact information and no more than 10 requests per second. The actor throttles to about 9 requests per second and sends a default User-Agent; set the `userAgent` input to your own contact to comply with the SEC's fair-access policy. Data is public and provided as reported; this actor is not affiliated with or endorsed by the SEC and does not provide investment advice.
