## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC EDGAR Filings & XBRL Financials API

**Get SEC filings and XBRL financial data for any US-listed company by ticker or CIK, as clean JSON.** Filing lists (10-K, 10-Q, 8-K, S-1, 20-F, DEF 14A... with dates, items and direct document links) and standardized financial facts (revenue, net income, EPS, assets, cash, shares outstanding...) straight from the SEC's official EDGAR APIs. **$1 per 1,000 filings, $0.30 per 1,000 financial facts.**

### What does it do?

- Resolves **tickers or CIKs** (e.g. `AAPL`, `MSFT`, `320193`) via the SEC's official ticker file.
- **Filings:** every filing in the company's EDGAR history (older years too), filtered by form type and date, with accession number, filing and report date, 8-K items, XBRL flags, and links to the filing index and the primary document.
- **XBRL facts:** values from the SEC's `companyfacts` API for the concepts you choose (us-gaap, ifrs-full, dei), with unit, period, fiscal year/period, form and frame (e.g. `CY2025Q2`). By default only the latest reported value for each period is returned (restatements win), so you get one clean time series.
- Two table views: **Filings** and **XBRL facts**.

### Why use it?

- No EDGAR parsing: stable field names, one row per filing or fact, ready for Sheets, BigQuery, pandas or an AI agent.
- **Fair-access compliant:** max 8 requests/second (SEC limit: 10), declared user agent, robots.txt checked.
- **Pay only for data:** unknown tickers, empty filters and missing facts are free rows.

### Input

| Field | Default | What it does |
|---|---|---|
| `companies` | required | Tickers or CIKs (max 500 per run). |
| `includeFilings` | `true` | Return filing rows. |
| `formTypes` | all | e.g. `10-K`, `10-Q`, `8-K`, `S-1`, `20-F`, `DEF 14A` (amendments `10-K/A` count as `10-K`). |
| `filedFrom` / `filedTo` | – | Filing date range (YYYY-MM-DD). |
| `maxFilingsPerCompany` | `20` | Newest first (max 10,000). |
| `includeXbrlFacts` | `false` | Return financial facts. |
| `xbrlConcepts` | 21 key financials | Concept names, e.g. `Revenues`, `NetIncomeLoss`, `Assets`, or `ifrs-full:Revenue`. |
| `xbrlForms` | `10-K`, `10-Q` | Only facts reported in these forms. |
| `factsPeriodFrom` | – | Only periods ending on/after this date. |
| `latestValueOnly` | `true` | One value per concept and period (the latest filed). |
| `maxFactsPerCompany` | `500` | Cap per company. |
| `skipIndividualFilers` | `true` | Skip CIKs that belong to individuals (insiders), see Personal data. |
| `contactEmail` | maintainer contact | The SEC asks tools to declare a contact e-mail in the user agent. By default the Actor's maintainer contact is sent; enter yours to declare yourself instead (recommended for large runs). Sent only to sec.gov, never stored in the output. |

```json
{
  "companies": ["AAPL", "NVDA"],
  "formTypes": ["10-K", "10-Q"],
  "maxFilingsPerCompany": 8,
  "includeXbrlFacts": true,
  "xbrlConcepts": ["Revenues", "RevenueFromContractWithCustomerExcludingAssessedTax", "NetIncomeLoss"],
  "factsPeriodFrom": "2024-01-01"
}
```

### Output

Filing row (shortened):

```json
{
  "type": "filing", "ticker": "AAPL", "cik": "0000320193", "companyName": "Apple Inc.",
  "form": "10-K", "filingDate": "2025-10-31", "reportDate": "2025-09-27",
  "accessionNumber": "0000320193-25-000079", "isXBRL": true, "isInlineXBRL": true,
  "filingIndexUrl": "https://www.sec.gov/Archives/edgar/data/320193/000032019325000079/0000320193-25-000079-index.htm",
  "documentUrl": "https://www.sec.gov/Archives/edgar/data/320193/000032019325000079/aapl-20250927.htm"
}
```

Fact row (shortened):

```json
{
  "type": "xbrl-fact", "ticker": "AAPL", "taxonomy": "us-gaap", "concept": "NetIncomeLoss", "label": "Net Income (Loss) Attributable to Parent",
  "unit": "USD", "value": 112010000000, "periodStart": "2024-09-29", "periodEnd": "2025-09-27", "durationDays": 364,
  "fiscalYear": 2025, "fiscalPeriod": "FY", "form": "10-K", "filed": "2025-10-31", "frame": "CY2025"
}
```

Values are exactly as filed. Rows without data carry `error` / `errorCode` (`COMPANY_NOT_FOUND`, `INDIVIDUAL_FILER_SKIPPED`, `DUPLICATE_COMPANY`, `NO_MATCHING_FILINGS`, `NO_XBRL_FACTS`) and are **not charged**.

### How much does it cost?

| Event | Price |
|---|---|
| Filing | $0.001 |
| XBRL fact | $0.0003 |

- 10 years of 10-K + 10-Q filings for one company (≈40 rows) ≈ $0.04; 20 key financials × 40 quarters ≈ $0.24.
- Apify's tiny run-start fee applies (512 MB default). Set **Maximum cost per run** to cap spending.

### Use it from code or an AI agent

```bash
curl -X POST "https://api.apify.com/v2/acts/thriving_adder~sec-edgar-filings-xbrl/run-sync-get-dataset-items" \
  -H "Authorization: Bearer YOUR_APIFY_TOKEN" -H 'Content-Type: application/json' \
  -d '{"companies":["TSLA"],"formTypes":["8-K"],"maxFilingsPerCompany":10}'
```

Also available as a tool in **Apify's MCP server** for AI agents.

### Legal and data notes

- **Source:** U.S. Securities and Exchange Commission, EDGAR (`data.sec.gov`, `www.sec.gov`). EDGAR data is public. This Actor is **not affiliated with or endorsed by the SEC**.
- Follows the SEC's [fair access policy](https://www.sec.gov/os/accessing-edgar-data): ≤ 8 requests per second and a declared user agent with a contact e-mail (the maintainer's by default, or yours via `contactEmail`).
- **Personal data:** filings by individuals (Forms 3/4/5, 13D/G by people) identify natural persons. CIKs that belong to individuals are skipped by default, and the Actor never returns insiders' names or addresses from filing contents. Company addresses and phone numbers are not returned.
- Not investment advice. Check values against the filing before relying on them.

### FAQ

**Why is a concept missing?** Companies use different concepts (e.g. `Revenues` vs `RevenueFromContractWithCustomerExcludingAssessedTax`); list both. Facts are only available for filings with XBRL (2009+).

**Does it download the full filing text?** No, it returns direct links. Full-text extraction is on the roadmap.

**Problems or ideas?** Open an issue in the Issues tab. We answer within 2 business days.

## `maxFilingsPerCompany` (type: `integer`):

Newest first.

## `includeXbrlFacts` (type: `boolean`):

Return XBRL facts from the companyfacts API (charged per fact).

## `xbrlConcepts` (type: `array`):

XBRL concept names (e.g. Revenues, NetIncomeLoss, Assets, EarningsPerShareDiluted). Empty = 21 key financials (revenue, costs, operating/net income, EPS, assets, liabilities, equity, cash, debt, operating cash flow, capex, shares). Use \* for every concept (can be thousands of facts).

## `xbrlForms` (type: `array`):

Only facts reported in these forms (amendments included). Use 20-F/40-F for foreign private issuers. Empty = any form.

## `factsPeriodFrom` (type: `string`):

Only facts whose period ends on or after this date (YYYY-MM-DD). Recommended to keep runs small.

## `latestValueOnly` (type: `boolean`):

Each period is repeated in later filings (comparatives). On: keep only the most recently filed value per concept, unit and period. Off: every reported value.

## `maxFactsPerCompany` (type: `integer`):

Newest periods first.

## `skipIndividualFilers` (type: `boolean`):

Skip CIKs that belong to individuals (insiders filing Forms 3/4/5) rather than companies, to avoid collecting personal data. Skipped entries are free.

## `contactEmail` (type: `string`):

The SEC's fair-access policy asks automated tools to declare a contact in the User-Agent. By default the Actor declares its maintainer's contact address; enter your own e-mail to declare yourself instead (recommended for large runs). It is sent only to sec.gov in the User-Agent header and is not stored in the output.
