## Pricing

from $4.00 / 1,000 form d filings

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.
Since this Actor supports Apify Store discounts, the price gets lower the higher subscription plan you have.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

### What does SEC Form D Scraper do?

**Input:** a date range (or "last N days") plus optional filters for industry, state, amount raised and company name. **Output:** one row per SEC Form D filing with the company, amount sold, offering size, industry, address, phone and executives, plus a CSV file. **Price:** $5 per 1,000 filings; filings your filters drop, unreadable filings and invalid inputs are free; no start fee.

It turns the **SEC's Form D filings** into a clean list of **companies that just raised money**. In the US, a company that sells shares, SAFEs, notes or other securities in a private round (seed, Series A, a real estate syndication, a fund) must file a Form D within 15 days of the first sale. Every filing is public on EDGAR, and this Actor reads them for you:

- 💰 **Who raised and how much**: company, total offering size, **amount already sold**, amount remaining, number of investors, minimum investment, date of first sale.
- 🏢 **Company facts**: industry group, entity type, year of incorporation, state of incorporation, **business address and phone**, previous names.
- 👤 **Executives and directors**: names and roles as listed in the filing (addresses are never returned).
- 🧾 **Offering terms**: securities (equity, debt, options ...), exemption (Rule 506(b), 506(c), 504 ...), sales commissions and finders' fees, broker-dealers paid to sell the round.
- 🔎 **Filters**: operating companies or funds, 35 industry groups (or "all technology", "all health care" ...), states and countries, minimum amount raised, minimum offering size, company name keywords.
- 🔔 **Only new** for daily schedules: each filing is returned once, filings seen before are skipped for free.
- 📜 **Funding history** of specific companies by CIK, EDGAR company link, or a stock ticker that uniquely maps to one CIK in the SEC ticker list (every Form D they ever filed).
- 📄 **CSV file** with the main columns, ready for a CRM import.
- 🌱 **Reg CF crowdfunding (Form C)** on request: companies raising from the public on Wefunder, StartEngine, Republic and other funding portals, **with their website**, the portal, target and maximum amount, deadline, price per security, and revenue, net income, assets, debt and employees from the latest fiscal year. Same price per filing.

#### Why this Actor?

- **Official source, same day**: filings come straight from SEC EDGAR (the daily index, and the EDGAR full-text search for today's filings), not from a news site or a paid database.
- **About 10× cheaper** than other "recently funded companies" Actors: $5 per 1,000 filings, against $40-70 per 1,000 for the funding trackers on the Apify Store (checked 4 October 2026, see below).
- **You pay only for what you keep**: filings your filters drop, failed reads and filings already seen are free.

#### Real results (3-4 October 2026)

- Last 3 days, operating companies, max 100: **337 filings listed, 100 returned in 47 seconds, $0.50**. 34 of the 100 had already raised $1M or more, and the 100 together reported $1.0 billion sold.
- "Technology + health care, raised $1M or more, last 7 days": 894 filings listed, **52 matches, $0.26, 2.6 minutes**. The filters dropped 550 funds, 214 other industries and 78 smaller rounds, all free.
- The same input again with "Only new": 0 new filings, $0, 5 seconds.
- Funding history of SpaceX (CIK 0001181412): 21 Form D and D/A filings in 6 seconds, e.g. $1.72 billion offered on 13 June 2022 with 74 investors.

### Use cases

- **Sales prospecting**: startups that just closed a round have budget and are hiring; filter by industry and state and call or email them while the money is fresh.
- **VC and angel deal flow**: who raised in your sector or city this week, how much, and who the directors are.
- **Service providers**: law firms, accountants, payroll, banking and insurance teams looking for newly funded companies.
- **Market research**: funding activity by industry, state or round size; track competitors' raises (company history mode).
- **Real estate and fund raising**: syndications and new funds (set "Issuers" to funds).

### How to use it

1. **Filed in the last N days** (or a date range).
2. **Filings**: new offerings (Form D), amendments (D/A) or both; or **Reg CF crowdfunding** instead: `crowdfunding` (Form C and C/A) or `crowdfunding-all` (also progress updates C-U, annual reports C-AR and termination notices C-TR).
3. **Issuers**: operating companies (default), funds only, or all.
4. Optional filters: **industries**, **states or countries**, **minimum amount sold**, **minimum offering size**, **company name keywords**.
5. Optional: **Specific companies** (CIK numbers, EDGAR company links, or 1–5 character stock tickers such as `AAPL`) for their full Form D history. Tickers work only when the SEC ticker list maps them to exactly one CIK; company names are not searched. The SEC list may be incomplete, so use a CIK or EDGAR link if your ticker is missing or ambiguous.
6. For a daily lead list: turn on **Only new filings**, give a **Monitor name**, and schedule the task every day with "last 3 days" (Apify Console → Schedules).

- **isNew** (Only new mode): true for filings not returned by earlier runs of the monitor.
- **SUMMARY** (key-value store): filings listed, read, returned, dropped per filter, free errors by `errorType`, days read from the daily index or full-text search.
- **formFamily**: `D` for Form D rows, `C` for crowdfunding rows.

#### Crowdfunding (Form C) rows

With `"filingTypes": "crowdfunding"` every row is a Regulation Crowdfunding filing (`formFamily: "C"`). A real Form C from 15 October 2026 (shortened):

```json
{
    "filingDate": "2026-10-15",
    "formType": "C",
    "formFamily": "C",
    "companyName": "EpiBone, Inc.",
    "website": "https://www.epibone.com/",
    "stateOrCountry": "NY",
    "fundingPortalName": "Wefunder Portal LLC",
    "securityType": "Preferred Stock",
    "pricePerSecurityUsd": 1.1443,
    "targetOfferingAmountUsd": 50000,
    "maximumOfferingAmountUsd": 1235000,
    "overSubscriptionAccepted": true,
    "offeringDeadline": "2027-04-30",
    "currentEmployees": 8,
    "revenueUsd": 479453,
    "netIncomeUsd": -1981452,
    "totalAssetsUsd": 4075356,
    "formUrl": "https://www.sec.gov/Archives/edgar/data/1798436/000179843626000001/xslC_X01/primary_doc.xml"
}
```

- **targetOfferingAmountUsd**: the minimum the company must raise for the round to close; **maximumOfferingAmountUsd**: the most it accepts (Reg CF allows up to $5M a year).
- **revenueUsd, netIncomeUsd, totalAssetsUsd, cashAndEquivalentsUsd, shortTermDebtUsd, longTermDebtUsd, currentEmployees**: the most recent fiscal year as filed (`revenuePriorYearUsd`, `netIncomePriorYearUsd` for the year before).
- **issuerFileNumber** (020-…): ties every report of one raise together (C/A, C-U, C-AR); a first Form C gets it after filing. **progressUpdate** (C-U), **fiscalPeriodEnd** (C-AR), **amendmentNature** (C/A).
- **Filters on Form C**: states and keywords work as usual; the minimum offering size is the target amount. Industry, issuer type and minimum amount sold are Form D fields and do not apply. Annual reports (C-AR) and terminations (C-TR) have no portal or offering amounts.
- Volume (real runs, October 2026): 5-7 Form C and C/A filings a business day; 29 April 2026 (annual reports due 30 April) had 87 crowdfunding filings, 62 of them C-AR.
- **executives** on Form C: the names and titles of the people who signed the filing (no addresses or contact details).

### How much does it cost?

| Event | Price | When |
|---|---|---|
| Form D filing | **$5.00 / 1,000** ($0.005 each) | one filing returned after your filters, with company, amounts, industry, address, phone and executives |

**Free:** filings dropped by your filters or name keywords, filings seen in earlier runs ("Only new"), filings that cannot be read, invalid inputs. **No start fee.** Larger Apify plans get the usual volume discount (Silver 10%, Gold and above 20%).

**Example:** a daily schedule for technology and health-care companies that raised $1M or more (about 10 per business day in our test week) costs about $0.05 a day; every new operating-company Form D in the US (about 70 per business day) about $0.35 a day.

For comparison (Apify Store, 4 October 2026): datahyena/company-funding-rounds $0.07 per result (42 users in the last 30 days), nexgendata/startup-funding-tracker $0.05, signalbase/signalbase-api $0.04, complex_intricate_networks/fundraising-and-startup-funding-scraper $0.01, automation-lab/startup-funding-rounds-monitor $0.0092; Form D only: logiover/sec-edgar-form-d-scraper $0.0035, devilscrapes/sec-form-d-leads $0.005.

#### Control your cost

- **Max filings** stops the run after that many returned filings (newest first).
- At the start the run logs the worst case (filings to read × $0.005) and compares it with your **maximum charge per run**; when the next filing could pass it, the run stops (`SUMMARY.status: LIMIT_REACHED`, `SUMMARY.notProcessed`).
- Every row has `charged: true` or `false`; free rows say "(not charged)". If Apify restarts the run, filings already returned are not charged again.

### Use it from code

```bash
curl -X POST "https://api.apify.com/v2/acts/tidytools~sec-form-d-scraper/run-sync-get-dataset-items?token=YOUR_TOKEN" \
  -H "Content-Type: application/json" \
  -d '{"daysBack":3,"industries":["group:technology"],"minAmountSold":500000}'
```

**With AI agents (MCP):** connect Apify's MCP server (`https://mcp.apify.com?tools=tidytools/sec-form-d-scraper`) to Claude, Cursor or any MCP client and ask, for example, "Which biotech companies in Massachusetts raised over $5M this month?". Minimal input: `{"daysBack": 30, "industries": ["Biotechnology"], "states": ["MA"], "minAmountSold": 5000000}`. Failed items are not charged and carry an `errorType`.

### Limitations

- **Form D only covers private offerings that use a Regulation D exemption.** Many startups file, but not all (some never do, some file late, some only in a state). The amounts are what the company reported; later raises appear as new filings or D/A amendments.
- **No website or email in Form D**: Form D does not ask for them (crowdfunding Form C rows do include the website). You get the business address, phone and the names of executives and directors. Combine it with a contact or company-enrichment tool when you need a website.
- **Industry is self-reported** and coarse ("Other Technology" covers software, AI, internet). Name keywords and the description of your CRM do the rest.
- **Today's filings** come from the EDGAR full-text search until the SEC publishes the day's index that night; both are official SEC sources.
- **Polite access**: requests carry our TidyTools name and contact address, as the SEC asks, and stay at about 6 per second (the SEC's limit is 10). A very long date range (months) takes several minutes per month of filings.

### Responsible use

- The Actor reads public SEC EDGAR filings. The names of executive officers, directors and promoters (and the signer) are the roles the company itself reported to the SEC; no addresses, birth data or personal contact details of these people are returned.
- Need a company-only dataset? Turn off **Executives, directors and signer names** (`includeExecutives`): `relatedPersons`, `executives` and `signerName` are then left out. The price does not change.
- You are responsible for how you use the data: follow data-protection and anti-spam laws (GDPR, CAN-SPAM, CASL) and honour opt-out requests when you contact anyone named in a filing.

### FAQ

**Does the Actor collect usage data?** The Actor sends one anonymous usage counter per run (input type, item count range, outcome) to improve the tool; no URLs, content or account data.

**Is this data legal to use?** Yes. Form D filings are public records published by the SEC on EDGAR for anyone to read. The Actor uses the SEC's own public endpoints and identifies itself as the SEC requires. Use the contact details in line with the anti-spam and privacy laws that apply to you.

**What if my input is wrong (bad date, unknown industry, range over 366 days)?** The run ends normally with one free `invalid_input` row that says what to fix; nothing is read or charged. A single bad company entry in "Specific companies" gives its own free error row and the other companies are still read. Invalid entries return `invalid_input`; a CIK with no submissions returns `not_found`. A stock ticker that maps to multiple CIKs returns `ambiguous_ticker`, one missing from the SEC ticker list returns `ticker_not_found`, and a ticker list that cannot be read returns `ticker_lookup_unavailable`. These error rows do not incur a filing charge; try a CIK or EDGAR company link instead.

**Why do I see fewer filings than EDGAR lists?** The default "Operating companies" setting drops pooled investment funds (about half of all Form D filings) and your other filters drop the rest. `SUMMARY.filteredOutBy` shows how many each filter removed. All of them are free.

**How fresh is it?** Filings appear on EDGAR within minutes of being accepted; this Actor reads them the same day. A daily schedule with "last 3 days" and "Only new" catches everything once, also after weekends.

**Can I get a company's whole funding history?** Yes: put its CIK (from the EDGAR company page or `cik` in any row), EDGAR company link, or a stock ticker with a unique SEC ticker-to-CIK match under "Specific companies". Many Form D issuers are not in the SEC ticker list; use their CIK or EDGAR link.

**What is the difference between amount sold and offering amount?** The offering amount is the planned round size; the amount sold is what investors had already paid in when the form was filed. An amendment later can report a higher amount sold.

# Actor input Schema

## `daysBack` (type: `integer`):

Form D filings filed today and in the previous days (calendar days; EDGAR has no filings on weekends and federal holidays). Ignored when you set a date range below.

## `dateFrom` (type: `string`):

First filing date, YYYY-MM-DD (e.g. 2026-09-01). With "To date", replaces "Filed in the last N days"; at most 366 days per run.

## `dateTo` (type: `string`):

Last filing date, YYYY-MM-DD. Empty = today.

## `filingTypes` (type: `string`):

A new Form D is filed within 15 days of the first sale of a new offering; an amendment (D/A) updates an earlier one, e.g. with a higher amount sold or a yearly renewal. The crowdfunding choices return Regulation Crowdfunding filings instead (Wefunder, StartEngine, Republic ...): company website, funding portal, target and maximum amount, deadline, price per security, revenue, net income, assets, debt and employees. Same price per filing. Industry, issuer type and amount-sold filters apply to Form D only; for Form C the minimum offering size is the target amount.

## `issuerTypes` (type: `string`):

About half of all Form D filings are investment funds raising from their investors. Keep "Operating companies" for startup and company leads. Filings dropped by this filter are free.

## `industries` (type: `array`):

Keep only filings in these Form D industry groups (the issuer picks one when filing; most software and AI startups choose "Other technology"). Empty = all industries.

## `states` (type: `array`):

Issuer's principal place of business: US state codes (CA, NY, TX ...) or country names as EDGAR writes them (e.g. "United Kingdom", "Canada (Federal Level)" or a province like "Ontario"). Empty = everywhere.

## `minAmountSold` (type: `integer`):

Keep only filings that report at least this much already raised (total amount sold), e.g. 1000000 for $1M+.

## `minOfferingAmount` (type: `integer`):

Keep only offerings of at least this size (total offering amount). Offerings of indefinite size always pass. For crowdfunding (Form C) it is the target offering amount.

## `keywords` (type: `array`):

Keep only issuers whose name contains one of these words, e.g. "AI", "Labs", "Therapeutics". Checked on the EDGAR listing before a filing is read, so other filings cost nothing.

## `companies` (type: `array`):

SEC CIK numbers (e.g. 0001318605), EDGAR company links, or 1-5 character stock tickers (e.g. AAPL): returns every Form D of these companies (their funding history) instead of the latest filings of all companies. A ticker works only when the SEC ticker list maps it to exactly one CIK; ambiguous, missing, or unavailable ticker lookups return a free error row. Use a CIK or EDGAR link instead when needed. Add a date range to limit it. The Issuers filter does not apply here.

## `includeRelatedPersons` (type: `boolean`):

Names and roles (executive officer, director, promoter) of the people the filing lists, as public in the SEC filing. Their addresses are never returned. Turn off here or with "Executives, directors and signer names" below: either switch leaves the people out.

## `maxResults` (type: `integer`):

Stop after this many filings returned (newest first). A business day has about 150-300 Form D and D/A filings; in our test week about 180 new Form D a day, 40% of them from operating companies.

## `csvExport` (type: `boolean`):

Also save FORM_D.csv (one row per filing, the main columns) in the run's key-value store, ready for Sheets, Excel or a CRM import. Free.

## `includeExecutives` (type: `boolean`):

Names and roles of the executive officers, directors and promoters listed in the filing, and the name of the person who signed it. Turn off for a company-only dataset: relatedPersons, executives and signerName are then left out (the price is the same).

## `onlyNew` (type: `boolean`):

Skip filings returned or checked by earlier runs of the same monitor (free, not read again), so a daily schedule with "Filed in the last 3 days" returns each filing once. Filings are remembered for 120 days.

## `monitorName` (type: `string`):

Name of the saved state (letters, digits, dashes). Use one name per schedule and a new one when you change the filters; empty = derived from the filters.

## `maxConcurrency` (type: `integer`):

Requests to the SEC are paced to about 6 per second in total (its fair-access limit is 10) whatever this value is; 4 is enough.
