## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## New CEO & Executive Changes: SEC 8-K Item 5.02 Leadership Alerts

**Get a daily list of new CEOs, CFOs, C-suite hires and board changes at US public companies, straight from official SEC 8-K filings.** Each result is one leadership-change filing with who was appointed or is leaving, their role, whether it's interim, plus the company's ticker, industry, address and phone. No API key, no login, no scraping of news sites. The data comes from the SEC's public EDGAR system.

A new executive is the classic sales trigger: new leaders review vendors, budgets and teams in their first 90 days. A sudden CFO or CEO exit is also a market-moving signal for investors. This Actor turns the SEC's 8-K feed into a clean, filterable list you can drop into a CRM, a spreadsheet, a Slack channel or a trading model.

### What is an 8-K Item 5.02?

US public companies must file a **Form 8-K** within four business days of a major event. **Item 5.02** covers the "departure of directors or certain officers; election of directors; appointment of certain officers". So every new CEO, CFO, COO, President, chief accounting officer and director, and every resignation, retirement or firing in those roles, is disclosed here, often **before** it shows up on LinkedIn or in the news. Roughly 40-90 of these filings land every business day.

### What you get for each filing

| Field | Example |
|---|---|
| `companyName`, `ticker` | Align Technology Inc, ALGN |
| `headline` | Appointed: Jennifer L. Davis (CEO, President, Director) |
| `changes` | one entry per person: `person`, `changeType` (`appointment` / `departure`), `roles`, `interim` |
| `appointments`, `departures` | the people joining and leaving, as plain lists |
| `rolesAffected` | CEO, CFO, COO, CTO, CMO, CRO, CHRO, CAO, President, Chair, Director, ... |
| `isCeoChange`, `isCfoChange`, `isCSuiteChange`, `isBoardChange`, `hasInterimAppointment` | ready-made filters for your CRM or model |
| `eventDate`, `filedDate`, `acceptedAt` | when it happened and when the SEC got it |
| `item502Text` | the full Item 5.02 text from the filing, so you can read the details (start dates, pay, background) |
| `industry`, `sic` | SEC industry classification |
| `street`, `city`, `state`, `zipCode`, `phone` | company HQ address and phone from the filing |
| `otherItems` | other 8-K items in the same filing (for example 2.02 earnings, 1.01 deals) |
| `filingUrl`, `documentUrl` | links to the original filing on sec.gov |

### Try it free in one click

The input is prefilled: the last 3 days of filings, **C-suite changes only**, capped at 50 results (at most $0.50). Click **Start** and you'll have a list in a couple of minutes. Apify's free plan includes monthly credit, which covers this test run.

### Use cases

- **Sales prospecting (trigger-based selling):** reach a new CFO, CTO or CRO in their first 90 days, when they pick new vendors. Filter `roles` to the buyer you sell to.
- **Executive search and recruiting:** every departure is an open seat, and every new leader rebuilds a team.
- **Investors and traders:** sudden CEO or CFO exits, interim appointments and board shake-ups, by ticker, the day they're filed.
- **PR, IR and consulting firms:** new leaders hire new advisers.
- **Market research and journalism:** count leadership turnover by industry, state or month.

### How to use it

1. Set **Days back** (default 3) or a **Start date** / **End date**.
2. Narrow it down with **C-suite changes only**, **Roles** (for example `CFO`, `CTO`), **Change types** (appointments or departures), **Watchlist tickers**, **HQ states** or **Industry keywords**.
3. Leave **Exclude investment funds** on to drop closed-end funds and trusts.
4. Click **Start**. Results appear in the Output tab and can be exported to CSV, Excel, JSON or Google Sheets.

#### Daily monitor (recommended)

Turn on **Only new since my last run** and add a **Schedule** (Apify Console → Schedules → daily at 7am). Each run returns only filings you haven't received yet, so you pay only for new changes. Connect the run to Zapier, Make, Slack or email with Apify integrations.

### Pricing

Pay per result: **$0.01 per leadership-change filing returned** ($10 per 1,000). The 8-Ks without Item 5.02 and anything your filters drop are free. There is no start fee. Set **Maximum results** to cap the cost of any run. A daily C-suite-only monitor typically returns 10-30 filings a day.

### Input example

```json
{
  "daysBack": 7,
  "cSuiteOnly": true,
  "roles": ["CFO", "CTO", "CRO"],
  "changeTypes": ["appointment"],
  "industryKeywords": ["Software", "Pharmaceutical"],
  "listedOnly": true,
  "onlyNew": true,
  "maxResults": 500
}
```

### FAQ

**Is this legal?** Yes. 8-K filings are public records published by the SEC on EDGAR. The Actor uses the SEC's official public index and filing files, identifies itself with a User-Agent and contact email, and stays under the SEC's fair-access rate limit (10 requests per second).

**How fresh is the data?** Filings show up the same business day. The Actor reads the SEC's nightly daily index for past days and the EDGAR "latest filings" feed for today.

**How are names and roles extracted?** Item 5.02 is free text, so the Actor parses it with rules tuned on real filings (appointed / elected / named / resigned / retiring / stepping down, plus Mr./Ms. references). It handles most filings well. The full `item502Text` is always included so you can check the source, and `dataQualityFlags` marks filings where no person could be parsed (for example `compensation-only` pay updates). Turn on **Only filings with named people** to drop those.

**Are there email addresses?** No. 8-Ks don't include emails. You get the person's name and role, plus the company HQ phone and address. Pair this Actor with an email-finder Actor if you need emails.

**Does it cover private companies?** No. Only SEC-reporting companies file 8-Ks. For private companies that just raised money, see the Form D Actor below.

**Can I call it from code or an AI agent?** Yes, through the Apify API, the Python/JS clients, or the Apify MCP server.

**Can I get older data?** Yes, set a Start date. EDGAR has 8-Ks going back to the 1990s, and item-level tagging back to 2004.

### Limits and notes

- The Actor reads every 8-K header (about 300-700 a day) to find the Item 5.02 ones, so a 3-day run takes about 3-5 minutes.
- Roles held at *other* companies (for example "previously CEO of Yum! Brands") are ignored. Only the role at the filing company is reported.
- This Actor is not affiliated with or endorsed by the U.S. Securities and Exchange Commission.
