## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## Recently Funded Companies: SEC Form D Startup Funding Leads

**Get a daily list of US companies that just raised money, straight from official SEC Form D filings.** Each result is one company raise with the amount raised, round size, industry, business address, phone number, executives and brokers. No API key, no login, no scraping of private sites. The data comes from the SEC's public EDGAR system.

Companies that just raised money are hiring, buying software, and signing vendors. This Actor turns the SEC's Form D feed into a clean lead list you can drop into a CRM, a spreadsheet, or an outreach tool.

### What is a Form D?

When a US company sells shares, SAFEs, notes or LLC units in a private round under Regulation D, it must file a **Form D** with the SEC within 15 days of the first sale. That includes most venture-backed startups, many small businesses, real-estate deals and private funds. Form D is often the **first public signal** that a company raised, sometimes weeks before a press release or a Crunchbase entry.

### What you get for each company

### Try it free in one click

The input is prefilled: the last 3 days of filings, `Other Technology` companies only, capped at 50 results (at most $0.50). Click **Start** and you'll have a lead list in about a minute. Apify's free plan includes monthly credit, which covers this test run.

### Use cases

- **Sales prospecting:** reach founders right after they raise, when they have budget. Filter to `Other Technology` and `Biotechnology` in your states.
- **Recruiting and staffing:** newly funded startups are about to hire.
- **Banking, insurance, payroll, accounting, legal:** new companies need all of them.
- **Investors and deal scouts:** see who is raising before the press release, and from which placement agents.
- **Market research:** count raises by industry, state or size over time.

### How to use it

1. Set **Days back** (default 3) or a **Start date** / **End date**.
2. Narrow it down with **Industries**, **States**, **Minimum amount raised**, or **Startups only**.
3. Leave **Exclude investment funds** on to drop hedge funds, VC funds and PE funds and keep operating companies.
4. Click **Start**. Results appear in the Output tab and can be exported to CSV, Excel, JSON or Google Sheets.

#### Daily monitor (recommended)

Turn on **Only new since my last run** and add a **Schedule** (Apify Console → Schedules → daily at 8am). Each run returns only filings you haven't received yet, so you pay only for new leads. Connect the run to Zapier, Make, Slack or email with Apify integrations.

### Pricing

Pay per result: **$0.01 per funded company returned** ($10 per 1,000). Filtered-out filings are free. There is no start fee. Set **Maximum results** to cap the cost of any run.

### Input example

```json
{
  "daysBack": 7,
  "industries": ["Other Technology", "Biotechnology"],
  "states": ["CA", "NY", "MA"],
  "minAmountSold": 500000,
  "excludePooledFunds": true,
  "onlyNew": true,
  "maxResults": 500
}
```

### FAQ

**Is this legal?** Yes. Form D filings are public records published by the SEC on EDGAR. The Actor uses the SEC's official public index and filing files, identifies itself with a User-Agent and contact email, and stays under the SEC's fair-access rate limit (10 requests per second).

**How fresh is the data?** Filings show up the same business day. The Actor reads the SEC's nightly daily index for past days and the EDGAR "latest filings" feed for today.

**Why is `totalAmountSold` 0 for some companies?** The company filed before its first sale closed, or it is reporting a new offering. `totalOfferingAmount` shows the round size they're targeting.

**Are there email addresses?** No. Form D doesn't include email. You get the company phone, address and executive names. Pair this Actor with an email-finder Actor if you need emails.

**Why do I see LLCs with property names?** Real-estate deals file Form D too. Use **Exclude industries** with `Other Real Estate`, `Commercial`, `Residential` to drop them.

**How is this different from Crunchbase, PitchBook or Harmonic?** Those are paid databases built partly from Form D and press. This Actor gives you the raw, official filing the day it lands, for $10 per 1,000 companies, with no seat license or annual contract.

**Does it cover SAFEs, convertible notes and seed rounds?** Yes, whenever the company files a Form D, which most priced and many SAFE/note rounds do. Rounds that don't file (some friends-and-family raises) won't appear.

**Can I send the leads to my CRM?** Yes. Export CSV/Excel, or use Apify integrations (Zapier, Make, n8n, Google Sheets, Slack, webhooks) to push each new company into HubSpot, Salesforce, Pipedrive or Airtable.

**Can I call it from code or an AI agent?** Yes, through the Apify API, the Python/JS clients, or the Apify MCP server.

**Can I get older data?** Yes, set a Start date. Form D XML data on EDGAR goes back to 2009.

### Limits and notes

- The SEC fair-access limit means about 300-500 filings per minute. A 3-day run usually finishes in 1-3 minutes.
- Executive street addresses are deliberately left out. Only city and state are returned for people.
- This Actor is not affiliated with or endorsed by the U.S. Securities and Exchange Commission.
