## SEC Form D Funding Leads - Recently Funded Companies, $2.50/1k

**Every new SEC Form D filing as a structured sales lead: who is raising, how much, how much is already sold, how many investors are in, and which officers signed. Straight from official EDGAR, no login, $0.0025 per filing.**

Form D is the notice a company files with the SEC within 15 days of the first sale in a private placement. It is the earliest public, official trace that a startup, operating company or fund has just taken in outside money.

One flat row per filing. Amounts are numbers, dates are ISO (`YYYY-MM-DD`).

- **Filing:** accession number, filing date, form type (D or D/A), amendment flag and previous accession, link to the SEC filing page and primary document.
- **Issuer:** CIK, entity name, entity type (Corporation, LLC, LP...), jurisdiction and year of incorporation, business address and business phone (company-level), industry group, fund type, revenue range when disclosed.
- **Offering:** total offering amount, amount sold, amount remaining, minimum investment, date of first sale, number of investors already invested, federal exemptions claimed, sales commissions, finders fees, proceeds paid to related persons.
- **People:** executive officers, directors and promoters as name plus relationship. Related persons' home or street addresses are never output.

### FAQ

**Is this legal and allowed?** Yes. It reads the SEC's public EDGAR daily index and filing documents, which the SEC publishes for anyone. No login or paywall is involved. The actor identifies itself with a descriptive User-Agent and stays under 5 requests per second, as SEC fair-access rules require.

**How do I find recently funded startups from SEC filings?** Run this actor with `excludePooledFunds` on (default) so only operating companies remain, then filter by industry, state and `minAmountSold`. Each row is a company that reported a private placement.

**What is the difference between Form D and a press release about a funding round?** Form D is a legal notice of a securities offering, filed after the first sale. It shows the offering size and amount sold, but it does not name investors and may not match announced round sizes. See limitations below.

**Can I get emails for the people listed?** No. Form D lists officers, directors and promoters by name and role only. Related persons' addresses are not included in the output. The business phone is the company's.

**How fresh is the data?** Filings appear in the EDGAR daily index the business day after they are accepted. Run it daily with `onlyNewSinceLastRun` to get each filing once.

**Why are some amounts empty?** Issuers may declare an offering "Indefinite" or leave a field blank. The actor returns `null` rather than guessing, and `offeringIsIndefinite` tells you which case it was.

**How does dedupe work across runs?** Delivered accession numbers are stored in a named key-value store (`sec-form-d-funding-leads-seen`) that persists between runs. Change `stateStoreName` to keep separate feeds, or turn `onlyNewSinceLastRun` off to get everything again.

### Limitations

- A Form D is a notice of a raise, not a press release. Amounts are what the issuer reported; the round may be larger, smaller or still open.
- Investors are not named, only counted.
- No email addresses and no related-person home addresses.
- The daily index lists filings alphabetically. With a small `maxResults` and a wide `lookbackDays` you get the first matching filings in that order, not the largest. Use `minAmountSold` or `minOfferingAmount` to focus.
- "Lookback" counts business days (Monday to Friday). Holidays and a not-yet-published current day are skipped automatically.
- Scanning a wide window with narrow filters fetches every filing in it (about 4 per second), so such runs take longer.
- Only Form D and D/A are covered (not Regulation A, Form 1-K or other exempt-offering forms).

Keep filings whose total amount sold so far is at least this. 0 = no minimum.

## `minOfferingAmount` (type: `integer`):

Keep filings whose total offering amount is at least this. 0 = no minimum. Indefinite offerings are kept only when this is 0.

## `maxResults` (type: `integer`):

Cap on filings delivered (and charged) this run. The default keeps a zero-config run under a minute.

## `onlyNewSinceLastRun` (type: `boolean`):

Skip filings already delivered in a previous run (tracked by accession number in a named key-value store). A repeat run on the same input delivers 0 rows and charges 0 filing events.

## `secUserAgent` (type: `string`):

Sent to sec.gov on every request. SEC fair-access rules require a descriptive User-Agent with contact details. Put your own app name and email here for best reliability.

## `stateStoreName` (type: `string`):

Name of the named key-value store holding already-delivered accession numbers. Change it to keep separate feeds or to reset dedupe.
