## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

## Funding Rounds Tracker: Crunchbase Alternative (SEC & UK)

### Use when…

- You want newly disclosed funding rounds from SEC Form D and/or UK share allotments.
- A research agent needs a Crunchbase-style signal from official filings, not scraped DBs.
- You monitor industries, keywords or UK companies for new raises since the last run.

### Try this input

Copy-paste this JSON as the Actor input (it matches a successful run / the default schema):

```json
{
  "watches": [
    {
      "industries": [
        "Other Technology"
      ],
      "minAmount": 5000000,
      "excludeFunds": true
    },
    {
      "companyNumber": "09446231"
    }
  ],
  "lookbackDays": 3,
  "maxFilingsScanned": 2000,
  "watchlistId": "default"
}
```

  "checked_at": "2026-10-25T11:54:03+00:00",
  "error": null
}
```
**What it does:** Daily alerts on new funding rounds from **official filings**: US **SEC EDGAR Form D** private placements (filter by industry, keyword, US state and minimum raise, or watch specific companies by CIK) and UK **Companies House SH01** share allotments for watched companies.
**Who it's for:** Sales and BD agents, VC/PE deal-flow tools, fintech and lending prospecting, recruiters and market-intelligence dashboards.
**Price:** Pay per event: **$0.002 per watch checked** + **$0.01 per new funding round**. Baseline runs are never charged for rounds. No monthly fee.
### Why official filings?
Startups raising money in the US must file Form D with the SEC within 15 days of the first sale, so you often see a raise **before the press release**. Each row gives the issuer, total offering, amount sold so far, industry, city/state, date of first sale, number of investors, executives/promoters and a link to the filing. No Crunchbase or LinkedIn scraping, so no terms-of-service risk; SEC data is US public domain and Companies House data is under the Open Government Licence.
### How it works
1. **First run = baseline.** Everything currently found is saved to your named key-value store `funding-round-watch` under your `watchlistId` (also as the run's `SNAPSHOT` record). You see the current results in each row, but no `new-round` charges.
2. **Every later run** reports only what is new since the last run (`changed`, `changes`, `change_types`).
3. If a source is down, that row gets an `error` and the old snapshot is kept, so nothing is missed or double-counted.
### Watch types
| Watch | Example | Finds |
|---|---|---|
| SEC filters | `{"industries": ["Biotechnology"], "states": ["CA","MA"], "minAmount": 10000000}` | New Form D raises matching all filters |
| Keyword | `{"keywords": ["robot", "ai"]}` | Issuer name or industry contains a keyword |
| US company | `{"cik": "1318605"}` | New Form D / D/A filings by that company |
| UK company | `{"companyNumber": "09446231"}` | New SH01 share allotments (equity raises) |
`excludeFunds` (default true) drops pooled investment, hedge, PE and VC funds so you get operating companies. Form D industry names include *Other Technology, Biotechnology, Pharmaceuticals, Other Health Care, Computers, Telecommunications, Commercial, Retailing, Energy, Real Estate*.
### Quick example
**Input**
```json
{"watches": [{"industries": ["Other Technology"], "minAmount": 5000000}, {"companyNumber": "09446231"}], "watchlistId": "deal-flow"}
```
**Change text (later run)**
```
Boltz, PBC filed Form D 2026-10-22: raising $119,999,991 (sold $97,359,830), Other Technology, Boston MA https://www.sec.gov/...
```
### Use it from AI agents (MCP) and code
- **Apify MCP server:** add `https://mcp.apify.com/?tools=tudorlane/funding-round-watch` to Claude, Cursor, ChatGPT connectors, VS Code or any MCP client. The Actor appears as a tool the model can call.
- **REST (sync):** `POST https://api.apify.com/v2/acts/tudorlane~funding-round-watch/run-sync-get-dataset-items?token=YOUR_TOKEN` with the input JSON as the body.
- **Schedule it:** Apify Console > Schedules > daily, with the same `watchlistId`. Pipe new items to Slack, email, a webhook, n8n, Make or Zapier.
- **Stateless agents:** pass the previous run's `SNAPSHOT` record as `previousSnapshot` instead of relying on the saved watchlist.
### Sample output (real run, 25 Oct 2026)
| Watch | Rounds found | Example round |
|---|---|---|
| SEC: Other Technology, min $5M | 13 | RSYNQ Corp (Torrance, CA): offering $6,000,000, sold $2,000,000, first sale 2026-10-15 |
| UK company 09446231 | 36 | MONZO BANK LIMITED: SH01 allotment 2025-08-15, filed 2025-09-02 |
### Use cases
1. **Sales prospecting**: reach companies that just raised money.
2. **VC / deal flow**: daily feed of new private raises in your sector.
3. **Recruiting**: funded startups are about to hire.
4. **AI agents**: "who raised over $10M in biotech this week?" in one call.
### Limits & failure modes
- Official filings only, no Crunchbase data: no investor names beyond those in the filing, no press-release rounds.
- Form D misses companies that file late or not at all; amounts can be "indefinite".
- UK SH01 shows nominal share capital, not the amount raised.
- Only filings covered (SEC Form D, UK allotments) — many private rounds never appear.
- Industry/keyword filters can miss oddly described offerings.
- First run sets the baseline; “new” rounds need a stable `watchlistId` on later runs.
### FAQ
**Is Form D every round?** It covers most US private raises under Regulation D. Some companies file late or not at all, and amounts can be "indefinite".
**UK rounds?** SH01 shows new shares being issued, the official trace of an equity round. The share capital figure is nominal value, not the amount raised.
**Rate limits?** It follows SEC fair-access rules (declared User-Agent, well under 10 requests/second).
**Support?** Open an issue on the Actor's Issues tab.
# Actor input Schema
## `watches` (type: `array`):
Max 200. Each: SEC filters {industries: \['Biotechnology'], keywords: \[..], states: \['CA','NY'], minAmount: 5000000, excludeFunds: true}, or a company: {cik: '...'} (US) / {companyNumber: '...'} (UK).
## `lookbackDays` (type: `integer`):
Form D filing window scanned each run for filter watches (3 suits a daily schedule).
## `maxFilingsScanned` (type: `integer`):
Cap on SEC filings listed per run (about 400 are filed per working day).
## `companiesHouseApiKey` (type: `string`):
Optional; a shared key is used if empty.
## `watchlistId` (type: `string`):
Name for this watchlist; the snapshot is kept in your named key-value store under this ID so each run compares with the last.
## `previousSnapshot` (type: `object`):
Optional: pass the SNAPSHOT record from an earlier run instead of the saved watchlist (stateless agents).
