## Pricing

from $3.00 / 1,000 form d filings

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.
Since this Actor supports Apify Store discounts, the price gets lower the higher subscription plan you have.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Scraper: New Startup Funding Rounds & Placements

**$5 per 1,000 filings ($3 on the Gold tier), no start fee, no API key. On a schedule, only filings you have not received before are billed.**

When a private company raises money from investors, it must file a Form D with the SEC within 15 days of the first sale. That filing is the earliest public, verifiable record of a round: who raised, how much they sold so far, how big the offering is, how many investors, under which exemption, and who the officers and directors are. This Actor turns EDGAR into a daily feed of those filings, with the pooled investment funds (hedge, PE and venture funds, SPVs and REIT vehicles claiming a Section 3(c) exclusion, together about half of all Form Ds) filtered out by default, and a check of the issuer's filing history so you know whether this is the company's first outside raise.

Built on EDGAR's daily form index, its live filings feed, each filing's XML, and the submissions API, all public and free. The Actor declares itself to the SEC as its fair-access policy asks and never exceeds five requests a second.

### What you get

**Filing rows** (`kind: "filing"`), one per Form D, newest first:

```
Amounts are numbers in US dollars; an offering marked "Indefinite" has `totalOfferingAmount: null` and `offeringIndefinite: true`. `relatedPersons` are the officers, directors and promoters the issuer lists, with their roles; their addresses are not included. `salesCompensation` lists any broker-dealer or finder paid on the offering, with CRD numbers. `isFirstFormD` is true when EDGAR has no earlier Form D for the issuer, `priorFormDCount` and `previousFormDDate` describe the earlier ones (null when the history check is off). `viewerUrl` opens the SEC's human-readable rendering of the filing.
**One summary row** (`kind: "summary"`, free) reports the date window, how many filings were in it, how many were skipped as already delivered, as pooled funds, or by your other filters, how many could not be read, how many EDGAR requests were made, whether the SEC rate limit was hit, and whether the run stopped at your spending cap, so an empty result explains itself.
Filter on `kind` to keep one row type; the Console view **Filings** shows the useful columns.
### Input
| Field | What it does |
|---|---|
| Filed within (days) | Look-back in calendar days before today (US Eastern), plus today. Default 1. Past days come from the complete daily index; today comes from the live feed. |
| New filings only | Default on: original Form Ds only. Off adds Form D/A amendments (annual updates, revised amounts), marked `isAmendment`. |
| Exclude pooled investment funds | Default on: drops the Pooled Investment Fund industry group and any issuer claiming an Investment Company Act Section 3(c) exclusion (funds, SPVs, REIT feeders). Off includes them. |
| Industry groups | Form D industry groups to keep, e.g. Biotechnology, Other Technology, Commercial (real estate). Empty means any. |
| Issuer states | Two-letter codes of the issuer's principal address. |
| Minimum amount sold / total offering | Dollar floors. Indefinite offerings always pass the offering floor. |
| Only Rule 506(c) | Offerings that may be advertised publicly. |
| Check for earlier Form Ds | Default on; one extra request per delivered filing adds `isFirstFormD`, `priorFormDCount`, `previousFormDDate`. |
| First-time filers only | Only issuers with no earlier Form D on EDGAR. |
| Only new since last run | Default on. Remembers what each snapshot name has delivered (90 days) and skips it next time. |
| Snapshot name | Which memory "only new" uses; kept on your account as a key-value store named `sec-form-d-funding-feed-<name>`. Give each schedule its own name. |
| Max filings per run | Default 500, newest first. |
| Proxy | Normally off. Turn on if the summary row reports SEC rate limiting. |
Examples:
```json
{ "filedWithinDays": 1 }
```
Yesterday's and today's new raises by operating companies, with first-time-filer flags: the default.
```json
{ "industryGroups": ["Biotechnology", "Pharmaceuticals", "Other Health Care"], "minAmountSold": 5000000, "filedWithinDays": 7 }
```
Health-care companies that closed at least $5M this week.
```json
{ "firstTimeFilersOnly": true, "states": ["IA", "NE", "MN", "MO"], "filedWithinDays": 30 }
```
Companies in four Midwestern states raising outside money for the first time, last 30 days.
### Pricing
| Event | Free | Bronze | Silver | Gold and above |
|---|---|---|---|---|
| Form D filing | $0.005 | $0.0045 | $0.00375 | $0.003 |
EDGAR receives about 160 to 180 new Form Ds on a business day, of which roughly 60 to 90 are operating companies. The default daily run therefore costs $0.30 to $0.45 a day, about $7.50 to $10 a month, for every new private raise in the country with the officers' names and the first-time-filer flag. A filtered feed (one industry, one region, a dollar floor) is a few cents a day. The summary row is free, and so is an empty run. Set a maximum total charge on the run to cap spend; the Actor stops cleanly when it is reached and never delivers rows it could not bill.
### Use cases
- **Sales triggers**: a company that just raised has budget; a first-time filer just got its first outside money. Pipe rows into your CRM with the officers' names and the filing link.
- **Venture and angel deal flow**: see every round in your sector or region within a day of the filing, including rounds no press release announced.
- **Wealth management and service providers**: founders and executives of newly funded companies, from the public record, with roles.
- **Journalists and analysts**: who raised, how much, from how many investors, under which exemption, with the SEC's own rendering one click away.
- **AI agents**: ask "which biotech companies closed a round this week" through the Apify MCP server and get structured rows.
### Data source and limits
- Filings are listed from EDGAR's daily form index (complete for each past business day, published early the next morning) and from the latest-filings feed for today, then read from each filing's `primary_doc.xml`. History comes from the SEC's submissions API. All are US government public-domain records.
- The SEC asks automated tools to declare themselves and stay under 10 requests a second; the Actor does both and retries with backoff if the SEC throttles. A filing that still cannot be read is counted in the summary row, not delivered, and picked up on the next run.
- Filing dates follow EDGAR's US Eastern calendar. Filings accepted after 5:30 pm Eastern are dated the next business day. Weekends and holidays have no filings.
- The latest-filings feed is read back to the newest day already covered by a daily index, at most 4,000 entries, which covers several days of Form D volume.
- Officers, directors and promoters are listed exactly as the issuer discloses them on the form, by name and role only; no personal data is added from any other source.
- At the end of each run the Actor reports run counts (rows delivered, events charged, duration, status) to its maintainer's dashboard. It never sends your input, your results, or anything about your account.
# Actor input Schema
## `filedWithinDays` (type: `integer`):
How far back to look, in calendar days before today (US Eastern), plus today. 0 means today only; 1 (the default) covers today and yesterday. Past days come from EDGAR's complete daily index; today comes from the live filings feed, so a run any time of day sees what has been accepted so far.
## `newFilingsOnly` (type: `boolean`):
On (default): only original Form D filings, the signal that a new offering started. Off: also Form D/A amendments, which update an existing offering (annual updates for funds, revised amounts) and are marked isAmendment.
## `excludePooledFunds` (type: `boolean`):
On (default): drop filings whose industry group is Pooled Investment Fund (hedge, private equity and venture funds raising their own capital) and filings that claim an Investment Company Act Section 3(c) exclusion (fund vehicles, SPVs, REIT feeders), together about half of all Form Ds. Off: include them.
## `industryGroups` (type: `array`):
Only issuers in these Form D industry groups. Empty means any.
## `states` (type: `array`):
Two-letter US state codes of the issuer's principal address, e.g. CA, NY, IA. Empty means anywhere, including foreign issuers.
## `minAmountSold` (type: `integer`):
Only offerings that have already sold at least this much. 0 (default) keeps everything, including offerings with nothing sold yet.
## `minOfferingAmount` (type: `integer`):
Only offerings whose total size is at least this much. Offerings marked Indefinite always pass. 0 (default) keeps everything.
## `only506c` (type: `boolean`):
On: only offerings claiming the 506(c) exemption, which lets the issuer advertise publicly. Off (default): any exemption.
## `includeHistory` (type: `boolean`):
On (default): look up the issuer's EDGAR filing history and add isFirstFormD, priorFormDCount and previousFormDDate, one extra request per delivered filing. Off: those fields are null.
## `firstTimeFilersOnly` (type: `boolean`):
On: only issuers with no earlier Form D on EDGAR, i.e. companies raising outside money for the first time. Needs the history check above. Off (default): everyone.
## `onlyNew` (type: `boolean`):
On (default): remember which filings each snapshot name has delivered (90 days) and skip them next time, so a schedule never bills the same filing twice. Off: deliver everything in the window every run.
## `snapshotName` (type: `string`):
Which memory "only new" uses. Kept on your account as a key-value store named sec-form-d-funding-feed-<name>. Give each schedule its own name.
## `maxItems` (type: `integer`):
Upper limit on delivered filings, newest first. The summary row says whether the limit cut the results.
## `proxyConfiguration` (type: `object`):
Normally not needed: EDGAR is a public API that asks only for a declared User-Agent and at most 10 requests a second. Turn a proxy on if the summary row reports SEC rate limiting from the platform's shared address.
