## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Private Raises Feed

Get a clean, filterable feed of **new private fundraises filed with the SEC on Form D**, straight from the official EDGAR archive. Every company raising money under Regulation D (startups, real-estate deals, private funds) must file a Form D within 15 days of its first sale, which makes it one of the earliest public signals that a company just raised.

### Who it's for

- **Sales and business development teams** looking for companies that just raised money
- **VCs, angels and analysts** tracking deal flow by industry or state
- **Service providers** (accountants, lawyers, recruiters, agencies) prospecting newly funded firms
- **Journalists and researchers** monitoring private capital markets

### What you get (one row per filing)

`filedDate`, `companyName`, `formType` (D or D/A), `city`, `state`, `jurisdictionOfInc`, `entityType`, `yearOfInc`, `industry`, `investmentFundType`, `revenueRange`, `exemptions` (e.g. 06b, 06c), `securitiesOffered`, `dateOfFirstSale`, `minimumInvestment`, `totalOfferingAmount` (number, empty if "Indefinite"), `totalOfferingAmountText`, `totalAmountSold`, `totalRemaining`, `totalInvestors`, `issuerPhone`, `cik`, `accessionNumber`, `filingUrl`, `companyFilingsUrl`. Optional `relatedPersons` (officers/directors named in the filing).

### Filters

- **Days back**: scan the last N days of EDGAR daily indexes (weekends and holidays have no filings)
- **Industries**: e.g. `Other Technology`, `Biotechnology`, `Other Health Care`, `Real Estate`, `Pooled Investment Fund`
- **States**: two-letter issuer codes like `CA`, `NY`, `TX`
- **Company name keywords**, **minimum offering amount**, **exclude pooled funds**, **include amendments**
- **Only new since last run**: remembers what it already returned, so a daily schedule gives you just the new raises

### Example: daily alert of tech raises over $1M in California

```json
{ "daysBack": 2, "industries": ["Other Technology"], "states": ["CA"], "minOfferingAmount": 1000000, "excludePooledFunds": true, "onlyNew": true }
```

Schedule it daily in Apify and connect the dataset to email, Slack, Google Sheets or a webhook.

### Honest notes

- Data comes only from the SEC's public EDGAR archive (no login, no scraping of private sites). The Actor identifies itself with a descriptive User-Agent and stays well under SEC's 10 requests/second limit.
- Form D figures are self-reported by issuers and can be amended. "Indefinite" offering amounts are common for funds.
- EDGAR daily indexes appear after the business day closes, so today's filings usually show up the next morning.
- Not investment advice. Related persons are off by default; use any personal data in line with applicable laws.

Built by Utility Belt Labs: small, honest data tools built on official public APIs.

# Actor input Schema

## `daysBack` (type: `integer`):

How many days of EDGAR filings to scan (today plus this many previous days). Weekends and holidays have no filings.

## `industries` (type: `array`):

Keep only these Form D industry groups (case-insensitive partial match), e.g. 'Other Technology', 'Biotechnology', 'Real Estate', 'Pooled Investment Fund', 'Hedge Fund'. Leave empty for all.

## `states` (type: `array`):

Two-letter issuer state or country codes from the filing, e.g. CA, NY, TX. Leave empty for all.

## `companyKeywords` (type: `array`):

Keep only companies whose name contains any of these words.

## `minOfferingAmount` (type: `integer`):

Skip offerings smaller than this. Offerings marked 'Indefinite' are skipped when this is set.

## `excludePooledFunds` (type: `boolean`):

Drop private funds (LPs, SPVs, hedge/VC/PE funds) to focus on operating companies.

## `includeAmendments` (type: `boolean`):

Also return amended Form D filings.

## `includeRelatedPersons` (type: `boolean`):

Add executive officers, directors and promoters named in the public filing.

## `onlyNew` (type: `boolean`):

Remember filings already returned (in a named key-value store) and return only new ones. Great for daily schedules.

## `stateStoreName` (type: `string`):

Name of the key-value store used by 'Only new since last run'. Use different names for different saved searches.

## `maxItems` (type: `integer`):

Stop after this many matching filings.
