## SEC Form D Scraper: Startup Funding & Private Placement Leads

Find **US companies that just raised money**, straight from official **SEC EDGAR Form D filings**. Every result is a ready-to-use B2B lead: **company name, executives and directors, the person who signed the filing and their title, phone number, full address, industry, amount raised, amount already sold, number of investors**, year of incorporation, securities offered and the Regulation D exemption. It works as a low-cost **Crunchbase / PitchBook alternative** for fresh funding signals.

**No API key, no login, no proxies.** The actor reads the SEC's public EDGAR daily indexes and each filing's structured XML, following the SEC fair-access policy.

### Why Form D?

Companies raising money privately in the US (seed rounds, Series A–C, SAFEs, convertible notes, real-estate syndications, oil & gas programs) must file a **Form D within 15 days of the first sale**. That makes Form D the **earliest public signal** that a company has fresh cash and is about to hire, buy software, open an office and need banking, insurance and services. Often this happens weeks before a press release.

### How much does it cost?

Pay-per-event: a small fee per run start plus a fixed price per filing returned, currently **about $1.60 per 1,000 funding leads** (see the **Pricing** tab). Filings that don't match your filters are never charged. A daily run returning 60 new raises costs about $0.10. Cap every run with `maxItems`.

### Tips

- **Money already in the bank:** `minAmountSold = 250000` filters out raises that haven't closed anything yet.
- **Startup-only feed:** `newCompaniesOnly = true` + `industries = ["Other Technology"]`.
- **Real-estate syndications:** include `Commercial`, `Residential` and `REITS and Finance`.

### FAQ

**Where does the data come from?** The SEC's EDGAR system: the official daily form index and the structured `primary_doc.xml` of every Form D. It is the same data shown on sec.gov.

**How fast do filings appear?** EDGAR publishes the daily index the evening of each business day. A daily schedule gives you yesterday's filings every morning.

**Does Form D include emails or websites?** No. Form D contains names, roles, a business phone and address. Use them with your enrichment tool of choice.

**Is this legal?** Yes. Form D filings are public records that the SEC publishes for anyone to use. The actor identifies itself and respects SEC rate limits. Follow CAN-SPAM/TCPA when you reach out.

**Why are some amounts "Indefinite"?** Funds and some issuers report an indefinite offering size. Those have `totalOfferingAmount = null` and `totalOfferingIndefinite = true`.

Only raises with a total offering amount at or above this value. Offerings marked "Indefinite" are kept.

Only raises that have already sold at least this amount, i.e. money already in the bank.

## `newCompaniesOnly` (type: `boolean`):

Keep only young companies (the issuer reports incorporation within the last five years). Great for startup leads.

## `companyNameContains` (type: `string`):

Case-insensitive filter on the issuer name, e.g. "therapeutics" or "AI".

## `secContactEmail` (type: `string`):

The SEC asks automated tools to identify themselves. If you provide an email it is added to the User-Agent sent to sec.gov. Never stored or shared otherwise.

## `maxFilingsToScan` (type: `integer`):

Safety cap on how many filings are downloaded and checked against your filters.

## `maxItems` (type: `integer`):

Maximum number of Form D filings to return. You are charged per result, so this also caps your cost.
