## Pricing

Pay per event

This Actor is paid per event. You are not charged for the Apify platform usage, but only a fixed price for specific events.

## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

### SEC Form D Scraper: recently funded startups from Form D filings

**Who it's for:** B2B sales teams, agencies, recruiters, bankers, insurers and investors who want to reach **US companies right after they raise money**.

**What you get:** every new **SEC Form D filing** (Form D filings are the notices companies send the SEC when they raise private money) from [EDGAR](https://www.sec.gov/edgar/search/) as a clean row with company name, city and state, **business phone**, industry, **amount raised**, round size, number of investors, Rule 506(b)/506(c) exemption, date of first sale and a link to the filing. You can also add the **executives named on the filing** and a **one-line plain-English summary**. Schedule it daily with **delta mode** and you get only new raises, for about **one cent per company**.

Every US company that raises money under Regulation D has to file a Form D within 15 days of its first sale. That makes Form D one of the earliest public signs that a company has fresh budget, often before any press release. This Actor is a low-cost **Crunchbase / PitchBook alternative for new funding signals**, built only on official, public SEC data.

### Quick start

1. Click **Try for free**. Defaults are a **cheap sample** (last 7 days, operating companies only, one-line summary on, **10 results ≈ $0.10**). No fields are required — just click **Start**.
2. Optional: filter by **state** (e.g. `CA`, `NY`, `TX`), **industry group**, **minimum amount raised** or **Rule 506(b)/506(c)**. Raise **Maximum results** when you want a bigger pull.
3. Switch on **Add executives & contact name** if you want people listed on the filing (free, no extra charge). Summary is already on by default.
4. Click **Start**, then export to CSV, Excel or JSON, or send rows to Google Sheets, HubSpot, Slack or a webhook.
5. For alerts, turn on **Delta mode** and add a daily **schedule**.

Sample input (about **$0.10** — same as the Try defaults):

```json
{
  "lastNDays": 7,
  "addSummary": true,
  "maxResults": 10
}
```

### Why this Form D scraper?

- 🎯 **Lead-ready rows.** Company, city, state, business phone, amount raised and (opt-in) the executive officer to address. A **Leads** table view puts these side by side.
- 🧹 **Operating companies only by default.** VC, PE, hedge and real estate funds (about 60% of Form D filings) are dropped unless you want them.
- 📝 **One-line summaries.** For example: *"Estuary Biotherapeutics, Inc. (Menlo Park, CA; Biotechnology) raised $40.7M of a $103.7M equity offering under Rule 506(b); first sale 2026-07-01; 25 investors."* These are built from the filing by fixed rules, not an AI model, so they are free and never invent facts.
- 🔔 **Delta mode.** Scheduled runs return only filings you haven't received yet, so you never pay twice for the same company.
- 💸 **You only pay for matches.** Filings removed by your filters are free.
- ⚙️ **Reliable and polite.** Official SEC endpoints, a declared User-Agent, under the SEC's 10 requests/second fair-access limit, with retries.

Each run also saves a `RUN_SUMMARY` record in its key-value store: days scanned, filings checked, filtered out and returned.

### How much does it cost?

Pay per result, with no subscription:

- **$0.01 per funding filing returned**, which is **$10 per 1,000 companies**.
- Plus Apify's tiny Actor start fee (about $0.00005 per run). Platform compute is included.
- **Filtered-out filings are free.**
- The executives and summary options cost nothing extra.

In practice:

| Use case | Typical cost |
|---|---|
| Default sample (`maxResults: 10`) | about $0.10 |
| Larger pull with `maxResults: 100` | $1.00 |
| Weekly list of 100 funded companies | $1.00 |
| Daily delta alert whose filters match about 10 new companies a day | about $3 a month (10 × 30 × $0.01) |

Apify's free plan includes $5 of monthly usage, enough for about 500 funding filings a month. Set **Max results** or Apify's **maximum cost per run** to cap spend; the Actor stops cleanly at the limit.

### Integrations

Use the dataset like any Apify dataset:

- **Export** to CSV, Excel, JSON, XML or HTML.
- **Google Sheets, Slack, email, HubSpot, Airtable** through Apify integrations, **Make**, **Zapier** or **n8n**.
- **Webhooks** when a run finishes, for your own CRM pipeline.
- **API and clients** for JavaScript and Python (see the **API** tab).
- **AI agents** through the Apify MCP server.

A common setup is a daily schedule, then delta mode, then a Google Sheet or Slack channel your sales team watches.

### Tips

- **New rounds only:** turn **Include amendments** off. Amendments (D/A) usually update the amount on an older round.
- **Track new funds instead:** turn **Exclude funds** off and filter industry group `Pooled Investment Fund`.
- **Timing:** EDGAR publishes its daily index after each business day, with none on weekends or federal holidays. A morning schedule (US Eastern) picks up the previous business day.
- **Amounts:** `totalAmountSold` is cumulative and can be 0 before the first sale. `totalOfferingAmount` is `null` when the issuer marked the round "Indefinite".

### FAQ

#### What is SEC Form D?

Form D is a notice filed with the U.S. Securities and Exchange Commission when a company sells securities under a Regulation D exemption without registering them. It discloses the issuer, industry, round size, amount sold, exemption, and the executives and promoters involved. It does **not** list investors or valuation.

#### Is this a Crunchbase alternative?

For **fresh US private funding signals**, yes. Form D is a primary source that many databases rely on. It won't include investor names, valuations or non-US rounds, and some companies file late or not at all.

#### Where does the phone number come from?

It's the issuer's business phone exactly as entered on the Form D. Some filers enter a law firm's or administrator's number, so check it before you call.

#### Is it legal to use SEC EDGAR data?

EDGAR filings are public records the SEC publishes for free access. This Actor reads the SEC's public archive with a declared User-Agent and stays under the SEC fair-access rate limit. Executive names are **off by default** because they are personal data. Personal data is protected by the GDPR in the EU, CCPA in California and other laws worldwide, and marketing outreach is subject to rules such as CAN-SPAM and TCPA. Use names and phone numbers only with a legitimate purpose; if unsure, consult a lawyer. This Actor is not affiliated with or endorsed by the SEC.

#### Why did I get 0 results?

Usually the range covers only a weekend or holiday, or only today (whose index isn't published yet), or the filters are too strict. Widen the date range or loosen the filters, and check `RUN_SUMMARY` for the counts.

#### Can I get older filings?

Yes. Set **Date from / Date to**. Each run covers up to 93 days, so split longer backfills into several runs.

#### Support

Need another field, filter or source? Open an issue in the **Issues** tab. Replies usually come within a day.

# Actor input Schema

## `lastNDays` (type: `integer`):

Look back this many calendar days (ending on 'Date to', default today in US Eastern time). Ignored when 'Date from' is set. EDGAR publishes no daily index on weekends/holidays, and today's index appears only after the business day ends.

## `dateFrom` (type: `string`):

Optional start of the filing-date range (YYYY-MM-DD). Overrides 'Last N days'. Max range per run: 93 days.

## `dateTo` (type: `string`):

Optional end of the filing-date range (YYYY-MM-DD). Defaults to today (US Eastern).

## `states` (type: `array`):

Only issuers whose principal place of business is in these EDGAR state/country codes, e.g. CA, NY, TX, DE. Leave empty for all.

## `industryGroups` (type: `array`):

Only offerings in these Form D industry groups. Leave empty for all.

## `minAmountSold` (type: `integer`):

Only filings whose total amount already sold is at least this much.

## `maxAmountSold` (type: `integer`):

Only filings whose total amount already sold is at most this much.

## `minTotalOfferingAmount` (type: `integer`):

Only offerings whose total size is at least this much (offerings marked 'Indefinite' are kept).

## `offeringTypes` (type: `array`):

Only filings claiming at least one of these federal exemptions, e.g. Rule 506(b) or 506(c). Leave empty for all.

## `excludePooledFunds` (type: `boolean`):

Skip VC/PE/hedge funds and other pooled investment vehicles (about 60% of Form D filings) to get operating companies only.

## `includeAmendments` (type: `boolean`):

Include amended filings. Turn off to get only new (original) Form D notices.

## `maxResults` (type: `integer`):

Stop after this many matching filings (newest filing dates first). You are charged per result. Default 10 is a cheap sample; raise it for bigger pulls.

## `includeExecutives` (type: `boolean`):

Adds the people listed on the filing (executive officers, directors, promoters) with their roles, a flat "executiveNames" column for spreadsheets, "executiveCount" and "primaryContactName" (first executive officer). No extra cost or requests: the names are already in the filing. Off by default because names are personal data; use them only for lawful purposes (e.g. GDPR/CAN-SPAM when contacting people).

## `addSummary` (type: `boolean`):

Adds a "summary" field, e.g. "Acme Inc (Austin, TX; Other Technology) raised $3M of a $10M equity offering under Rule 506(b); first sale 2026-10-01; 12 investors." Built from the filing by fixed rules, not an AI model: free, instant and never invents facts.

## `deltaMode` (type: `boolean`):

Return only filings not delivered by a previous run with the same filters. Ideal for a daily schedule. State is kept in a named key-value store in your account.

## `deltaStoreName` (type: `string`):

Named key-value store that keeps delta-mode state. Use different names to keep independent feeds.

## `userAgent` (type: `string`):

SEC fair-access policy asks automated tools to declare who they are, e.g. 'Acme Research ops@acme.com'. Leave empty to use the Actor default.

## `maxRequestsPerSecond` (type: `integer`):

Request rate cap. SEC allows at most 10 requests/second per user.
